鉴于甲方业务发展的需要，甲方非独家委托乙方进行人才咨询及代理招聘、推荐服务。

经友好协商签订如下协议，双方约定共同遵守。

Party B is non-exclusive agent for Party A’s recruitment; this contract is ruled to Party B’s service in talents consulting and placement for Party A. The Parties hereby agree as follows:
一、甲方的权利和义务Party A’s Rights and Responsibilities

1．甲方应严格执行国家的有关人事政策、法律法规。

Party A must observe China’s relevant personnel policy, regulation s and laws. 2．甲方有权要求乙方根据本协议之规定为甲方提供所需职位的候选人，并应依照本协议的规定向乙方支付服务费。

Party A has the right to require Party B to provide candidates for the opened position/s as defined and specified by Party A, and Party A shall make payment of a service fee to Party B as defined and regulated in this Agreement.
3．每一职位正式委托（书面）后的5个工作日内，甲方应向乙方提供寻访职员所需的相关信息及材料，并保证其真实性和合法有效性，包括但不限于：职位要求、工作描述、公司简介、组织机构图、可能的薪金福利情况等，以便乙方在访寻过程中确认潜在的候选
人，并使候选人对公司和工作进行充分和必要的了解。

Within 5 working days of entrusting placement job in writing, Party A should provide Party B with all the information, data and documents as deemed necessary for Party B to start working on the placement job, which include but not limited to the following: Profiles of the organization, Organization chart as related to the placement job, Job description/s, Qualifications or job requirements for a successful candidate, Information with regards to compensation, reward, related to the placement. Of course, Party A should guarantee the validity and reliability.

5．甲方对乙方提供的人才信息负责，不转递其他公司，不做转换推荐。

甲方同意在被推荐人选正式录用前，为其保密。

Party A agrees to take all the responsibilities in the use of the information of candidates, and should not give them to other companies, or recommend for change. Party A shall maintain the confidentiality of the candidate before the formal employment.
6．甲方同意在录用推荐人选时，将推荐人选的聘书复印件或劳动合同提供给乙方，乙方应为其进行严格保密。

Party A agrees to provide the copy of candidate’s offer or labor contract for Party B, and Party B should maintain its confidentiality.

7．甲方同意乙方推荐的人才当时没有录用，在被推荐后壹年之内该人选再被录用、应视为由该乙方推荐成功。

Shall the candidate recommended by Party B to Party A not be employed then;
if, at any time within 12 months, the candidate is employed again by Party A;
it will be deemed as a successful recommendation of Party B.
8．甲方发现乙方提供的人才资料有与其他渠道此前所提供的资料重合时，应在收到乙方资料叁个工作日内提出声明，否则应被视为获得认可。

Shall Party A find the candidate’s information offer by Party B is same as the former other one, Party A should declare within 3workdays on the receiving of the information from Party B, Otherwise shall be treated as admissive.
二、乙方的权利与义务Party B’s Rights and Responsibilities

2、乙方应严格执行国家规定的有关人事及招聘政策、法律法规。

Party B must observe China’s relevant personnel policy, regulation and law.
3、乙方应按照本协议的规定为甲方提供所需职位的候选人,并有权按照本协议的规定向甲
方收取服务费。

Party B is obliged to provide candidates for an opened position, as defined and regulated in this Agreement. And Party B has the right to collect a
service fee for a placement job completed.

4、乙方应随时将访寻工作情况向甲方汇报和沟通，以确保甲方了解访寻进程。

Party B is obliged to provide to Party A frequent and timely updates about the placement search so that Party A is aware of the progress of the
placement job.
5、应甲方要求，乙方应及时提供候选人的详细的背景资料和其他相关信息。

At the request of Party A, Party B shall provide detailed and timely
information and other related information about the background of the
candidates.
6、乙方应将甲方提供的应聘要求，如实转告候选人，保证其了解工作要求、环境和地点。

Party B shall truthfully inform the candidates of the requirements and
qualifications for a placement job, making sure the candidates are aware of the requirements, locations and environments of a placement.

8、乙方应对其所推荐的候选人进行必要的调查，以保证所推荐的人选不存在违法、犯罪行
为。

Party B shall carry out necessary reference checks on the candidate/s making sure that the candidate/s is/are free from criminal or legal charges, and/or other interpersonal relationship or teamwork problems.
9、乙方对甲方提供的信息负有保密义务。

非经甲方同意不得用于履行本协议之外的目的，
否则应向甲方支付违约金，给甲方造成损失的，还应承担损害赔偿责任。

Party B is obliged to keep confidentiality of all the information and
documents provided by Party A and/or acquired by Party B from Party A in the process of cooperating on a placement job; and under no circumstances shall Party B use the document or information for purposes other than the
placement entrustment; or Party B shall compensate Party B for breach of contract and take responsibility for the costs and damages caused, if any.

10、乙方不应将甲方已经书面确认聘用的推荐人才再推荐或转交给第三方。

Party B shall not provide the candidates to any third party if the candidate has been confirmed by Party A for employment.

四、服务的完成及费用支付 Execution of a Placement Job and Payment of
Service Fee
1、乙方应自收到甲方提供的访寻人才所需全部信息及材料之日起的15个工作日内完成为
甲方提供所需职位候选人名单及背景信息的工作，具体的要求为：每个职位至少提供三名合格候选人名单和背景信息；如甲方在此期间需要进一步增加候选人的数量，经协商，乙方可增加为甲方提供的候选人的数量，直至甲方满意为止。

Party B shall, within 15 working days since receiving all the information and documents about a placement job, provide to Party A a shortlist of at least THREE candidates, and the background information of these candidates.
And if, Party A, within the same period requires Party B to increase the number of candidates, Party B shall do accordingly to the satisfaction of Party A.

3、所委托职位在寻访成功后，甲方向乙方支付的服务费为每位成功候选人所能得到的税前
年度收入 (如无其他年薪约定，年薪指个月的转正后月薪及固定津贴福利的总和)的20%，下限为人民币20,000元。

乙方收取每职位每人预付金为RMB 元（大写：人民币元）
Party A shall make a payment to Party B equaling to 20% of total annual pre-tax income ( including non-probation months’ salary and other
compensation and benefits by cash as agreement) of the successful candidate, RMB 20,000 yuan is the Minimum. And the advance payment for each position/
each people is RMB yuan.
4、收费方式：双方签订委托协议，候选人上岗后7日内甲方向乙方支付服务费。

T he total eligible payment shall be made to Party B within 7 days after the employed candidate reporting to Party A for work.

5、付款采用转帐方式，乙方银行信息如下：

6、若甲方面试需要候选人旅行，所发生的差旅费用的支出在征得甲方同意后由甲方支付。

In case Party A requires a non-local candidate to travel to the Party A site for interview, all the travelling cost, at the agreement of Party A in
advance, shall be borne by Party A.。

四、违约责任 Breach of Contract
1、在候选人入职后的试用期内，无论是候选人还是甲方的原因，候选人从甲方离开的，乙
方将免费为甲方提供合格的候选人。

In case the employed candidate, within probation of working with Party A, decides to resign from or leave Party A, for reasons either due to Party A or the employed candidate, Party B shall provide qualified candidates for the same position, at the cost of Party B.

2、如果候选人入职后在试用期内离开甲方，而乙方不能在接下来的45天中推荐合格的该
职位候选人，经过协商，乙方应向甲方退还已支付服务费的50%。

If the employed candidate leaves Party A and Party B can’t re-product the replace in the next 45 days, Party B should pay back to Party A 50% of the payment paid by Party A.

4、如任何一方违反以下条款，即视为违约：
The following circumstances shall be deemed to be breach of contract:
1）如果在某职位招聘时甲方未录用乙方推荐人选，甲方在协议期内未经乙方同意录用此人选或者将其信息传递给第三方，或录用后未按合同向乙方支付服务费。

For a certain position, Party A has made no employment of the
candidate/s as recommended by Party B, but decided to employ the
candidate/s recommended by Party B without noticing Party B, or has
decided to refer the candidate/s to a third party, or made no payment to Party B after the employment as Agreement;

3）如果乙方推荐的人选被甲方聘用，乙方将在甲方处任职的该人选推荐给另一公司。

Party B has referred a candidate legally employed by Party A to another company;
4）乙方寻访在甲方处就职的员工作为候选人推荐给其他公司。

Party B has poached Party A for candidates for other clients.

6、经提前30日书面通知对方任何一方均有权解除合同，合同从解除合同的书面通知送达另
一方之日的第30天后起解除。

Written notice given 30 days beforehand, either of the parties has the right to terminate the Agreement and the Agreement is deemed terminated after 30 days from the notice in writing reached from one party to the other party of this Agreement.
五、合同生效及文本Validity of the Agreement and Copies

2、本协议自双方签订或者盖章之日起生效，有效期为两年。

This Agreement shall become effective once both parties have affixed signatures and/or official seals to the Agreement. And the Agreement has a validity period of TWO years.
3、本协议未尽事宜，经双方协商后决定。

Consultations between the parties shall be conducted for any outstanding issues between the parties.

4、本合同的附件及补充协议作为本合同不可分割的部分，与本合同具有同等效力。

Being an inseparable part of this contract, the annex of this contract and complementation agreement is equally legal and promissory.
5、本协议一式两份，甲乙双方各执一份。

协议为中英文对照版本，若发生语言差异引起异
议时以中文内容为准；

The Agreement shall be made in TWO copies, with each party holding ONE copy.
The contract shall be bilingual in Chinese and English, but the Chinese
version shall rule in case of discrepancies and/or dispute.
本合同签字人在此说明，他们在签字前已经获得授权，代表合同一方签署本合同，并使该方接受合同约束。

The person who signs this contract has right and authorization to sign it on behalf of his Party, and shall commit his Party to this contract.
