AGREEMENT OF TRANCTION AGENT ON OIL FUTURES

甲乙双方本着平等互利的原则，经过友好协商，就乙方委托甲方代理石油交易所现货和期货交易，达成如下协议：

Parties hereto shall, on the principle of equality and mutual benefit, through amicable negotiation, enter into this agreement of the agency on the transactions of stock and futures exchange of oil exchenge by party A for party B as follows.

一、为了确保在石油交易所的交易能正常进行，甲乙双方均须清楚了解并严格遵守《中国国际期货有限公司石油交易所代理业务规则》，正确履行各方的权利和义务。

For the purpose of ensuring the normal transaction of oil exchenge, parties hereto should clearly acknowledge and strictly abide by Regulation of Agent Bussiness of Oil Exchenge of China International Futures Co., Ltd, and correctly perform the rights and obligations of each party.

二、乙方已经认真阅读并充分知悉甲方提供的《风险揭示书》的全部内容，一切因乙方对市场行情的误解而遭受的亏损，乙方自行承担资金乃至资产抵债的责任，甲方不承担任何责任。

Party B has carefully read and fully acknowledge the full contents of Risk Disclosure provided by party A, party B shall, for all losses due to its misunderstanding on market quotations, bear the responsibilities for funds in addition to assets against debts for its own account, for which party A shall not bear any responsibiliy.

三、作为代理方，甲方有权了解乙方的资信情况。开户时乙方需出具经营执照（副本），法人授权书，单位状况（生产经营状况、近期财务报表等）等有关资料。

Party A shall, as the agent, reserve the right to acknowledge party B’s credit position and party B should, on the time of opening account, provide a copy of business license, legal person’s authorization, company’s status ( production and operation status, recent financial statements, etc.) and other relevant materials.

四、甲方仅接受乙方法人或其指派的授权人的操作指令。

Party A only accepts the instructions of party B's legal person or its authorized person.

五、保证金帐户的设置Establishment of Margin Account

1．本协议签定后，乙方应在三天内将基础保证金美元汇入甲方帐户开户，做为本协议生效的必要条件。

Party B shall, within three days upon signature hereof, remit the basic margin USD into party A’s account for opening account, which is the necessary condition for validity hereof.

2．乙方在出具“买入或卖出指令单”以前，应将足够的初始保证金汇入甲方帐户，初始保证金数额为成交金额的_____％。乙方超越保证金数额的指令，甲方没有义务执行。交易平仓后，该初始保证金由甲方及时退回。

Party B shall, before issuing Order of Purchase or Sale, remit sufficient initial margin into party A’s account, the amount of initial margin is % of transaction amount. Party A shall not be

obliged to execute party B’s any instructions which exceed the amount of margin. The initial magin will, subsequent to closing the trading position, be returned by party A to party B in time.

3．凡属期货交易，每天均按石油交易所公布的结算价，对其与成交价的差价部分，要求亏损方交付追加保证金。如果乙方损失≥100％初始保证金，而又未能在下一交易日前一日15时前及时补足，甲方有权代为平仓，所有损失和费用，由乙方全部负责。

For futures trading, party B should, as per the settle price issued by oil exchange each day, is required to effect the payment of additional margin on the difference between the price and the trading price. Provided that party B losses its initial margin ≥100％and fails to make completion thereof on 15 hour of the day prior the next trading day, party A shall have the right to substitute for close position and all loss inaddition to fees shall be born by party B.

六、甲方代理乙方交易的佣金含向交易所交纳的交易手续费，为交易额的___‰，乙方应当在买卖合约成交后三天内，向甲方交纳代理佣金。

The commission of party A acting for party B’s transaction, including the transaction fees paid to the exchange, amount to ___‰ of transaction value, party B should, within three days subsequent to completion of trasaction.

七、现货合约签定后，乙方凭交易所成交通知单在三天内通知甲方将货款／提货凭证存入所。如是交收现货交易，乙方应先提供有效发票再行收取货款。

Party B should, subsequent to signature of spot stock contract, within three days against the transaction notice of the exchange, notify party A deposit the payment / delivery voucher with the exchenge. Where spot transaction, party B should provide the valid invoice before collecting payment of goods.

八、有关税金均按照税务机关规定办理。

The relevant taxes shall be handled in accordance with the provisions of the tax authorities.

九、协议的中止Termination of Agreement
