Upon friendly negotiation, both parties agree as follows on ____/___/_______ :
第一条质押的股权The Pledged Equity Interest
乙方在____________有限公司享有的100%的股权。

The pledged equity interest shall be 100% of equity interest of __________ Co., Ltd. held by Party B (“Equity Interest”).
第二条质押The Pledge
乙方同意将上述第一条规定的股权质押给甲方，作为_________公司履行该公司于_____年___月___日与甲方签署的借款合同项下全部义务的担保（“质押”）。

Party B hereby pledge the Equity Interest to Party A as a security for the obligations of ____________Co., Ltd. under the Loan Agreement dated on _____________by
____________Co., Ltd. and Party A (the “Pledge”).
第三条质押期限Term of Pledge
质押从本协议之日生效，有效期____个月。

The Pledge shall take effect as of this agreement date, and shall be valid for

第四条出质人保证
出质人是质押股权的唯一合法权利人，有权按照本协议规定处分质押股权。

The Pledgor is the sole legal and beneficial owner of the Equity Interest and shall have the right to dispose of and transfer the Equity Interest in accordance with the provision set forth in this Agreement.
第五条其他Miscellaneous
1. 本协议如有未尽事宜，甲乙双方经协商一致，可签署补充协议，补充协议与本协议具有同等效力。

Any issue that not covered in this agreement shall be settled in the additional agreement after parties negotiation and the additional agreement has same legal effect as this agreement.
2. 本协议由香港法律管辖。

本合同产生的争议应提交香港国际仲裁中心仲裁。

This agreement shall be governed by the laws of Hong Kong. For any dispute arising from this agreement shall be resolved by The Hong Kong International Arbitration Center.
3. 本协议一式两份，甲乙方各执一份，均具有同等法律效力。

This agreement is in duplicate, each party hold one copy, and each copy has the same legal effect.
