This Project Cooperation Agreement (hereinafter referred to as the "Agreement") is entered into by and between Party A and Party B (collectively referred to as the "Parties") on [Date].

1. Purpose 目的

7. Confidentiality 保密条款

7.2 This confidentiality obligation shall survive the termination or expiration of this Agreement.

8. Governing Law and Dispute Resolution 适用法律与争议解决
This Agreement shall be governed by and construed in accordance with the laws of [Jurisdiction]. Any dispute arising out of or in connection with this Agreement shall be settled through friendly negotiation. 9.1 This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior negotiations, understandings, and agreements, whether oral or written.
本协议构成双方在相关事项上的完整协议，并取代一切先前的口头或书面谈判、了解和协议。

9.2 No modification, amendment, or waiver of any provision of this Agreement shall be effective unless in writing and signed by both Parties.
除非经双方书面签署，否则不得修改、更改或放弃本协议的任何条款。

9.3 If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
若本协议的任何条款被裁定为无效或不可执行，其他条款仍然有效。
