Technical Service Fee Contract Template。

This Technical Service Fee Contract (the "Contract") is entered into as of [Date], by and between [Client Name], with an address at [Client Address] (the "Client"), and [Service Provider Name], with an address at [Service Provider Address] (the "Service Provider").
1. Services to be Provided。

The Service Provider agrees to provide technical services to the Client, including but not limited to [List of Services to be Provided]. The specific details of the services to be provided, including the scope, schedule, and deliverables, are outlined in Exhibit A attached hereto and incorporated herein by reference.
2. Fees and Payment。

In consideration for the services to be provided by the Service Provider, the Client agrees to pay the Service Provider a fee of [Fee Amount] (the "Fee"). The Fee shall be paid in [Payment Terms] and shall be due within [Number] days of the date of the invoice. The Client shall make all payments to the Service Provider at the address specified in this Contract or as otherwise directed by the Service Provider.
3. Expenses。

4. Term and Termination。

The Service Provider acknowledges that, in the course of providing the services, it may have access to confidential information of the Client. The Service Provider agrees to keep such information confidential and not to disclose it to any third party without the prior written consent of the Client.
7. Governing Law。

This Contract shall be governed by and construed in accordance with the laws of the state of [State], without giving effect to any principles of conflicts of law. Any dispute arising under or in connection with this Contract shall be resolved exclusively by the state and federal courts located in [County], [State].
8. Entire Agreement。
