This Contract (the “Contract”) is made and entered into on this [day] of [month], [year], by and between [Employer’s Name], a company organized and existing under the laws of [Employer’s Country] (hereinafter referred to as the “Employer”), and [Employee’s Name], a national of [Employee’s Country] (hereinafter referred to as the “Employee”).
Article 1: Position and Duties
1.1. The Employer hereby engages the Employee and the Employee hereby accepts engagement to serve the Employer in the capacity of [position title], and to perform such duties and services as are normally associated with that position.
1.2. The Employee shall perform his/her duties under this Contract at [work location or address] or at such other places as may be designated by the Employer from time to time.
1.3. The Employee agrees to observe and comply with the rules and regulations of the Employer and any changes therein that may be adopted by the Employer from time to time.
Article 2: Contract Duration
2.1. The Contract shall commence on [start date] and, subject to the terms and conditions hereof, shall continue for a period of [duration] (the “Initial Term”).
2.2. Upon the expiration of the Initial Term, this Contract shall automatically renew for successive periods of [renew al period] (each a “Renewal Term”) unless either party gives written notice to the other party of its intention not to renew at least [number of days] days prior to the end of the Initial Term or any Renewal Term.
Article 3: Remuneration and Benefits
3.1. As full compensation for the services rendered by the Employee under this Contract, the Employer shall pay to the Employee a salary of [currency] [amount] per [pay period] (the “Salary”).
3.2. The Salary shall be paid by bank transfer to the Employee’s des ignated bank account.
3.3. The Employee shall be entitled to such benefits and allowances as are generally provided to employees of the Employer in similar positions, including but not limited to annual leave, medical insurance, and housing allowance,
subj ect to the terms and conditions of the Employer’s benefit policies.
Article 4: Confidentiality and Non-Competition
4.1. The Employee agrees to hold in strict confidence any proprietary or confidential information of the Employer obtained during the course of employment and not to disclose such information to any third party without the prior written consent of the Employer.
4.2. The Employee agrees that during the term of this Contract and for a period of [number of months/years] following the termination of this Contract, he/she shall not engage, directly or indirectly, in any business that competes with the business of the Employer.
Article 5: Termination
5.1. Either party may terminate this Contract by giving [number of days] days’ written notice to the o ther party.
5.2. The Employer may terminate this Contract immediately without notice in the event of the Employee’s breach of any material term or condition of this Contract.
5.3. Upon termination of this Contract for any reason, the Employee shall return all property of the Employer in his/her possession or control.
Article 6: Governing Law and Dispute Resolution
6.1. This Contract shall be governed by and construed in accordance with the laws of [governing law jurisdiction].
6.2. Any disputes arising out of or in connection with this Contract shall be resolved through negotiations between the parties. If the disputes cannot be resolved through negotiations, they shall be finally settled under the rules of arbitration of the [arbitration institution] by three arbitrators appointed in accordance with the said rules.
