CONSULTING AGREEMENT
This Consulting Agreement ("Agreement") is made and entered into as of the __________ day of __________, 2024, by and between __________ ("Consultant"), with a registered address at __________, and __________ ("Client"), with a registered address at __________.
1. Purpose of Agreement
The Client hereby engages the Consultant to provide professional consulting services ("Services") as described in Exhibit A attached hereto, and the Consultant agrees to perform such Services.
2. Scope of Services
The Consultant shall provide the following Services to the Client:

3. Term of Agreement

8. Limitation of Liability

The Consultant shall indemnify and hold the Client harmless from any and all claims, losses, damages, and expenses
arising from the Consultant's breach of this Agreement or the performance of the Services.
10. Termination
Either party may terminate this Agreement upon __________ days' written notice to the other party if the other party materially breaches any provision of this Agreement and fails to cure such breach within __________ days after receipt of written notice.
11. Independent Contractor
The Consultant is an independent contractor and is not an employee of the Client. The Consultant shall not be entitled to any benefits provided by the Client to its employees.
12. Governing Law

13. Entire Agreement
