甲乙双方根据《中华人民共和国劳动合同法》(以下简称《劳动合同法》)和国家、省市的有关规定,遵循合法、公平、平等自愿,协商一致、诚实信用原则,订立本合同。
In accordance with the Labor Contract Law of the People’s Republic of China (hereinafter referred to as the “Labor Contract Law”) as well as relevant provisions of the state, province and city, and on basis of the principles of lawfulness, fairness, voluntariness, negotiations, honesty and good faith, Party A and Party B conclude this Contract.
第一条合同期限与试用期
Article 1 Contract Term and Probation
(一)本合同期限类型为固定期限劳动合同。
I. This Contract is a fixed term labor contract.
1、双方合同期从年月日起至年月日止。
1. The contract term is from _________ (day/month/year) to ______ (day/month/year).
2 、若乙方在甲方的实际工作时间与合同约定起始时间不一致的,以实际工作时间为本合同实际起始时间。
2. If Party B’s actual working time in Party A is not consistent with the commencing time agr eed in this Contract, the commencing time should be calculated on basis of the actual working time.
(二)自本合同生效之日起,从年月日起至年月日为试用期。
试用期为个月。
在试用期内,甲方认为乙方不符合录用条件的,向乙方说明理由后解除劳动合同。
乙方在试用期内出现下列情形之一的,即为不符合录用条件:
II. Since the effective date of this Contract, the probation period shall be from ____________ (day/month/year) to ___________ (day/month/year), which is ___ month(s). Within the probation period, if Party A considers that Party B is not qualified, Party A may cancel the labor contract after explaining the reason to Party B. Party B should be treated as unqualified under either of the following circumstances within the probation period:
1、违反诚实守信原则,乙方未如实告知与工作相关的信息,包括但不限于教育背景、身体状况、工作经历、联系方式、家庭地址和户籍信息。
1. Violating the principle of honesty and good faith, Party B fails to provide the work related information, including but not limited to the education background, health, working experience, contact, home address and registered permanent residence information.
2、乙方的技术及能力不符合甲方或甲方招聘时对岗位职责的描述。
2. Party B’s skills and ability can not meet the position requirements described at Party A’s recruitment.
3、乙方未到甲方指定(或许可)的医院进行体检;在体检中有冒名顶替的现象;体检未通过等。
3. Party B fails to go to the hospital appointed (or permitted) by Party A to have the physical examination; or other person has the physical examination in the name of Party B; or Party B fails to pass the physical examination, etc.
4、乙方的用工手续不完备或有虚假等,给甲方的录用办理带来影响的,包括但不限于未履行完毕与上家单位的竞业限制约定;未在指定时间内提交甲方需要的必备资料。
4. Party B’s working documents/materials are incomplete or false, causing impact on Party A’s employing, including but not limited to that the non-competition agreement with the former employer has not been ended; Party B fails to provide necessary materials required by Party A within the appointed time.
5、乙方不能达到甲方对所担任岗位的要求。
5. Party B fails to satisfy the requirements of Party A for the expected position.
6、乙方在试用期内因身体状况发生变化,无法满足工作岗位的基本要求。
6. The health status of Party B changes during the probation period, and can not meet the basic requirements of the position.
7、其他违反法律、法规、规章制度和劳动纪律的行为。
7. Other activities violating the laws, regulations, rules and labor disciplines.
第二条工作内容和工作地点
Article 2 Working Contents and Working Place
(一)乙方的工作内容为:___ _。

第三条工作时间和休息休假
Article 3 Working Time as well as the Rest and Leave
(一)乙方所在岗位执行标准工时制,具体为:即每日工作小时(不超过8小时),每周工作小时(不超过40小时),每周至少休息一日。
I. The position of Party B enforces the standard working time system, i.e. working __ hours every day (not exceeding 8 hours), __ hours every week (not exceeding 40 hours), and at least one day for rest every week.
(二)乙方加班必须征得甲方书面同意。
乙方严格遵守甲方的加班申请报批制度,并同意经批准的加班单为核算乙方加班工资的唯一依据。
II. Party B should obtain the written consent of Party A for the overtime working, and should strictly c omply with Party A’s overtime working application and approval system. The approved overtime working sheet shall be the sole basis of the calculation of Party B’s overtime working salary.
(三)乙方有权享受法定假日及劳动法规定的其他假日。
III. Party B is legally entitled to have the holidays as stated and in accordance by law.
第四条劳动报酬
Article 4 Remuneration
(一)甲方依法制定工资分配制度,并告知乙方。
甲方支付给乙方的工资不得低于市政府公布的当年度最低工资。
I. Party A should make the salary payment system on basis of the law and inform Party B. The salary paid to Party B by Party A shall not be lower than the lowest salary published by the municipal government for the year.
(二)乙方的工资为每月人民币元,试用期的工资为每月元,是乙方在同时满足下列情况下获得的劳动报酬。
II. Party B’s salary is RMB ___ /month, and the salary in the probation perio d is RMB ___ /month, which is the remuneration when Party B meets both of the following requirements:
1、在考勤周期中,达到全勤:
1. Achieving full attendance during the attendance checking period;
2、在该工作岗位全面履行本合同劳动义务。
2. Fully performing the obligations under this Contract for the position.
(三)甲方每月日发放工资。
甲方至少每月以货币形式向乙方支付一次工资。
III. Party A shall pay the salary on __ every month. Party A shall make at least one payment of salary to Party B every month in the form of money.
(四)甲方安排乙方延长工作时间或者在休息日、法定休假日工作的,应依法安排乙方补休或支付相应工资报酬。
IV. If Party A arranges Party B to work overtime or work on the rest day or statutory holidays, Party A should make up Party B’s missed rest or pay the corresponding salary in accordance with the law.
(五)若乙方未出满全勤,按照国家规定执行。
V. If Party B fails to have the full attendance, relevant state provisions should be implemented.
(六)工资支付:

甲方代扣国家法律法规的社会保险个人应缴纳部分和个人所得税后,每月25日之前发放给乙方工资。
如果甲方迟延向乙方付款,乙方同意工资发放相应顺延。
After withholding the social insurance which should be paid by individuals and the individual income tax provided by the state laws and regulations, Party A should pay the salary to Party B before the _25th_ day every month. If Party A delays the payment to Party B, Party B agrees that the salary payment can be postponed accordingly.
第五条工资调整:
Article 5 Salary Adjustment
(一)甲方实行变岗变薪制度,在合同存续期间,甲、乙双方协商一致后,乙方工作岗位、工作地点和工作任务可发生变动,薪资亦随之变动。
I. Party A implements the “position change, salary change” system. During the contract term, after the negotiations of Party A and Party B, if Party B’s job position, working place and contents change, the salary should also be changed accordingly.
(二)乙方因患病或者非因公负伤,在规定的医疗期满后不能从事原工作:或者由于乙方不能胜任甲方的岗位工作,甲方按照国家有关规定执行。
II. If Party B suffers illness or non-work related injury, and cannot perform the original work after the provide d medical treatment period expires; or Party B can not qualify Party A’s working requirements, Party A shall implement relevant state provisions.
第六条社会保险
Article 6 Social Insurance
(一)甲方应按国家和本市社会保险的有关规定为乙方参加社会保险。
I. Party A shall arrange the social insurance for Party B in accordance with relevant social insurance provisions of the state and this city.
(二)乙方按规定缴纳上述费用中个人应承担的部分。
II. Party B shall pay part of the above expenses which should be borne by individuals according to relevant provisions.
(三)乙方患病或非因工负伤,其病假工资、疾病救济费和医疗待遇等按照国家和乙方工作所在地政府相关规定执行。
III. If Party B suffers illness or non-work related injury, the sick leave salary, illness remedy fees and medical treatment shall be provided in accordance with relevant provisions of the state and the government of Party B’s working place.
第七条劳动保护、劳动条件和职业危害防护
Article 7 Labor Protection, Labor Conditions and Occupational Injury Prevention
(一)甲方建立健全生产工艺流程,制定操作规程、工作规范和劳动安全卫生制度及其标准。
甲方对可能产生职业病危害的岗位,应当向乙方履行告知义务,并做好劳动过程中职业危害的预防工作。
I. Party A shall establish complete manufacture and technological process, and make operation specifications, working regulations and labor safety and health system as well as the standards. For the position which may cause occupational disease, Party A is obligated to inform Party B, and make relevant arrangement to prevent the occupational disease during the work.
(二)甲方为乙方提供必要的劳动条件以及安全卫生的工作环境。
II. Party A shall provide Party B with necessary labor conditions and safe, healthy working environment.
(三)甲方应根据自身特点有计划地对乙方进行政治思想、职业道德、业务技术、劳动安全卫生及有关规章制度的教育和培训,提高乙方思想觉悟、职业道德水准和职业技能。
乙方应认真参加甲方组织的各项必要的教育培训,认真履行自己的劳动职责。
III. Party A shall train Party B in a planned way in respect of the political thoughts, professional ethics, operation technology, labor safety and health as well as relevant regulations and systems according to Party A’s own characteristics. Party B shall seriously participate in various necessary education and trainings organized by Party A, and carefully perform the post duties.
第八条乙方的保证
Article 8 Party B’s Guarantee
(一)乙方保证其与原用工单位已依法解除(或终止)劳动合同或劳动关系,并且不存在任何原用工单位有关的竞业限制。
I. Party B guarantees that the labor contract or employment with the original employer has been legally cancelled (or terminated), and there is not any non-competition agreement with the original employer.
(二)乙方保证其将及时向甲方递交办理社会保险等相关手续所需的有效凭证,如因乙方延迟递交而造成的任何后果,乙方应承担相应责任。
II. Party B guarantees to submit effective documents required by relevant procedures such as the handling of social insurance to Party A in time. If Party B delays the submission causing any consequences, Party B shall undertake relevant liabilities.
(三)乙方保证其向甲方提供的所有信息、资料、证明等均属真实、有效,并承担相应责任。
甲方向乙方当面提供的法律文书,文件及向乙方提供的通讯地址所送达的一切法律文书、文件,视为对乙方的送达。
乙方承担拒绝接收甲方送达的材料等信件而造成的责任和后果。
乙方同时保证个人信息有变化时应在5天内及时通知甲方,乙方承担未及时通知造成的责任和后果。
III. Party B guarantees that all the information, materials, certificates, etc. provided to Party A are true and effective. The presentation of the legal papers and documents to Party B by Party A, or sending the legal papers and documents to the communication address provided by Party B shall be considered as the service on Party B. Party B undertakes the liability and consequences caused by Party B’s refusal to accept the materials served by Party A. In the meantime, Party B guarantees to notify Party A in time within 5 days if the individual information changes. Party B shall undertake the liability and consequences caused by the failure to give notice in time.
(四)乙方理解并同意,诚信是重要的原则。
因此乙方保证,不会做出任何违背诚信原则的行为。
IV. Party B understands and agrees that being honesty and having good faith is an important principle. Therefore, Party B guarantees that Party B will not conduct any activities violating the honesty and good faith principle.
(五)乙方保证在甲方工作时,以及与甲方解除或终止劳动关系时,会根据甲方的要求进行工作和财物等方面的全部移交。
V. Party B guarantees to transfer all the work and properties, etc. according to Party A’s request when working in Party A, or canceling or terminating the labor relationship with Party A.
(六)乙方应严格遵守国家和乙方工作地法律和法规,遵守甲方的各项规章制度、保密规定和劳动纪律等。
VI. Party B shall strictly comply with the laws and regulations of the state and Party B’s working place, and obey Party A’s various rules and systems, confidential provisions, labor disciplines, etc.
(七)乙方在收到甲方送达的劳动合同,解除/终止劳动合同协议书等法律文书,文件后的5个工作日内应给以明确回复,并将签字或未签字的文件送还甲方,否则,甲方有权单方处理该文件(劳动合同书作废,解除/终止/变更劳动合同协议书等需乙方签字的即视同乙方默认),且乙方须承担相应的责任和后果。
VII. Party B should give definite reply within 5 working days after receiving the legal papers and documents such as the labor contract, labor contract cancellation/termination agreement, etc serviced by Party A, and send the signed or unsigned documents back to Party A, failing which Party A is entitled to unilaterally deal with such documents (for the labor contract cancellation/termination/change agreement which requires Party B’s signature, it should be treated that Party B agrees by silence), and Party B should undertake relevant liabilities and consequences.
(八)甲方属于外资公司,大多数的管理人员和法人是外籍人士,因此乙方需确认英文的口语和书写方面没有任何问题。
日常工作中的文件,重要工作交流,公司规章制度都将以英文形式呈现,乙方需接受所有的口头和书面英文信息。
VIII. Party B understands that Party A is a Foreign Co and most of the managers and legal persons are Foreigners. Party B agrees and confirms that It can understand English conversation in oral and in writings. Most of the work related documents and important communications regarding officer work, rules and regulations will be done in English and Party B egress to accept and abide to all English Messages be it Oral or in Writing.
第九条劳动合同的变更、解除、终止、续订
Article 9 Change, Cancellation, Termination and Renewal of the Labor Contract
(一)乙方违反本合同第八条的约定的,视为严重违反规章制度:
I. Party B’s breach of the agreement in Article 8 of this Contract shall be treated as seriously violating the rules and regulations.
(二)乙方提前三十日以书面形式通知甲方和用工单位,可以解除劳动合同;乙方试用期内解除,应提前三日书面通知甲方。
如乙方未按约定时限通知甲方,乙方承担由此造成的对甲方的所有损失。
II. Party B may cancel the labor contract by sending a 30 days prior written notice to Party A and the employer; if canceling the contract during the probation period, Party B should notify Party A three days beforehand. If Party B fails to notify Party A according to the agreed time limit, Party B shall undertake all the losses caused to Party A.
(三)本合同未尽事宜涉及甲乙双方变更、解除、终止,续订劳动合同的,依照《中华人民共和国劳动合同法》和国家有关规定执行。
III. Other matters not mentioned in this Contract involving the changing, cancellation, termination and renewal of the labor contract shall be conducted in accordance with the Labor Contract Law of the People’s Republic of China and relevant state provisions.
(四)劳动合同的变更
IV. Change of the labor contract
1 、甲乙双方经协商一致,可以变更本合同相关条款,变更后的条款以书面形式确定,双方各执一份。
1. Subject to the negotiation and consensus of Party A and Party B, the two parties may amend relevant clauses of this Contract. The amended clauses should be in the form of writing and the two parties shall each hold one duplicate.
2、经双方协商一致并预先约定,在本合同履行期间,发生下列情形时,本合同的相关条款随之变更:
2. Subject to the consensus and prior agreement of the two parties, during the performance of this Contract, relevant clauses of this Contract shall be changed accordingly under the following circumstances:
(1)工作岗位的变更:
(1) Change of the position
甲方向乙方告知在本合同履行期间本合同所约定工作岗位会发生变更的可能性,故经双方协商一致,确认以下情形之一发生可变更本合同所约定的工作岗位:
Party A shall notify Party B of the possibility to change the agreed working position during the performance of this Contract. As such, subject to the negotiation and consensus of the two parties, it is confirmed that the agreed working position can be changed under the following circumstances:
(a)乙方因升职而需要岗位变化的:
(a) The position needs to b e changed because of Party B’s promotion;
(b)因甲方组织架构发生调整而导致乙方岗位消失的:
(b) The organizational structure of Party A is adjusted causing the cancellation of Party B’s position;
(c)因甲方经营或管理模式发生变化而导致乙方岗位合并的:
(c) The operation or management mode of Party A changes causing that Party B’s posi tion is incorporated into other positions;
(d)因甲方业务结构发生变化而导致乙方岗位无工作任务的:
(d) The operation structure of Party A changes causing that there is no task for Party B’s position;
(e) 其他经双方协商一致确认可变更的情形。
(e) Other circumstances agreed and confirmed by the two parties.
(f)根据下面的任何一种情况, 甲方有权调整乙方的工作职位和职责:
∙乙方未能完成他/她的工作任务
∙乙方行为不端正, 违反公司的规章制度, 或公司选派,或职位准则
∙乙方破坏办公室纪律或引起办公室不和谐
∙乙方不协助其他同事的工作或分担工作任务
∙乙方拒绝帮助和指导下属或其他同事
∙乙方不和其下属和同事共享必要的信息
∙乙方泄漏本部门的机密并和其他部门或第三方分享不能共享的信息
(f) Party A can change the position and job profile of the Party B for any of the following:
∙Party B fails to perform his/her given tasks and responsibilities
∙Party B is misbehaving and violating the rules and regulations of the company
or of its designation or of its positions guideline
∙Party B is creating problem in the office discipline or harmony
∙Party B is not helping its colleagues or not sharing its duties
∙Party B refuses to help and guide its subordinates or colleagues
∙Party B doesn't share the required information with its colleagues and
subordinates
∙Party B breaches the confidentiality of its departments and shares the
information which is not required to be shared with other departments or
third party.
(2)薪金的变更
(2) Change of the salary
基于甲方向乙方告知在本合同履行期间,本合同所约定的工资标准会发生变更的可能性,故经双方协商一致确认以下情形之一发生时可变更本合同所约定的工资标准:
On basis that Party A notifies the possibility to change the agreed salary standard during the performance of this Contract, subject to the negotiation and consensus of the two parties, the salary standard agreed in this Contract can be changed under either of the following circumstances:
(a)乙方因过错按甲方规章制度规定被降薪的。
(a) The salary is reduced according to Party A’s rules and systems because of Party B’s fault.
(b)其他经双方协商一致确认可变更的情形。
(b) Other circumstances agreed and confirmed by the two parties.
(C),如乙方无法适应或完成甲方要求的工作任务,甲方将调低乙方的工资。
(C) Party A may reduce the salary if it understands that Party B's work in not appropriate and not as per
the requirement standards of Party A
3、甲方应依法向乙方出具解除和终止本合同的书面证明,并在十五日内为乙方办理档案和社会保险关系转移手续。
3. Party A should provide the written certificates to Party B in respect of the cancellation and termination of this Contract, and handle the files and social insurance relationship transfer procedures for Party B within fifteen days.
第十条违反劳动合同应当承担的责任
Article 10 Liabilities in Breach of the Labor Contract
(一)乙方违反本合同的约定解除劳动合同或由于乙方原因订立无效劳动合同,给甲方造成损害,应赔偿甲方损失。
I. If Party B breaches the agreement of this Contract to cancel the labor contract or the labor contract is ineffective because of Party B, which causes damage to Party A, Party B shall indemnify Party A’s losses.
(二)乙方违反其与甲方约定的保守商业秘密事项,给甲方造成损失的,乙方应赔偿甲方损失。
II. If Party B violates the agreement with Party A in respect of keeping the trade secrets confidential and causes losses to Party A, Party B shall indemnify Party A’s losses.
(三)甲方如提供专项培训费用,对乙方进行专业技术培训的,甲方有权与乙方签订服务期合同,服务期合同另行签订。
乙方违反服务期合同的,应向甲方承担违约责任。
III. If Party A undertakes the special training expenses to provide special technological training to Party B, Party A is entitled to conclude the service period contract with Party B, which shall be signed separately. If Party B violates the service period contract, Party B shall undertake the liabilities of breach of the contract.
(四)乙方在甲方工作期间,违反甲方有关规定,给甲方造成经济损失的,按甲方经济赔偿规定处理。
若乙方不按规定承担赔偿责任,甲方可以暂扣奖金或提起仲裁,诉讼追究乙方的责任。
IV. During the working period in Party A, if Party B violates relevant provisions of Party A causing the economic loss to Party A, Party B should make indemnity according to Party A’s provisions of economic indemnity. If Party B fails to undertake the indemnity liability, Party A may withhold the bonus for the moment or commence arbitration or litigation to claim against Party B.
第十一条争议的解决
Article 11 Dispute Resolution
双方在履行本合同中发生劳动争议,协商解决,协商不成的可向各地区劳动争议仲裁委员会申请仲裁。
对裁决不服的,可向各地区人民法院提出诉讼。
The labor disputes arising from the performance of this Contract by the two parties should be solved by negotiation, failing which they may be submitted to local labor dispute arbitration committee for arbitration. If the two parties are not sat isfied with the award, they may file the litigation before local people’s court.
第十二条保密条款
Article 12 Confidentiality
甲方以书面(包括电子邮件)、口头等形式提供给乙方的任何信息或者数据,包括但不限于商业计划、客户信息、财务数据、文档模版、质量标准、双方订立的协议及全部附件、资料均为商业秘密。
乙方未经甲方事先书面同意,不得以任何形式将保密信息的部分或者全部披露、许可给任何第三方。
如有违约,乙方应承担赔偿责任和法律责任。
Any information or data provided by Party A to Party B in written (including the emails) or oral form, including but not limited to the business plan, client information, financial data, file template, quality standard, agreement concluded between the two parties as well as all the attachments, materials shall be the trade secrets. Without the prior written consent of Party A, Party B shall not disclose or grant part or all of the confidential information to any third party in any form, failing which Party B shall undertake the indemnity and legal liabilities.
第十三条其他
Article 13 Miscellaneous
1 、本合同一式两份,甲乙双方各执一份。
经双方签字盖章后生效。
1. This Contract is made in duplicates with Party A and Party B each holding one, which shall take effect after the two parties’ signatures and stamps.
2 、本合同未尽事宜或与国家法律和乙方工作地有关规定不一致时,以国家法律和乙方工作地规定为准。
2. Other matters not mentioned in this Contract or there are any discrepancies with the state law or relevant provisions in Party B’s working place, the state law and the provisions of Party B’s working place shall prevail.
