Bareboat Charter Party Agreement
This Bareboat Charter Party Agreement (the "Agreement") is made and entered into as of [Date], by and between [Owner's Name] ("Owner"), a [Owner's Jurisdiction] corporation, and [Charterer's Name] ("Charterer"), a [Charterer's Jurisdiction] corporation.
1. vessels
The Owner agrees to bareboat charter to the Charterer, and the Charterer agrees to bareboat charter from the Owner, the vessel described in
Exhibit A attached hereto (the "Vessel").
2. duration and commencing date
The charter period shall commence (the "Commencement Date") at [Time] on [Date] and shall continue until [Time] on [Date], unless extended in writing by mutual agreement of the parties (the "Charter Period").
3. payment of charter hire
The Charterer shall pay to the Owner, as rental for the use of the
Vessel during the Charter Period, the sum of [Charter Hire Amount] (the "Charter Hire"). The Charter Hire shall be paid in [Payment Frequency] installments of [Installment Amount] each, commencing on the Commencement Date and continuing on the same day of each succeeding [Payment Frequency].
4. obligations of the charterer
The Charterer shall have the following obligations during the Charter Period:
(a) Management and Operation: The Charterer shall be solely responsible for the management, operation, and maintenance of the Vessel, including, but not limited to, the employment of the crew, compliance with all applicable laws and regulations, and the payment of all operating expenses.
(b) Insurance: The Charterer shall obtain and maintain, at its own expense, comprehensive insurance coverage for the Vessel, including, but
not limited to, hull insurance, machinery insurance, and third-party liability insurance, in amounts and with insurers satisfactory to the Owner.
(c) Maintenance and Repairs: The Charterer shall be responsible for the maintenance and repairs of the Vessel, except for normal wear and tear, and shall promptly make good any damage to the Vessel or its equipment.
(d) Payment of Expenses: The Charterer shall be responsible for all expenses related to the operation and maintenance of the Vessel, including, but not limited to, fuel costs, port charges, and crew wages.
5. obligations of the owner
The Owner shall have the following obligations during the Charter Period:
(a) Delivery of the Vessel: The Owner shall deliver the Vessel to the Charterer in seaworthy condition, free from all liens and encumbrances, at the location specified in Exhibit A.
(b) Title and Ownership: The Owner shall retain all right, title, and interest in and to the Vessel, and the Charterer shall have no interest in or title to the Vessel.
(c) Navigational Control: The Owner shall have the right to control the navigation of the Vessel, including the determination of the route and the selection of ports of call, subject to the reasonable instructions of the Charterer.
6. termination
The Agreement may be terminated by either party upon written notice to the other party if the other party breaches any material provision of this Agreement and fails to cure such breach within [Cure Period] after receipt of written notice thereof from the terminating party.
7. indemnification
The Charterer shall indemnify and hold harmless the Owner against any and all claims, losses, damages, liabilities, and expenses (including reasonable attorney's fees) arising out of or in connection with the
operation, maintenance, or use of the Vessel during the Charter Period, except to the extent caused by the negligence or willful misconduct of the Owner.
8. assignment
Neither party may assign its rights or obligations under this Agreement without the prior written consent of the other party, except that the Owner may assign this Agreement to a affiliate or successor without the consent of the Charterer.
9. Governing Law
This Agreement shall be governed by and construed in accordance with the laws of [Governing Jurisdiction].
