PURCHASE CONTRACT

This Purchase Contract (hereafter referred to as the “Agreement”) is made and entered into on _________________ (date) by and between:

WHEREAS, Party A desires to purchase certain goods from Party B and Party B desires to sell such goods to Party A;

NOW, THEREFORE, in consideration of the mutual promises and agreements set forth herein, the Parties agree as follows:

1. GOODS

Party B agrees to sell and Party A agrees to purchase the following goods:

5. WARRANTIES

6. INTELLECTUAL PROPERTY RIGHTS

Party B represents and warrants that it has full and valid title to the Goods and that the sale and use of the Goods will not infringe upon the intellectual property rights of any third party.

乙方声明和保证，其对货物具有充分有效的所有权，并且货物的销售和使用不会侵犯任何第三方的知识产权。

7. GOVERNING LAW AND JURISDICTION

7. 适用法律和管辖权

This Agreement shall be governed by and construed in accordance with the laws of the People’s Republic of China. Any dispute arising under or in connection with this Agreement shall be resolved by arbitration in accordance with the rules of the China International Economic and Trade Arbitration Commission in effect at the time of the arbitration, and the award of the arbitrator(s) shall be final and binding upon the Parties.

本协议受中华人民共和国法律管辖并按照其解释。因本协议引起的或与本协议有关的任何争议应该根据中国国际经济贸

易仲裁委员会实行的仲裁规则解决，仲裁裁决是对双方具有最终的、有约束力的效力。

8. ENTIRE AGREEMENT

8. 整体协议

This Agreement constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, between the Parties.

本协议构成双方有关本协议主题的全部协议，并且取代了以前和同时期的所有书面或口头协议和理解。

9. AMENDMENT AND WAIVER

9. 修改和弃权

No amendment or modification of this Agreement shall be valid or binding upon the Parties unless in writing and signed by the authorized representatives of both Parties. No waiver of any term or provision of this Agreement shall be deemed to be a waiver of any subsequent breach thereof or of any other term or provision.

除非双方的授权代表书面签署，否则本协议的修改或变更无效。本协议任何条款或规定的弃权不得视为对其任何后续违约或其他条款或规定的弃权。

10. ASSIGNMENT

10. 转让

Neither Party shall assign or transfer this Agreement or any rights or obligations hereunder without the prior written consent

of the other Party.

未经对方书面同意，任何一方都不得转让或转移本协议或本协议项下的任何权利或义务。

11. COUNTERPARTS

11. 副本

This Agreement may be executed in counterparts, each of which shall be deemed an original but all of which shall constitute one and the same instrument.

本协议可以由各自的副本签署，每份副本均将被视为原件，但所有副本将组成同一份文件。

IN WITNESS WHEREOF, the Parties have executed this Agreement as of the date first above written.
