Unit 7
A contract is a legally binding agreement between two or more parties which starts with an offer from one person but which does not become a contract until the other party signifies an unequivocal willingness to accept the terms of that offer.
Order is a commercial document used to request someone to supply something in return for payment and providing specifications and quantities. Order letters create one half of a contract。

A good letter ordering an item or service should be accurate and complete。

兹附寄第346号销售确认书一式二份，请签回一份以便存档。

We have received your letter of September 20，2000 together with an order for 1,000 Sewing Machines. Enclose is our Sales Confirmation No。

346 in duplicate, one copy of which please sign and return to us for our file。

We learn that an L/C covering the above—mentioned goods will be established immediately. You may rest assured that we will arrange for despatch by the first
available steamer with the least possible delay upon receipt of your L/C.
4. 请你方注意，信用证的条款必须与我方售货确认书的条款完全相符，以免日后修改。

Please note that the stipulations in the relevant credit should fully conform with the terms as stated in our S/C in order to avoid subsequent amendments。

Unit 8
Three basic methods of effecting payments in international business:
Remittance（汇付）Mail Transfer（M/T)(信汇)

D/P付款交单
Document against payment：Instructions given by a seller to his bank that the document attached to a SIGHT draft for collection are deliverable to the drawee （buyer) only against payment.
D/P at Sight：the seller issues a sight draft which is then presented to the buyer through a collecting bank. The buyer must pay the money at once upon receiving the sight draft before he can get the shipping documents.
D/P after sight：the seller issue a time draft ，for instance，a draft at 60 day’s sight, which is then presented to the buyer through a collecting bank。

D/P at Date: we take '60days after date of the draft’ for example，the buyer has to pay the money on the 60th day after the date of the draft。

Documents Against Acceptance （D/A）
Instructions given by a seller to his bank that the documents attached to a TIME draft for collection are deliverable to the drawee only against the drawee's acceptance of the accompanying draft。

3. Please amend the L/C to allow transshipment and partial shipment。

4. Please extend the shipment date of your L/C to May 15 and validity to May 30，thus enabling us to effect shipment of the goods in question。

5. The stipulations of your L/C should be in conformity with those of the relative sales confirmation.

We wish to draw your attention to the fact that the 800 bicycles under Contract No。

Unit 9
Three principal types of marking which may have to be done on export
packages：
The consignees’ own dist inctive marks
Any official mark required by authorities
Special directions or warnings
1.纸板箱作为一种包装容器已在国际贸易中广泛使用，因此，对它们的适航性,你们不必担心。

Cartons as a kind of packing container have been extensively used in international trade. Therefore，you need not worry about their seaworthiness。

2. 据我们所知，保险公司接受投保纸板箱装的货物的偷窃、提货不着险（Theft, Pilferage &
Non—delivery)。

万一发生偷窃,你们可以放心,保险公司将给予赔偿。

So far as we know，insurance companies accept goods packed in cartons to be insured against TPND. In case of theft and pilferage，you may be assured that you will get indemnification from the insurance company concerned.
3. 我们男衬衫的包装为每件套一塑料袋，5打装一纸箱.内衬防潮纸，外打铁箍两道。

The packing of Men’s Shirts is each in a polybag, 5 dozen to a carton lined with waterproof paper and bound with two iron straps outside.
4.你们的人参酒(Ginseng Wine）质量好，但包装较差,瓶子易碎，纸盒太薄，对我们今后的订
货，没瓶套一只泡沫塑料套(foam plastic casing），并装在较厚的纸盒内，否则我们只能放弃
这项业务。

The quality of your Ginseng Wine is fine, but its packing is rather poor. Bottles are subject to breakage and paper boxes are very thin. Please put each bottle in a foam plastic casing and then in a thicker paper box for our future orders. Otherwise, we
shall be compelled to give up this business.
5。

货价通常包括包装费在内，“包括出口包装"这一用语，意即所报价格包括适合出口的包装费用。

如所报价格不包括包装费用,那么“出口包装费用由买方负担”一语应予列入合同. Prices of goods usually include the cost of packing. The phrase “including export packing” means that the quotation includes the cost of package suitable for export。

If the quotation does not include the cost of package, the phrase “Export packing is for buyer’s account” should be inserted in the contract。
