《信用证结算方式下的出口制单》工作页

双方通过E-mail ，国际长途等方式增进了解并展开深度磋商，最终在2011年10月27日，双方签订了一份销售合同，具体内容如下：

Terms of Shipment: To be effected on or bef ore JAN .15, 2012 f rom Ningbo, China to Felix stowe ,U.K.( 费利克斯托)with partial shipment and

transshipment allowed. （允许分批装运和转船）

Insurance: To be effected by the buyer .

Terms of Payment: The buyer should open through a bank acceptable to the seller an irrevocable letter of credit payable at sight f or 100%

of the contract value to reach the seller 50 days before the time of shipment and remain the valid f or negotiation

in china until 21 days af ter the day of shipment .

买方应该通过为卖方所接受的银行于装运月份前50天开立并送达卖方不可撤销即期信用证，有效至装运月份后第

21天在中国议付。

Claim （索赔）:

Any claim by the Buyers regarding the cargo shall be supported by survey report issued by a surveyor approved by the Seller and lodged within 45 days af ter the arrival of the cargo at the port of destination. The Seller will not consider claims in respect of matters within responsibility of insurance company o r shipping company.

买方对于装运货物的任何索赔，必须于货物到达目的港起45天内提出，并须提供卖方同意的公正机构出具的检验报告。属于保险公司或船舶公司责任范围内的索赔，卖方不予受理。

Force Majeure （不可抗力）:

In case of Force Majeure, the Seller shall not be responsible f or late delivery or non-delivery of the goods but shall notif y the Buyer by f ax. The Seller shall deliver to the Buyer by registered mail, if so requested by the buyer, a certif icat e issued by the China Council f or the Promotion of International Trade or any competent authorities.

在不可抗力的情况下，卖方不负责延迟交货或不交货的责任，但应以传真通知买方并须以挂号函向买方提供由中国国际贸易促进委员会出具的证明书。

Arbitration （仲裁）:

All disputes in connection with this Contract or the execution thereof shall be settled through f riendly negotiations between two parties. In case no settlement can be reached through negotiation, the case in dispute shall then be submitted f or arbitration in the country of defendant in accordance with the arbitration regulations of the arbitration organization of the defendant count ry. The decision made by the arbitration organization shall be taken as f inal and binding upon both parties. The arbitration expenses shall be borne by the losing party unless otherwise awarded by the arbitration organization. (If in China, the arbitration shall be conducted by the China International Economic and Trade Arbitration Commission of the China Council f or the Promotion of International Trade)
