Schedules and AnnexesThe schedules and annexes to this Agreement are integral parts thereof and shall have the same legal effect as the main body of the Agreement. The specific schedules and annexes shall be agreed upon by both parties prior to the date of signing this Agreement.VIII. Force MajeureIf either party is prevented from performing its obligations under this Agreement due to force majeure, such party shall notify the other party immediately and provide reasonable evidence to support its claim. The performance of the affected party shall be suspended until the force majeure event has ceased and it is able to resume performance under normal circumstances.IX. WaiverAny failure or delay by either party in exercising any right or remedy under this Agreement shall not be deemed as a waiver of such right or remedy, nor shall it affect the validity or enforceability of this Agreement or any part thereof.X. SeverabilityIf any provision of this Agreement is held invalid or unenforceable by any court or other competent authority, such invalidity or unenforceability shall not affect the validity or enforceability of any other provision of this Agreement, and each provision shall be interpreted separately as if it were a separate agreement between the parties.XI.
