一、保密内容和范围
本协议所指商业秘密是指不为公众所知悉、能为权利人带来经济利益、具有实用性并经权利人采取保密措施的技术信息和经营信息。

具体包括但不限于:
1、甲方的生产资料、生产基础、生产情况、产品配方、产品成本、产品定价、人事记录、员工资料、客户名单、供应商名单、货源情报、市场资料、业绩评估、产销策略、销售历史、财务状况、进料渠道、设计、程序、技术文档、软件源代码、可执行程序、演示程序、测试数据、制作工艺、制作方法、工艺流程、技术资料、管理诀窍、产品开发与研究进程、招投标的标底和标书内容以及尚未经甲方正式对外公布的经营管理信息、科研成果。

2、所有在乙方受聘期间研究发明或者参与研究发明的科研或成果,以及从公司知晓、学习到的知识、了解的商业秘密及知识产权,获知或负责完成的一切与项目及公司有关的信息、资料、数据等。

3、其他经营信息、技术信息。

4、虽不符合商业秘密构成要件,但是甲方明确提出保密要求的资料或者信息,也适用本协议有关权利义务的规定。

5、本保密协议和劳动合同为甲方内部文件,乙方应妥善保管,不得泄露给第三方,离职时必须退回甲方,如有泄露按本合同泄露商业秘密的规定处理。

6、客户名单和供应商名单包含以下内容:客户名称、住所地、通信地址、电子信箱、负责人、业务联系人等。

7、《劳动合同》和本协议其他条款提及的“商业秘密”应当理解为包括本条各款所指的资料或者信息,不再另行指出。

二、保密期限
1、本协议经双方认可的保密期限为自乙方获取本协议保密范围内甲方任何信息资料等之时直至该等信息、资料为公众所知悉止,且不因乙方是否最终成为甲方受聘人员或离任、辞职、解雇等原因而终止。

2、如果乙方与公司之间的劳动合同期满后,不论双方是否续签劳动合同,原双方签订的保密协议依然有效。

三、甲方的权利义务
1、甲方拥有本公司项下的所有权益,包括但不限于,股权、物权、经营收益权、知识产权等。

其权利受法律保护,不受侵害。

2、乙方为甲方工作期间,基于职务进行科学研究、发明创造、撰述等所取得的一切成果均属于职务成果范畴,所取得的一切知识产权均归甲方所有。

乙方享有法律规定的相应权利。

双方之间有特别约定从约定。

3、甲方为乙方提供相应的工作条件,并根据其开发成果所创造的经济效益按照《劳动合同》及甲方制度给予相应的报酬与奖励。

四、乙方的权利义务
1、乙方应自觉维护本企业的利益,严格遵守甲方的保密制度,不得以任何形式(包括口头、书面、电子邮件以及其他通讯手段等)泄露知悉、掌握的甲方的商业秘密、成果、信息、资料等。

2、乙方应依照甲方的规定保密工作流程操作执行。

不准越级、不准窃取不属职权范围内的企业商业秘密。

3、乙方对自身负责的岗位或项目,应根据岗位或项目的内容和特点制定或采取相应保密措施、以保证商业秘密的安全性和有效性,并应及时向甲方提出相应采取或改进建议措施。

4、乙方对本协议保密范围内公司任何信息资料等负有保密责任,非经公司书面允许或工作之必需,不得以任何方式向任何第三方泄露;或指示第三方技术诀窍和研制路径。

5、乙方必须按甲方的要求从事项目的研究与开发,并将研究开发的所有资料及时交甲方保存。

未经甲方同意,乙方不得将甲方技术秘密、技术成果、相关信息、资料用于公司开发项目以外的其他任何研究与开发项目。

6、非经甲方书面许可不得使用该商业秘密进行生产与经营活动,不得利用该商业秘密进行新的研究和开发。

7、乙方不得利用所掌握的商业秘密牟取私利。

8、非经甲方书面同意,乙方在为甲方工作期间不得在公司外兼职(包括各种全日制、非全日制、提成制、代理或者其他任何形式的劳动关系和劳务关系)。

9、乙方不得将工作中获取或研制开发中的商业秘密据为已有,有关资料、图纸、样品一律归档,不得私自留存。

10、所有的商业秘密资料原件、原物和相关复印件、摘录件等,乙方应在离职前叁日内移交给甲方,不得以任何形式带走、留存或向第三方披露任何商业秘密,同时承担在所有商业秘密解密之前不泄露商业秘密的义务。

11、乙方对本协议保密范围内公司任何资料信息,不得以任何非公司工作需要的目的进行包括但不限于使用、传递、泄露、以个人名义或公司名义或者其他名义发表。

12、乙方工作期间,基于职务或利用甲方的成果、信息、资料等进行科学研究、发明创造、撰述等所取得的一切成果均属于职务成果范畴,所取得的一切知识产权均归甲方所有。

乙方按照甲方制度享有相应获取报酬的权利。

13、在合同履行期间,乙方不得自营或与甲方以外的人再行合作进行与甲方的业务相同或者相类似或者相竞争的业务,否则视为乙方严重侵害甲方商业秘密并严重违约。

乙方因此获得的所有利益和收入归甲方所有,甲方损失由乙方负责赔偿。

五、脱密期之约定
乙方解除合同或者因其他原因终止劳动关系之前,应当提前3个月通知甲方,由甲方对乙方工作岗位和工作任务另行调整安排,以便脱离商业秘密之接触。

六、竞业禁止之特别约定
乙方同意并接受,自乙方从甲方离职后两年内不能到生产或提供相同或类似产品或服务,或者与甲方有竞争关系的其他单位、公司、机构、组织或个人处任职或者以其他方式提供劳动或劳务,也不得自营或者合作经营或者为他人经营与甲方相同或类似业务。

七、违约责任
1、乙方有下列行为之一,应当视为违约并承担与此相关的一切法律责任:
(1)未经甲方书面授权使用或许可他人使用研究成果或商业秘密;
(2)披露研究成果或商业秘密;
(3)将研究成果或商业秘密或其复制品据为已有或未经甲方授予权持有;
(4)为他人侵犯公司商业秘密提供信息或便利;
(5)违反脱密期约定之提前通知义务的;
(6)违反竞业禁止义务的;
(7)其他违反本协议的行为。

2、如果上述情形发生在劳动关系存续期间,甲方还有权单方解除与乙方的劳动合同并且无需给予乙方任何补偿,并追究乙方相应法律责任。

3、乙方未能全面遵守本协议约定义务的,向甲方支付不少于人民币贰拾万元的违约金。

给甲方造成损失的,还应承担损害甲方的赔偿责任。

乙方承担上述责任后,并不因此而免除其应承担的其他法律责任。

八、免责条款
1、经公司允许对外公开的公司信息资料或公司认为可以公开的资料信息,不在本协议约束的保密范围内,乙方不负保密责任。

2、有关部门依职权向乙方调取并经甲方同意的披漏。

3、经公司允许的对媒体的了解情况性披漏。

九、争议解决
1、因本协议之履行发生争议,双方应通过协商方式解决,协商不成的,属于劳动争议的由甲方所在地劳动争议仲裁委员会仲裁;属于民事诉讼的,由甲方所在地人民法院依法管辖。

2、因本协议产生的争议,适用中华人民共和国法律为准据法。

3、违约方应当承担守约方为主张权利而支出的所有费用,包括但不限于诉讼/仲裁费用、律师费用、差旅费、调查取证费用等。

十、其他
1、本协议未尽事宜,双方可签订补充协议,补充协议与本协议具有同等法律效力;补充协议与本协议有冲突的,以补充协议为准。

本协议与补充协议都没有规定或规定不清的,中国有关商业秘密的法律法规及规章当然适用。

2、本协议作为乙方与甲方劳动合同的附件,与双方的劳动合同具有同等法律效力。

3、本协议自双方签字或加盖公章之日起生效。
