总承包：一般工程总承包是指对工程负责设计、采购设备、运输、保险、土建、安装、调试、试运行，最后机组移交业主商业运行，整个过程称为工程的总承包。
EPC与工程总承包两者含义相近。
工程总承包中还有解释：设计采购施工中的EPC是英文Engineering, Procurement and Construction的缩写。
Engineering就是“设计”的意思。
当“设计”理解时，Engineering 与同样可理解为“设计”的Design的含义大不相同。
一般说来，Engineering指根据制造、加工等方面的科学与工程原理对机器、设备、装置、系统等的机理与流程等方面进行设计;而Design指对建筑物、构筑物的空间划分、功能布置、各部分之间的联系，以及外观进行设计和审美与艺术的处理。
从这种区别中可以看出，设计-采购-施工合同一般不适合建筑工程的采购。
设计采购施工(EPC)/交钥匙工程总承包，即工程总承包企业按照合同约定，承担工程项目的设计、采购、施工、试运行服务等工作，并对承包工程的质量、安全、工期、造价全面负责。

BOT、EPC、EMC等几种节能服务模式的共性与区别BOT : Build-Operate-Transfer （建设--运营--移交）即业主与服务商签订特许权协议，特许服务商承担工程投资、建设、经营与维护，在协议规定的期限内，服务商向业主定期收取费用，以此来回收系统的投资、融资、建造、经营和维护成本并获取合理回报，特许期结束，服务商将固定资产无偿移交给业主的一种投资模式。

合同能源管理是发达国家普遍推行的、运用市场手段促进节能的服务机制。
节能服务公司与用户签订能源管理合同，为用户提供节能诊断、融资、改造等服务，并以节能效益分享方式回收投资和获得合理利润，可以大—大降低用能单位节能改造的资金和技术风险，充分调动用能单位节能改造的积极性。
目前国内EMC的运作模式和BOT的运作模式有很多相似之处，主要区别在于BOT在运营期的收益一般由服务方全部收取，而EMC则由服务方和业主按合同约定比例共同分享节约的能源成本。
EPC : Engineering--Procurement-- Construction （设计一采购一施工）节能环保工程建设行业总承包业务的普遍模式，即服务商承担系统的规划设计、土建施工、设备采购、设备安装、系统调试、试运行，并对建设工程的质量、安全、工期、造价全面负责，最后将系统整体移交业主运行。
EPC +C : Engineering--Procurement--Construction & Commission （总承包 + 托管运营）在系统建设阶段采用EPC总承包的服务模式，在运营阶段采用系统托管运营模式。

通常指投资方仅选择一个总承包商或总承包商联合体,由总承包商负责整个工程项目的设计、设备和材料的采购、施工及试运行,提供完整的可交付使用的工程项目的建设模式。
EPC模式适用一般规模较大、工期较长,且具有相当的技术复杂性的工程,笔者近几年在非洲国家参与了EPC项目的实施过程,对其运作过程有一定的了解。
下面就EPC管理模式在工程项目上的应用谈一点自己的体会。
EPC模式的特点EPC模式的重要特点是充分发挥市场机制的作用。
投资方通常仅规定技术标准规范、技术要求和其它基本要求,以使总承包商的设计、采购、施工等分包商共同寻求最经济、最有效的方法实施工程项目。
为了有效地竞争,EPC总承包商一般都将整个项目划分成若干相对独立的工作包。
总承包商可以将合同中的部分工作分包给分包商,但对分包商所负责的工作承担全面责任。
EPC模式的关键就是依赖称职的专业分包商以标准化的程序进行严格的网络控制,使复杂的工程项目获得成功。
EPC模式的另一个特点是合同价格除非特殊约定外,基本不变,业主能够比较准确地预知项目的总投资,基本不承担自然条件、物价上涨、工程量变化、设备交货不及时等风险。
也就是说,业主只负责出钱,其他的工作与风险一般由总承包商承担。
而总承包商也必然会充分利用EPC合同规定的权限,在满足业主要求的前提下,追求设计的最优化和最经济,通过防范风险争取利益的最大化。
在EPC模式下,投资方通常通过业主(IPMT、PMT)或委派业主代表(PMC)来管理项目。
EPC总承包商本身一般采用矩阵式的组织结构。

EPC中英对照合同
商和YY集团依照各自的合同权利和利益联名共同投保，一切险范围为从原产地到工程现场之间的所有运输保险，包括海运险、陆运险、战争险。
The insurance coverage shall be one hundred and ten percent (110%) of the delivered cost and insurance premiums shall be paid by the Contractor. Under such insurance, the indemnity must be payable in US dollars, freely usable to replace or repair such goods. The Contractor, acting as agent for YY, shall initiate proper action and pursue settlement regarding insurance claims whenever damages and/or losses are inflicted on the goods. The projects which will be performed by the contractor according to this project shall include the execution of the technical specifications and the rest of the contract documents. The work includes, and is not confined to, the execution establishment, the completion of all the project items that depend on the application works, the preparation of the executive detailed charts with providing the detailed engineering accounts required for all the related items and systems of the project and in all specializations, the preparation of the workshop charts, the final tables of quantity and all the other services mentioned in the contract documents, all the vocational works required for the execution of the required works including the study of the site, soil test, establishment, civil, architectural, electric and mechanical works with all the furniture, interior supplies, preparations, finishing works, test operation and the works’ maintenance during the maintenance period (guarantee) and all the other works mentioned in the scope of work and all the other contract documents.The work scope also includes the provision of the Sites, labor, supervision, tools technical and vocational services, production plans, execution, material, provisions and the items required for revising the designs and applying them on the Sites with performing all the required amendments, executing, establishing, furnishing, preparing, finishing and completing the project besides fulfilling all the duties and obligations according to the contract documents in order to achieve the beneficiary party’s requirements and needs.
