销售和采购协议PT MITRADA SINERGY,公司(一家根据印度尼西亚法律创办的公司,在印尼的11410有其注册登记的办公室,一下简称“卖方”)和泉州大顺贸易有限公司(一家根据印尼法律创办的公司,在XXX有其注册登记的办公室,以下简称“买方”)(以下专称“卖方”或“买方”或共同称为“协议方”)于__年__月__日缔结并达成本销售和采购协议。
依照本协议的条款规定鉴于卖方是本协议规定的法定实体和煤炭权益人(“煤炭主”);鉴于卖方同意按照本协议规定的考虑事项及条款和条件将煤炭卖给买方,且买方同意从卖方采购煤炭;因此,协议方都同意按照本文规定的条款和条件达成本协议。
1 定义在这个协议中,除非上下文另有规定的情况允许下,下列词语的含义如下:煤炭指卖方mscoal产生在苏门答腊岛和加里曼丹,印度尼西亚。
吨公吨MT 指公吨按照国际标准体系定义为1000千克。
精确到小数点后3位美元US$ $,美分指货币结算使用美元,美分以下的单位,按照四舍五入计算。
CFR 指成本和运费按照国际贸易术语解释通则2010装货港指印度尼西亚南加里曼丹塔巴尼奥港装运卸货港指中国宁波,也可由买方指定。
目的地指由买方指定的中国或其它目的地提货单指由船东签发的运输煤炭的书面物权凭证ETA 指预计时间和到达时间ISO 指国际标准化组织Kcal 指国际单位制定义的千卡mm 指国际单位制定义的毫米受载时间指母船允许的装货时间工作日指除非明确说明,一般是指商务通常都进行的日子,“日”应视为“公历的一天”晴天天气工作日指没有因为天气原因而耽搁,24小时持续装货的工作日检疫证书指可用符合当地卫生条例的船只在港口/口岸进行商业操作事实陈述指由装货港的船舶代理出具的有关船舶到达的时间,装运开始结束时间的声明。
并详细记录每个工作日装货的小时数,和中止装运的小时数。
时间列表指详细记录有关货物装运卸货的持续工作时间和中断时间档,用以计算滞期费和速遣费送货时间指装船货运的开始,从__年__月__日到__年__月__日,这个受载期应该是由协议双方同意的。

一、基本情况
印尼煤炭参考价又称HBA,由印尼能源和矿产资源部(the Ministry of Energy and Mineral Resources)制定,用来计算生产者所有未来煤炭出口和国内煤炭销售需支付税务的的最低价格,印尼2010第17号法令要求印尼煤炭销售不得低于印尼煤炭参考价。
所有印尼煤炭交易合同必须在装船前至少两星期提交印尼能源和矿产资源部审核,如果合同价格未按上述法令要求制定,将不颁发有关船运文件,该公司将会被警告,警告三次将会被吊销经营许可证。

二、计算方法
HBA是用上一月全球四大煤炭指数平均值计算,包括:印尼每月平均煤炭价格指数(Indonesia Coal Index, 简称ICI1),普氏指数(Platts1),纽卡斯尔出口指数(Newcastle Export Index,简称NEX)和全球煤炭指数(GlobalCoal Index,简称GC),详细计算如下:
HBA = 25% lCl1 + 25% Platts1 + 25% NEX + 25% GC;
HBA指数中的煤炭标准为:GCV(GAR)6322大卡/公斤,总水分(ARB)8.00%,总硫0.80%,灰分15.00%和付款方式为FOB离岸价。
对于长期合约交易(一年以上),参考指数为前三个月HBA
的平均值( 最近月的50%+前一个月的30% +前两个月的20%)。
公布HBA的同时,还公布印尼8个主要煤炭品种的参考价(HPB),用来计算其他与该8种质量相当煤种的价格。
三、2012年2月HBA
2012年2月HBA为111.58(美元/吨),较1月的109.29上涨2.29美元/吨,涨幅2.09%。

印尼煤贸易目前有几种交易方式:1. CIF到岸CIQ付款------一般都直接对电厂了,都可以做到岸了,价格自然高,和国内港口平仓价格差不多,贸易商接肯定没利润空间,人家直接做电厂利润肯定高些,做CIQ付款风险是最低。
2. CNF到岸(离岸付全款或(98%+2% 95%+5%))----在印尼离岸付款绝大多数或全部,到岸付余款,风险存在煤炭质量问题,如果不是长期稳定的供货商,对装船要花点心思去监控,一步小心,到岸掉了上千卡,这是时有的事情。
3. FOB 驳船离岸(客户自己订母船,自己定驳船,买方负责装船)------对印尼了解的采购方很多都会选择这个模式,但是如果你不熟悉印尼,没有良好的人际关系在印尼,劝你不要做FOB,这边存在定了船没货啦,同时存在煤炭质量上的风险。
4.FOB母船离岸(客户自己订母船,卖方负责驳船和装船)-----风险同第3点是一样。
支付方式由以下几种:1. 现金支付---现金支付,如果对印尼不熟悉的买方肯定不会走这一步,虽然现金支付的价格是最低(按2011年3月价格ADB 6300 FOB价格68美金左右),但存在风险也最大,一不小心,钱发了,煤又没看到。
2. 一般跟单LC 支付---- 可分为可转让和不可转让两种,即期和远期,按正常的贸易是走不可撤销跟单即期LC,这个是十分安全的信用证,如果是远期的LC,卖方都是拿去融资贷款。
一般LC的煤炭价格是最高的,走市场行情。
(按3月价格ADB 6300 FOB价格在83美金左右,CNF价格98美金)3. SBLC备用信用证----100%金额压银行,买方无法凭银行信用额来开证,受益人是可以无条件凭SBLC向银行贷款,如果不是可信度非常高的卖方,相信买方也不会开具这样的信用证,开SBLC肯定是有足够的利润给买方,买方才会去承担风险(按3月价格ADB6300 FOB 价格68 CIF价格85美金左右)很多朋友问我,什么样的矿方才会实在,怎样才能让印尼人履行已经签订的合同呢?我这样对他说,想实在走国际行情,印尼四大国营煤矿的合同一定没问题,一定供得到货,但价格高呀,又想便宜,又要安全,又没有风险,求上帝吧。

船东在印尼港口装煤的风险与防范之道(转)
摘要:近年来随着印尼煤炭出口量的大幅增长,越来越多的船东加入了印尼航线的煤炭运输队伍,但也愈加频繁地听闻船东在印尼港口装货时不愉快的遭遇,为此,笔者结合自身实践之心得,从合同谈判到执行的一系列过程来分析在印尼港口装煤可能存在的风险并提出相应的防范之道。
关键词:船东印尼煤风险防范印尼矿产资源丰富,盛产石油、天然气、煤、锡、铝矾土、镍、铜等,主要出口产品有石油、天然气、木材、煤、棕榈油、橡胶等,中印两国贸易往来日益频繁。
从事东南亚航线的散杂货船东,素来十分重视印尼的货源,但是相信经常从事印尼至中国沿海运输的船东或多或少都曾在印尼港口有过不愉快的经历,甚至是不堪回首的经历,尤其是去印尼装煤的货轮,常常遭遇到无货可装,或是船到港后滞期很久的现象,还时有被当地港口或海军等肆意刁难骚扰的传闻,所以很多船东一接到印尼煤的货盘就皱眉,但是在没有其他更好的货源可以选择的时候,他们又不得不考虑去装印尼煤,因为它是该航线上非常重要的货源之一,光是2004年印尼煤炭的出口量就达9375万吨,若拒装该货,则有无米下炊之忧。
如此一来,如何避开在印尼装货的风险对船东来说极其重要,笔者结合自身实践之心得,从合同谈判到执行的一系列过程来分析在印尼港口装煤可能存在的主要风险并提出相应的预防之道,希望能抛砖引玉,给这一航线上的船东一点有益的帮助。
一、印尼主要装煤码头和锚地根据装货地点的不同,印尼港口装煤可分为泊位装货和锚地装货两种情况。
现在印尼有19个专用煤码头,其中包括3个cape-sized(好望角型)码头、1个panamax(巴拿马型)码头和3个handy—size(灵便型)码头,每年的出口能力超过7500万吨,另有四个码头正在规划建设中。
最大的公共深水煤码头是IBT(Ind onesia Bulk Terminal)码头,1997年启用,位于南加里曼丹岛的South Pulau Laut,目前可接纳8万吨的船舶,正在扩建中,将来码头储存能力可望达到1600万吨,可靠20万吨的巨轮.此外,TBCT码头(Tanj ung Bara Coal Terminal)、DPP码头(PT. Dermaga Prakasa Pratama)和 TBI码头(Terminal Batubar a Indah)的规模也不小,是印尼最重要的几大煤码头。

一.延期信用证的陷阱印尼煤矿及贸易商(以下称为卖方)会要求买方开据三个月的延期信用证,并会称,这样会让买方节省资金及提高资金利用率。
买方也会觉得很划算:卖方的煤到港口了,信用证还没兑付,等到电厂的货款到位了,再兑付信用证,节省了一笔费用,会马上同意卖家的条款。
其实根据笔者在印尼长期总结的经验,要求开延期信用证是印尼人都是皮包公司,他们100%是想凭延期信用证去银行担保贷款,等到贷款下来后他们再用贷款去买煤矿的煤(印尼的挖煤及运费,港口费,驳船费都要现金支付),这样他们空手套白狼,来赚取巨额利润。
现实是,去年开始,印尼银行不可能凭延期信用证贷到款,因为在这之前,发生了几起印尼骗子凭延期信用证贷款,然后逃跑的案例。
不管印尼哪家银行,不可能再贷到一分钱。
所以,如诸位如有印尼卖家提出要求你们开延期信用证,最后的结果是,你证开出了,卖家永远不可能供给买家一粒煤。
或者更惨的是,买家的船到了港口,也装不到一粒煤。
你再打买家的电话,永远打不通或关机。
卖家没贷到款,他们又是皮包公司,没有现金去付款买煤,支付运费,驳船费,他怎么能履约,装煤给你呢?他这个时候不躲什么时候躲呢?二.精心布置的信用证圈套已经是第二次在雅加达见到印尼华侨陈先生了,他是不是姓陈,亦或是姓张,姓赵,我到现在也不能肯定,只知道他是印尼R公司的副总。
陈先生个子不高,五十岁左右,一米六上下,很廋小的样子。
和他见过两次面,都是在咖啡厅里,照例是我们买单,他始终一脸微笑,和和气气。
但现在想起,那笑脸背后,是毒蛇的阴险和狡诈,不由得惊出一身的冷汗。
陈先生说R公司和印尼的大华银行有很深的关系,能够很容易贷款出来,来给没钱的印尼煤炭中间商出资金做金主,救人于水火。

印度尼西亚煤炭工业介绍前言从2022年以来,国际煤炭市场与中国煤炭市场联动性逐渐增强,中国从国际市场大量进口煤炭,从规模上来看,目前进口量仅次于日本,东南部沿海进口煤消费占比增高,故对国际煤炭市场,尤其是亚太区煤炭市场,做供需结构分析就显得十分必要。
总体上,主要煤炭进口国,印度、中国的需求不断上升,日韩台的需求仍稳中有升,而煤炭出口国,澳大利亚虽然出口潜力巨大,但其产业政策(如矿业资源暴利税、碳排放等)一定程度上制约了采矿业产能投资,制约了其在国际市场上的竞争能力,也成为推升国际煤价的主要原因。
其他煤炭出口国,如加拿大、美国、俄罗斯、南非等国短期难以大规模出口,未来国际市场将呈现相对紧平衡态势。
因此,印尼能否持续地扩大出口将是稳定整体亚太煤炭市场的关键。
众所周知,印尼目前已跃居世界第一大动力煤出口国,在亚太地区煤炭贸易市场有着举足轻重的地位。

Nomination of Vessel:Sellers to nominate a vessel to buyer 5 (Five) days prior to ETA load port, giving the approx. quantity to be loaded and ETA discharge port. Buyer will reply within 24 hours intimating acceptance of the nominated vessel, which acceptance shall not be unreasonably withheld.Vessel to be classed highest Lloyds or ABS or equivalent and ISM certified with max 25 years of age unless otherwise agreed. All cost and responsibility incurred to Buyers and Sellers as a result of the rejection of Coal quality pursuant to Article 6.1 shall be borne by Sellers.7.数量与质量的认定Determination of Quantity and Quality7.1装船前检验Pre-Shipment Inspection7.1.1 买方指定的检验公司(SGS)或INTERTEK在装运港进行装船前检验,费用由卖方承担,SGS检验公司将出具一份装船前的重量、品质预检验报告给买方和卖方。
该份检验报告将根据国际标准操作方式进行取样和化验,包含重量、水分和相关化学品质。
买方指定的检验公司(SGS) 或INTERTEK出具的该份装船前报告将作为信用证项下付款单据之一。
The buyer specifies inspection Corporation (SGS) OR INTERTEK in the port of shipment for pre-shipment inspection, at the expense of the seller SGS) ORINTERTEK inspection of the company will produce a pre-shipment weight and quality inspection reports to the buyer and the seller. The inspection report will be based on international standards and practices for sampling and laboratory testing, including weight, moisture and related chemical quality.
