1.Assignment

31-1. This Agreement is personal to Dealer, and shall not be assigned or otherwise transferred or delegated by Dealer, in whole or part. Any attempted assignment of or attempt to assign this Agreement or any part thereof, whether by voluntary act or operation of law, shall be null and void.

Entire Agreement

This Agreement sets forth the entire and only agreement and understanding between Company and Dealer and supersedes all negotiations, commitments and writings prior to the date of this Agreement, pertaining to the subject matter of this Agreement. Extract from Dealer Agreement
This Agreement sets forth the entire and only agreement between the Parties relating to the sale and purchase of the Parts and supersedes all negotiations, commitments and writings prior to the date of this Agreement. Extract from MPA
This Agreement may not be modified, supplemented or amended except by a written agreement
executed by both Parties.
2.All the appendices to this Agreement shall be an integral part of this Agreement.

3.This Agreement and all its appendices shall constitute the entire agreement between the
Parties with respect to the subject matter set forth herein and supersede any and all previous oral and written discussions, negotiations, notices, memoranda, documents, agreements, contracts and communications between the Parties relating to such subject matter.

Hold harmless the other party
Each Party hereby indemnifies the other Party and undertakes to hold harmless and defend the other party against any and all claims ,suits ,losses ,damages ,disbursements (including legal and management costs) arising out of any alleged or actual breach or failure to comply with the provision hereof including but not limited to any infringement of the other party’s intellectual property or other rights occurring as a result of the offending Party’s fault, omission or activities in connection with the Project.

Reservation of right

1.Shortfall
NCIC has the right to deduct any and all damages and losses due to Supplier’s delay, excess, or shortage in delivery, or defects of the Parts, from the Price as set forth in Article 11.1 above. If the amount of such damages and losses are more than the Price as set forth in Article 11.1, Suppler shall pay the shortfall to NCIC within 30 days from the claim by NCIC.

The terms of this agreement are severable. The invalidity of one clause does not invalidate the
agreement.
Ex2:
If any provision of this Agreement shall to any extent be found to be invalid, void or unenforceable under the applicable laws, the remaining provisions shall continue in full force and effect without being impaired or invalidated in any way.
如果本协议任何条款根据可适用的法律在某种程度上被发现是无效、无约束力或不可执行，其他条款继续有效并不在任何程度上影响其效力或使其无效。

Ex3:
In the event that any provision hereof is held to be illegal, invalid or unenforceable in any respect under any applicable legal requirements, such provision shall (to the extent permitted by law) be construed by modifying or limiting it so as to be legal, valid and enforceable to the maximum extent compatible with, and possible under, applicable legal requirements. In the event any provision hereof should be held illegal, invalid or unenforceable in any respect, it shall not invalidate, render unenforceable or otherwise affected any other provision hereof.
如根据任何适用法律的规定，本协议任何条款在任何方面被认定为不合法、无效或不可执行，则（在法律允许范围内）应当通过修改或限制该条款，以使其在尽可能符合适用的法律规定的前提下变为合法、有效且可执行。

3.singular and plural
The above definitions are equally applicable to both the singular and plural forms of any of the terms defined in this Article.

Party A and Party B shall strictly comply with this Contract upon execution. Each party shall not alter or cancel this Contract unilaterally. 本协议一经签订，双方必须严格遵照执行，任何一方都不得随意变更和解除。

1.Waiver弃权
No delay, omission or failure by either party to exercise any right or remedy provided for in this
Agreement shall be deemed to be a waiver thereof or acquiescence in the event giving rise to such right or remedy, but every such right or remedy may be exercised from time to time and so often as may be deemed expedient by the party concerned for exercising such right or remedy.
任何一方在权利或补救措施产生的时候，就行使本协议规定的权利或补救措施而出现的迟延、遗漏或未行使不能视为弃权或默许。

但是，只要行使权利或补救措施的当事人认为是有利的，便可以随时行使此种权利或补救措施。

2.Warranty意义比较广泛的一个词，在法律英语中指“保修”
For example:
15-1 The only warranties that shall be applicable to Infiniti Products (or any components thereof) shall be such written warranty or warranties as may be furnished by Company and as stated in the Infiniti Warranty Policies and Procedures Manual, or Company’s Parts and Accessories Policy and Procedure Manual, as the same may be revised from time to time.
能够适用于英菲尼迪产品（或其组成部分）的唯一保修应为公司提供的英菲尼迪保修政策及程序手册、公司零配件政策及程序手册中规定的书面保修，且该保修可按照公司需要随时修改。

Except for its express limited liability under such written warranties, neither Manufacturer nor Company assumes, or authorizes any other person or party, including, without limitation, Dealer, to assume on their behalf any other obligation or liability in connection with any Infiniti Product or component thereof. Any obligation or liabilities assumed by Dealer which are in addition to Company’s written warranties shall be solely the responsibility of Dealer.
除了上述书面保修中明确限定的责任之外，制造商或公司都将不承担也不能授权任何第三人或第三方（包括但不限于经销商）以其名义承担其他任何与英菲尼迪产品或其组成部分有关的义务或责任。

Dealer shall expressly incorporate in full and without modification any warranty furnished by Company with an Infiniti Vehicle as a conspicuous part of each order form or other contract for the sale of such Infiniti Vehicle by Dealer to any buyer. Dealer shall make available to the buyer of each Infiniti Product prior to the purchase of such Infiniti Product, copies of such applicable warranties as may be furnished by Company. Dealer shall also provide to the buyer of each Infiniti Product, in full and without modification, any owner’s manual, warranty booklet or other owner information which Company may provide to Dealer for delivery with such Infiniti Product. Dealer agrees to abide by and implement in all other respects Company’s warranty procedures then in effect.
经销商应明确将公司提供的保修承诺，完整和不经任何改动地作为向客户销售英菲尼迪车辆时的订单或合同的显著的一部分。

15-2 If any Infiniti Vehicle is resold by Dealer after having been changed or modified by Dealer with Company’s written consent as referred to in Paragraph 13-2, Dealer shall not issue to customer the Infiniti warranty booklet which shall be applicable to such Infiniti Vehicle before
such change or modification is made. Dealer shall instead, in its own name and at its sole responsibility, prepare and issue to customers the booklets containing warranties which shall be applicable to such changed or modified Infiniti Vehicles, taking into account such change or modification, but otherwise in substantially the same conditions as those stated in the Infiniti warranty booklet.
如果经销商在公司书面同意的情况下，根据13-2小节对其转售的英菲尼迪车辆进行变更或改造，则经销商不得向客户颁发英菲尼迪保修手册，因为保修条款应该只适用于未经变更或改造的车辆。
