Seller agrees to ship products to the Buyer’s designated place of delivery in time with the delivery schedules.Seller shall be responsible for the costs and expenses under the terms of delivery. 8.免除責任保障(PRODUCT LIABILITY)在不影響採購方其他權利的前提下，無論本合同其他條款作何規定，對於任何和所有由於產品質量或權利缺陷而産生的或與之有關的控告、訴訟、行政處罰、成本和支出，包括但不限於，律師費、訴訟費、債務、損害以及與個人傷害或死亡有關的各種權利請求或權利要求，供應方應承擔責任，並同意給予採購方賠償，並使採購方免受該等事宜的損害。

9.知識產權及商業秘密保護(INTELLECTUAL PROPERTY AND CONFIDENTIALITY)採購方所提供之造型,結構,圖面,模具, 供應方未經採購方書面同意,不得生產制造或提供給第三方. 供應方要嚴守商業秘密, 採購方所提供之本質上屬於機密的資訊，包括但不僅限於，產品,單價信息,技術資料等未經採購方書面同意，均不得复製留存或泄漏於第三方,如違反, 供應方應向採購方支付_拾萬__元(人民幣)違約金/單次,並賠償需方因此所遭受的全部損失。
10.商業和社會道德規范COMMERCIAL ETHIC CODE AND SOCIAL BENEFIT）供應方必須遵守採購方的商業道德規范政策，不得向採購方公司的任何人員提供任何金錢或以其他各種形式提供與金錢有關的各種禮物，禮品和服務等利益。
