依照马尔代夫相关法律、法规相关规定，遵循平等、自愿、公平和诚信的原则，甲、.乙.双方就马尔代夫芭环礁岛MRAH酒店员工房和服务区项目专项劳务分包事宜协商达成&致，订立本合同。

Based on the principles of equality,voluntary,fair and honesty,the Party A and Party B make this agreement about the sub-contract of AARAH Hotel Staff Dormitory& Service Area Project in Baa Atoll Island,Maldives.following the laws and regulations of Maldives.
工程名称：马尔代夫芭环礁岛MRAH酒店员工房和服务区项目
工程地点：马尔代夫芭环礁岛MRAH岛
Project:Maldives AARAH Hotel Staff Dormitory&Service Area Project in Baa Atoll Island, Maldives
Location:MRAH ISLAND,ATOLL,MALDIVES
工程范围：6#楼内、外墙抹灰清包劳务。

根据工程进展情况，适时调整。

Scope of project:the plastering of inner and outer wall in Building6,adjustable to the progress of project.
一、承包范围及内容
I Scope of sub-contracting
工作范围包括：包括且不限于抹灰前内外墙的清扫工作、门窗洞口收尾抹灰、后期养护、所有抹灰工程及余料清理，包工不包料施工，甲方提供5个小工供乙方支配(小工工资甲方负责)。

Cleaning of the inner and outer wall,the plastering of door and window openings, maintenance,the cleaning of leftover from plastering,to be contracted for work load with material supply by Party A,and Party A shall provide5workers for the disposal of Party B(wage on Party A)
二、承包方式
II.Way of Sub-contracting
乙方合理调配施工人员以包清工方式完成承包范围内的抹灰工程。

甲方负责总体协调。

The Party B should dispose its worker to finish the plastering within the scope of subcontracting with materials by the employer.The Party A should be responsible for the coordination.
三、工程计价方法
III.Terms of Price
1、按实际面积：以做图纸规定说明为准计内外墙面积，挂钉(如有，下同)、搭架子、放线、挂网、保温层、抗裂砂浆、分隔缝、外线条、滴水线等整套工序完成35MVR/m2。

(单价均包含加班费，管理费等一切费用）
1.The price is calculated according to actual area:the area from the drawings,pegs(if any，the same below),scaffolding,surveying,hung net,Insulating layer，anti-crack mortar,partition joint,outer lines,drip line etc.,the full set plastering procedure,the
unit price is35MVR/m2.
2、日常生病医药费由乙方负责承担(包含登革热及其他疾病）。

2.The medical fee is on the Party B(Dengue fever and other disease)
3、甲方提供机具如下：大型机械、搅拌机、小推车、脚手架、卷尺、灰桶、卷线、锤子、水管、铁锹、铝合金直尺、手提式切割机等。

The equipment provided by Party A are as follows:large machinery,agitator，trolley,scaffold,measurement tape,ashcan,tapes,hammer,water pipes,shovel, aluminum rectilinear scale,Portable cutting machine.
四、结算及付款方式
IV.Terms of Payment
1、以单栋为单位，单栋所有抹灰工作完成后报甲方审核，甲方按本合同计价方法，
审核乙方上报的工程完成进度情况，审核完成后的20个工作日内支付给乙方(或者银行转账，视甲方公司制度定），乙方必须及时支付工人工资，且提供工人签字版的工资发放表给甲方，若乙方不提供此表则甲方有权拒发下月乙方所完成的工程进度款。

1.The payment unit is per building.The Party A should be noticed when the plastering of one building is finished,and the Party A would review the quantity according to the agreement,and the subcontractor would be paid within20workdays after the review (bank transfer,subject to the financial regulations of Party A,Party B must pay the salary of worker in time,and submit the signed receipt to the Party A.The Party A keeps the right to delay the interim payment on condition that the Party B was not able to submit the receipt.
2、本合同约定工程完工后，经业主、监理审核确认验收合格后，方可办理结算。

2.Both parties agree that,the final payment could have settled when the owner,and the engineer’s final inspection and acceptance.
五、甲乙双方责任及权利
V.Responsibilities and Rights of Both Parties.
1.甲方责任及权利
1．The responsibilities and rights of Party A.
(1)甲方提供乙方工人食宿。

（1）Provide food and accommodation for the workers of Party B.
（2）负责乙方进场抹灰工人（暂定11人）的进场交通费，竣工后乙方工人退场交通费乙方自行负责。

（2）The traffic expense of entering site of Party B workers,the leaving traffic expense after completion are on the Party B.
（3）甲方有权要求乙方清理所承包范围内的施工现场一切垃圾，乙方若没有完成此项工作，甲方有权扣除乙方完成该部分工程款的10%作为代清理费。

(3)The Party A keeps the right to require the subcontractor clean all garbage with its working site,and10%of the total payment could be deducted as cleanup fee on condition that the Party B is not able to finish this.
2、乙方责任
2.The Responsibility of Party B
(1)全面履行施工合同约定事项，严格按现行质量、安全标准、规程进行施工，确保正常施工。

（1）Strictly execute the contract,the plastering should be conducted as per the present quality,safety regulations.
(2)乙方保证到场施工人员为所施工项目的熟练工人，施工过程中发现不胜任本项目作业的工人（含出工不出力，四处躲闪，故意拖延劳动时间），甲方有权提出乙方清退出场，乙方被清退出场的工人进出岛机票由乙方自行承担。

对乙方非因不可抗力原因影响甲方施工进度，甲乙双方共同承担违约责任。

（2）The Party B promises that all its workers for this project should be skilled,any worker found not qualified for this project(including work without effort,loaf on the job,deliberately delay)would be asked to leave,and the entering and leaving traffic fee would be paid by the Party B.The obligations should bear mutually if the progress is delayed due to any factors non-force majeure.
(3)服从甲方的指挥和管理，自觉遵守甲方的各项规章制度。

(3)Follow the disposal and orders from Party A,obeying all kinds of regulations of the employer.
(4)全力配合有关部门对施工现场的各项检查和监督管理等。

（4）Full cooperation for all kinds of site inspection and supervision.
(5)工种之间友好相处，相互配合，不相互推诿扯皮。

施工期间发生矛盾，应及时向甲方负责人汇报，寻求商量解决。

(5)All types of works should work together peacefully,cooperate with each other,
no buck-passing.Any contradictions are work should be reported Party A site
supervisor,and solved by communication and negotiation.
(6)对施工中发生的一切质量、安全事故，承担一切责任。

（6）Being fully responsible for all quality and safety incidents,
(7)做到安全第一、预防为主，增强以人为本的现场安全气氛。

（7）Achievement of Safety First，Prevention First,the fulfillment of people oriented safety principles.
(8)施工中产生的垃圾，由乙方分类运送至施工现场指定的垃圾堆放点。

(8)Any garbage in plastering should be transported by the party A to the place for
garbage store assigned
(9)甲方有权要求乙方根据现场进度实际情况增加或者减少工人数量，乙方不得因此向我方提出任何索赔费用。

(10)The Party A keeps the right to increase or decrease the workers as per the site
progress,and Party B is not allowed to claim for this.
六、争议
VI.Disputes
本合同在履行过程中发生争议的，由双方当事人协商解决。

Any disputes in the fulfillment of this agreement should be solved by negotiation between both parties.
七、违约责任
VII.Responsibility for breach of contract
1、乙方未能按施工进度计划及时完成合同约定的工作，造成工期延误的，乙方承担责任。

但因甲方原因，材料供应不及时，图纸变更等自然因素造成误工与乙方无关。

1.If Party B didn't finish the work under the contract according to
the schedule of construction,due to which the delay occurs,Party B will take
the responsibility.But if the delay is caused by Party A due to:material
supply not in time,drawing variation,or natural causes,then it has nothing to
do with Party B
2、因乙方原因导致工程质量不符合合同要求的，需拆除重新返工，所发生的人工费用，由
乙方自行承担。

2.If the project quality didn’t meet the contract requirement due to party B,and it
needs rework,and the occurred labor charges is undertaken by Party B.
3.乙方承包范围内的工程发生质量事故、安全事故，导致工程验收不合格、或导致工程停
工的；甲方有权单方解除合同，乙方必须无条件退场。

3.If there is any quality accident,safety accidents occur within Party b's
contacting scope,which leads to the project unaccepted/shut down,Party A has the right to terminate the contract,and Party B shall quit the site unconditionally.
4、禁止乙方再次分包或转包本合同约定的工作内容，若发现转包或分包，甲方有权单方
解除合同，乙方无条件退场。

4.Party B is not allowed to sub-contracting or re-subcontracting the project in
this contract,if Party B is found to re-subcontracting or subcontracting,Party
A has the right to terminate the contract,and Party
B shall quit the site
unconditionally
八、工期和质量奖罚
VIII.Construction Period and Award and Penalty for Quality
1、出现一般质量事故，乙方需停工返修外，并对乙方处以4⑻美元的罚款；连续两次出现
不合格工程，甲方有权勒令乙方退场，并由乙方承担相应责任及费用。

1.If any ordinary accidents occurs,Party B shall stop work to repair,and a penalty
of USD4⑻is applied to Party B;If two consecutive unqualified works occurs, Party A has the right to send off Part B from the site,and Party B shall undertake the relevant responsibility and expenses.
2、乙方发生严重打架、斗殴、违法乱纪等行为，给甲方声誉造成重大影响者，一次性对乙
方处以10⑻美元罚款。

事故责任由乙方承担，甲方可协助处理。

打架斗殴人员一律开除，一切费用由乙方自行承担。

2.If any behavior such as fighting,that violate the law and discipline,which
brings great negative effect to Party A's reputation,a one-time penalty of USD 10(8)is applied to Party B.And the responsibility is undertaken by Party B, while Party A can assist.The fighting personnel shall be expelled,and Party B shall bear all the expenses.
3、由于乙方原因，发生重大伤亡事故，每伤1人对乙方处以6⑻美元罚款；每死亡1人对
乙方处以2000美元罚款。

事故责任由乙方承担，甲方可协助处理。

3.Due to Party B,if any major casualty accident occurs,for each injured one,a
penalty of USD6⑻is applied to Party B,for each casualty,a penalty of USD2000is applied to Party B.The accidental responsibility is borne by Party B,and Party A can assist.
4、乙方现场施工负责人不请假外出连续5天以上或总工期内累计30天以上不在工地的，
每次罚款500美元。

4.If the site construction supervisor of Party B disappeared for over consecutive5
days,or the accumulative site-absent days come to30,a penalty of USD500 shall be applied for each time.
甲方：（签章)乙方（签章）：5、以上罚款甲方向乙方出具通知单由乙方签收，甲方在月度计量款中扣除。

5.The above penalty is issued by Party A to Party B via notice letter,and it's
accepted by Party B,Party A will deduct the relevant amount in the monthly progress payment.
九、合同生效及终止
IX.Contract Validation and Termination
本合同自签定之日起生效。

工程竣工验收合格后，本合同自动终止。

The contract shall come into force upon signing.When the project qualified acceptance is passed,the contract automatically terminates.
十、合同份数
X.The contract copies.
本合同一式陆份，甲方肆份;乙方贰份。

This contract is made in septuplicate.Party A keeps four copies,and 2copies for Party B
