Property Management AgreementThis is a Management Agreement between ________________________ herein called "Owner", and OOO Properties, Inc., herein called "Agent", made this _____ day of ___________, _____.1. Property - The Owner hereby appoints Agent exclusively to lease, manage, and operate, for the Owner the real property described as _________________ , Texas consisting of ________ unit(s) herein called "Property".2. Term - This agreement shall become effective on the ______ day of ________________, ____, and shall continue for one year.3. Renewal - This Agreement will be automatically renewed on a month-to-month basis unless written notice of termination is given by either party at least thirty (30) days before the end of the above term or renewal period or unless another contract is signed by both parties.4. Termination by Notice - Either party may terminate this Agreement at any time by giving the other party at least thirty (30) days written notice. Owner may terminate this Agreement immediately by tendering to Agent with written notice of termination one full month's management fee less one plus the number of consecutive months the management agreement has been enforce. The amount of the management fee shall be the same as that charged against the operating account for the month immediately preceding the month of termination. In the event the property is vacant at the time of termination, the management fee shall be computed on the posted rent at time of termination.5. Delivery of Notice - Notice of termination shall be delivered in person or by certified or registered mail.6. Termination Upon Sale - This Agreement shall terminate automatically upon the sale of the Property or upon termination of Owner's rights to collect rents therefrom or upon re-occupancy by the Owner.7. Notice of Sale - Owner shall notify Agent in writing at least thirty (30) days prior to sale date. Agent shall provide the Owner the following with respect to the sale of the property up to one day prior to sale date:a) Itemization of security deposit liability per tenant.b) Itemization of rents collected per tenant.c) Keys for Owner or his agent to access property to perform interior inspections.8. Operating Account - Owner agrees to deposit with Agent the sum of $_150-200__ to establish an operating account. All cash receipts shall be deposited to this account and all cash disbursements shall be drawn against this account. Owner agrees to fund any negative account balance within 5 days of notice from Agent. Agent will be prudent and use our best judgment in placing operating account balances in financial institutions. Agent in no way guarantees these account balances due to financial insolvency or receivership of these institutions.9. Monthly Accounting - Agent agrees to render to Owner a monthly accounting of the operating account and a summary for the year in the first month following the just ended year. Said monthly accounting shall be rendered no later than thirty (30) days after the end of the calendar month for which the monthly accounting is being rendered. Along with the monthly accounting, Agent shall remit to Owner the operating account balance in excess of $____.00 along with a statement of the property’s monthly account balances, incomes and expenses up to the date of the statement prepared on or before the 16th of each month and mailed on or before the 20th of each month.10. Final Accounting - Upon termination of the Agreement, Agent shall deliver to Owner within sixty (60) days after termination:a) A final accounting reflecting the ending cash balance.b) The balance of any monies of Owners or security deposits, or both, held by Agent with respect to the Property.c) Unpaid bills for which the Owner is responsible.11. Maximum Expenditures (Ordinary/Emergency) - Agent shall use its best judgment to expedite the performance of ordinary maintenance and repairs, including make ready, in the normal course of the operation of the property. No single expenditure for these purposes shall exceed $150.00 without the owner’s approval. In order to prevent damage or injury to persons or property, or for other reasons (e.g. inability to contact the owner, violation of law), the Agent is authorize to approve or incur expenditures on behalf of the owner for emergency maintenance and repairs that exceed the aforementioned amount.12. Security Deposit - Agent will collect and forward security deposits to owners account and owner shall refund security deposits in accordance with the terms of each lease. When the tenant moves out, the security deposit will be refunded to the tenant from the operating account. Lawful deductions from the security deposit will be credited to the Owner's operating account only after the tenant moves out.13. Mortgage, Tax, Insurance, and other Fees or Obligations - Owner shall pay all mortgage indebtedness including real and personal property taxes, property insurance, Owners Associations fees or other fees and obligations.14. Property Insurance - Owner shall be responsible for obtaining and maintaining comprehensive insurance coverage against damage or injury to property or persons which might arise out of the operation, management, maintenance, repair, or occupancy of the property. Owner will furnish to Agent certificates evidencing the existence of public liability and property hazard insurance. Any new or existing liability coverage for the property shall include Agent as "additional insured". If Owner does not providecertificates evidencing the existence of public liability and property hazards insurance, Agent MAY place said insurance and pay the premium out of the operating account. However, placing such insurance is not the responsibility of the Agent. Owner also shall be responsible for securing "extended vacancy" insurance.15. Authority - The Owner herein agrees to assume all reasonable expenses in connection herewith and gives to Agent the following authority:To perform all routine yard maintenance and interior and exterior cleaning necessary to maintain the property in marketable condition and to provide utilities for same. Agent at the written request of the owner will provide owner with an estimate of the cost of yard maintenance;To advertise the availability for rental Property or any part thereof, to advertise the property on the internet and use photos of the property's interior and exterior, and to display "For Lease" sign(s) thereon;To sign, renew and/or cancel leases for the Property or any part thereof;To collect rents due or to become due and give receipts therefor;To terminate and sign and serve in the name if the Owner such legal notices as are appropriate,To institute and prosecute action to evict tenants and to recover possess of said Property;When expedient, to settle, compromise and otherwise make necessary concessions to tenants as deemed necessary and prudent by Agent;To hire, discharge and supervise all labor for and on behalf of Owner required for the operation and maintenance of the Property. It is understood and agreed that Agent shall not be responsible for a contractor's acts, defaults or negligence if reasonable carehas been exercised in a contractor's appointment or retention by Agent. Owner agrees to pay the Agent $75 per hour with a minimum of 1 hour, billed in hour increments to purchase materials, observe workmen, obtain building permits and estimates, to meet with building inspectors, appraisers, insurance adjusters, contractors, utility service men (water, gas, electricity, telephone) and any other requirement of the owner not normally connected with the day to day management and operation of the Property.To purchase on behalf of the Owner all equipment, supplies, and materials necessary for the maintenance and operation of the Property;To refer matters requiring legal services to qualified professionals. (These services may include eviction proceedings and suits for recovery of lost rents and damages above the amount of the security deposits.)To exercise a landlord's lien for non-payment of rents and Owners shall indemnify and hold harmless the Agent except in cases of willful misconduct or gross negligence.16. Landscape Maintenance - During periods of vacancy, Owner specifically authorizes Agent to perform all reasonable landscape maintenance and understands that all such charges will be paid from the operating account.During periods of occupancy, if it is determined by Agent that the grounds are being neglected or abused by the resident, Owner specifically authorizes Agent to perform landscape maintenance and understands that all such charges will be paid from the operating account. Said charges will be billed to the resident, if said charges remain unpaid for a period of sixty (60) days after billing, Owner authorizes Agent to apply all rents subsequently collected first to such charges, then to rent due, and, on this basis, Agent may initiate eviction proceedings for non-payment of rent.17. Hold Harmless - The Agent shall account for all collections and expenditures made hereunder and it is agreed that the Agent shall not be liable except for collections actually received. The Owner agrees to indemnify, defend, and save harmless the Agent from and against expense (including court costs and attorney's fees), loss, damage,fines, penalties, claim, demand, cause(s) of action, or liabilities arising from and acts of the Owner, Agent, or resident. The Agent is also held harmless from any other claim, demand, cause(s) of action, or legal proceeding which may be brought against the Agent by reason of his connection with the renting and management of the premises, except in cases of willing misconduct or gross negligence on part of Agent.18. Consideration - In consideration for the services to be rendered to the Owner by the Agent under this Agreement, the Owner agrees to pay the Agent:For Management, ____________, of the gross rent collected or a minimum fee of $25.00 per month, (10%, 8%, $60, $50 or $35)For residential leasing or re-letting 50-100 % of one month's rent. Refund policy is as follows: If tenant vacates for any reason between 0-30 days, a full refund of the leasing commission is given to Owner; 30-60 days - 2/3 refund; 61-90 days - 1/3 refund; over 90 days -zero.Owner will reimburse manager for ads specifically placed for this property. Ad expense not to exceed $150 in any month without the owner's approval.For re-leasing a property to an existing tenant or writing a new lease for a tenant, $150.00, ( included in 10% & 8% management)One half of all late charges and all of returned check charges will be retained by Agent.For delivering or mailing a "Three Day Notice to Vacate" letter or other letter or notice to a tenant, $25; for filing an eviction case, $75; for attending an eviction hearing, $125; for recording and reporting judgments, lease violations at the court house and with credit reporting entities, $50 for each separate reporting.(included in 10% & 8% management)All long distance phone charges incurred on behalf of the owner will be reimbursed to Agent.All copying costs incurred on behalf of the owner will be paid from the property account at a cost of 10 cents per copy.In no event shall the Agent's compensation be less then $25.00 per month.19. SPECIAL PROVISION -Owner shall approve all leases and tenants.Owner shall purchase a programmable lock box for each unit of a property at a cost not to exceed $50 dollars perlock box.Owner shall provide a complete sets of keys for current tenants and complete set of rekeyed keys for unoccupied properties. Additional copies up to 4 copies for tenants and for the property file shall be made and charged to the owner.20. Suchhandover shall be confirmed by Owner s’ Committee.II.Rights and Liabilities of Party B1.Party B shall attend Owners’Conference or Owners’Congress, withthe rights to vote, to be elected and to supervise.2.Party B shall supervise Party A’s behavior in property managementservices by the aid of the developer, and shall present Party Acomments and proposals concerning the property management.3.Party B shall abide by the Property Management Regulations for thisproperty and the Building Management Regulations.4.According to this Agreement and the Management Convention for thisproperty, Party B shall pay the fees in time for the propertymanagement.5.During house decoration and fitment, Party B shall abide by theAgreement of House Decoration and Fitment Management and theFitment Regulations.6.Party B shall not occupy or damage, or change any functions of, anycommon sections or common facilities or equipment. Should anyreasonable use of common sections or common facilities or equipmentbe needed for purposes of moving in or decoration or fitment, Party Bshall notify Party A in advance of same and restore the used object toits original state in a limited period of time as mutually agreed. PartyB shall be liable for all damages therein caused.7.In the case of house transfer, Party B shall notify Party A in advanceand advice the transferee to sign this Agreement with Party A.8.Party B shall bear civil liability for all losses and damages caused bybreach of the Property Management Regulations for this property andthe Building Management Regulations which is committed by anytenant or user of, or any visitor to, the house of Party B.9.According to principles of safety, fairness and reasonableness, Party Bshall reasonably deal with neighbors in aspects such as water supply,venting, daylighting, repair, passaging, sanitation and environmentprotection associated with this property, and shall not infringe uponothers’ lawful interests.10.Party B shall bear all the owner’s liabilities stipulated by theManagement Convention for this property, and shall have all theowner’s rights therein.Article Two Details of Property Management ServicesI.Maintenance and Management for Common Sections of House“Common sections” refers to the parts of main load-bearing structure of abuilding (including the base, internal and external load-bearing walls,pillars, girders, floor slabs and the roof, etc.), exposed wall surfaces, thelobby, staircases, corridors and passages, etc.mon Facilities and Equipment and Their Maintenance and Repair “Common facilities and equipment”refers to the common utilities thatincludes water pipelines, drain ducting, rainspouts, water tanks, pressurepumps, elevators, antennas, power lines, communication lines, lighting,boilers, heating lines, gas lines, fire-fighting facilities, greenbelts, roads,street lamps, ditches, wells, non-commercial parking lots or carports,public entertainment and sport facilities, and the houses or floorscontaining such common facilities and equipment.III.Environmental Sanitation1.Sanitation of common (public) places;2.Maintenance of greenbelts;3.Temporary depositing, clearing and removing refuses.IV.Security Guard1.Details(1)To assist Public Security Bureau to maintain the public order in thearea of this property.(2)To work out the stipulations and supervision regulationsconcerning using passes to enter this property.(3)To assist in implementing relevant rules set by the PropertyManagement Company.(4)To assist in and support setting up and carrying out fire-controlmeasures and regulations for this property.2.Responsibilities(1)To maintain the public order in the area of this property.(2)To maintain the public order of parking lots in the area of thisproperty.(3)To supervise and implement the fire-control arrangement, fireprevention and fire salvage of this property.V.Traffic Control and Vehicle Parking1.Details(1)To control the traffic order at the public places, bicycle parkinglots and vehicle parking lots of this property.(2)To maintain the conditions for vehicle parking and cargoloading/unloading at designated places, bicycle parking lots,vehicle parking lots and unloading platform of this property.(3)To arrange vehicle parking and to collect parking charges.2.Responsibilities(1)To prepare traffic signs for the public places and to monitor trafficsafety and vehicle flow status.(2)To sign agreement of vehicle parking in this property, to set andassist to implement regulations for vehicle parking and cargoloading/unloading, to restrain all acts violating regulations.VI.Management of House Decoration and FitmentArticle Three Quality of Property Management ServicesI.Building Appearance1.Without unapproved building, addition, modification or removal;2.To mend/repair, renew and white-wash the worn-out areas;3.To unify doorplate, doorknobs and keep them of nice appearance.II.Equipment Operation1.To ensure safe running of equipment to relevant domesticspecifications.2.To maintain economic operations of equipment under normalfunctionality.III.Maintenance and Management of Common Sections and Common Facilities/Equipment1.Without defective, deformative or unsafe operation;2.To ensure constant availability without unapproved occupation orblocking.IV.Environmental Sanitation1.Clean places and equipment, without hidden risk of pollution ofinfection. All household refuses removed.2.Without insects or mice; drainage clear; to implement the practice of“three responsibilities in front of the door”.V.Planting1.To cultivate and maintain greenbelts and green decorations;2.To propagate knowledge on and obligations of growing and protectingplants;VI.Traffic Control and Vehicle Parking1.To designate places for cargo loading/unloading and vehicle parking;2.To restrain overloading and overtime parking.VII.Security1.To supervise and control information of all households, people movingin and out, elevator utilities and warehouse material flowing in andout;2.To carefully inspect the valid ID’s of fitting workers, and to protectfinished items.VIII.Fire Control1.To prepare fire-fighting tools and to set up fire-control measures forwork sites, and to implement fire-control education;2.Without construction materials violating safety regulations, operationsof construction, decorations, installations/arrangements.IX.Routine Repair and Emergency Repair of Common Sections and Common Facilities/Equipment of Building1.Civil works: including decoration, painting, cleaning andrenewal of roofs, facade eave awnings, stairs, door or windowsurrounding walls, chimneys, slop ways and patio, etc.;2.Electricals and Mechanicals: including component replacing,testing, restoration, enhancement and upgrading of the systems of firecontrol, water supply, draining, power supply, light current devices,security monitoring, building automatic control and parking chargecollecting, etc.;3.Emergency of civil works includes hidden hazards such as decorationshattering, falling or loosing;4.Emergency aids of electricals and Mechanicals includes equipmenthalts, elevator enclosures, supply intermits of water/power/gas,waterlogging and drain blockings, etc.Article Four Fees for Property Management Services (excluding expenses for major repairs, renewals and reforms of common sections andcommon facilities/equipment and expenses for powerconsumption for normal operations of common equipment)I.Initial Date of Payment of Party B: The date when the property isdelivered for use, or the date when the official notice of buildingacceptance is issued, or the initial date of payment set and notified by PartyA, whichever comes the latest.II.The rate is 2.48 yuan RMB per month for each square meter of floorage.III.Should the room be left unused for reason of Party B, the rate shall be 2.48 yuan RMB per month for each square meter of floorage.IV.If the property is leased out, Party B shall pay for the property management services.V.If Party B transfers the property to any third party, Party B shall pay for the property management services prior to the transfer.VI.The rate for property management services is subject to adjustment depending on changes of governmental stipulations and cost of theservices.VII.The day of payment for each month is the fifth day of that month.VIII.Power cost for operations of common sections and common equipment depends on factual expenses and is prorated monthly to the floorage shareof Party B’s room.Article Five Fees for Other Paid ServicesI.Charges for Parking Lots and OthersMotor Bicycles: 15 yuan each per monthMotor Tricycles for the Handicapped: 12 yuan each per monthBicycles: 3 yuan each per monthII.Cable TV1.To charge to the rate standard for cable TV utility in Beijing.III.Fees for Fitment Management Services1.The fee for fitment management (drawing review, on-site supervision,routine watch and inspection, etc): 300 yuan per unit.2.The fee for fitment waste removal: 20 yuan per natural room(bedroom, sitting room, kitchen, bath room, balcony, store room, etc.);no charge for removal by the owner himself.3.Fitment deposit: 20 yuan per square meter of floorage.Article Six Collection of Payments for External ServicesEntrusted by relevant departments or units, Party A provides paymentcollection services for general consumptions, cable utility, gas supply, heatsupply and house rent, etc., as are set by government. (These are notparts of property management fees.)Article Seven Control and Use of Maintenance FoundationI.According to stipulations of Method of Foundation Management forMaintenance and Repair of Common Sections and Facilities of ResidenceBuildings issued by Ministry of Construction, a maintenance foundation isset up for this property to cover major repair, periodic repair, renewal andreform of common sections and common facilities after the warranty periodexpires. While purchasing the house, Party B shall pay to relevantgovernmental department for the maintenance foundation at a rate of about2% of the house price.e of Maintenance Foundation: The maintenance foundation will be under administration of the Community Office before the Owners’Committee is established and, after the Owners’ Committee is establishedand at consent of Owners’ Committee, will be passed to Party A. Party Ashall propose annual plans of using the maintenance foundation, whichshall be carried out at the approval of Owners’ Committee.III.In the event that the maintenance foundation becomes inadequate, at the review and approval by local governing department of propertyadministration, supplemental fund shall be raised basing on the floorageoccupied by Party B.IV.Should Party B transfer property right of the house to any others, the balance of maintenance foundation shall be transferred together with theproperty right, without refunding to Party B.Article Eight InsuranceI.Party A shall handle insurance for common sections and common facilitiesof the building, of which the premium shall be shared by all owners prorata basing on the floorages they are occupying.II.Party B may handle insurances for his household property and family members.III.Party B shall follow relevant rules of property management and provisions of the Property Management Convention, and shall neither violateregulations to wantonly misuse nor carelessly use either indoor or commonfacilities, or otherwise Party B shall be liable for any insurance premiumaddition thus caused on common property or facilities or any damages thuscaused to same.Article Nine Billboards and Rights and InterestsI.Party B shall not wantonly apply any billboards or banners, or distributeany leaflets, or conduct any other advertising activities, at any commonplaces or reserved places.II.Party B shall not post or stand or set any other advertising stuff at any exposed windows lest the general appearance and style of the propertyshould be distained.III.Party B may place doorplates or signs or stand billboards outdoor at the locations designated by Party A.Article Ten Other Agreed ItemsIV.To ensure normal operation of the Property Management Company, PartyB hereby agrees, at acceptance of the building, to make full payment toParty A for management services of the first year.V.In this Agreement, the wording “Rules of Building Management” refers to the Management Convention and all other specifications, notices,regulations or memos, etc.VI.Beside Party B himself, Party B shall bear the responsibility to instruct all users of his house, including but not limited to lessees, temporary users,borrowers, tenants or authorized house keepers or workers, to abide by andfollow this Agreement.Article Eleven liabilities for DefaultI.In the event that Party A has violated this Agreement and failed to reach thequality target of management services as herein agreed, Party B shall beentitled to require Party A to correct within a limited time. Party A shallbear legal liability for all losses for Party B caused by Party A’s failure ofsuch correction in the limited time.II.In the event that Party B has violated this Agreement and made Party A to fail in reaching the quality target of management services as herein agreed,Party A shall be entitled to require Party B to correct within a limited time.Party B shall bear legal liability for all losses for Party A caused by PartyB’s failure of such correction in the limited time.III.In the event that Party A has violated this Agreement and willfully raised any rates and applied any unreasonable charges, Party B shall be entitled torequire Party A to return the amount over-charged.IV.In the event that Party B has violated this Agreement and failed to make payment at the rate and in the time herein provided, Party A shall beentitled to claim against Party B for the amount due plus penalty of 0.2% ofsuch amount due and any legal costs associated to same.Article Twelve For the interests of the public, owners or users, in the event that any losses for Party B are reasonably caused by Party A in taking anyemergent measures in the case of any accident such as gas leakage,electricity creepage, fires, water pipeline burst, life rescue orassistance to the police, both parties shall settle such losses accordingrelevant laws and regulations.Article Thirteen Should any party has failed to fulfill this Agreement due to any forcemajeure, both parties shall settle such nonfulfillment accordingrelevant laws and regulations.Article Fourteen For any issues not provided by this Agreement, both parties should refer to and follow relevant state laws, regulations and rules.Article Fifteen Should any disputes occur between both parties during fulfillment of this Agreement, both parties shall settle such disputes throughnegotiations or shall apply to Department of Property Administrationfor intermediation or, in the event of frustration of such negotiation orintermediation, shall apply to Beijing Arbitration Commission forarbitration or shall proceed at the People’s Court.Article Sixteen This Agreement is in duplicate and each party holds one original with equal effect.Article Seventeen Before signing this Agreement, Party A has filed a sample of this Agreement at Department of Property Administration.Article Seventeen This Agreement takes effect on the day when both parties sign it.Signature of Party A: Signature of Party B:Representative: Representative:Date:。

(6) Other expenses that shall be paid by Party A according to the stipulations of the state laws and statutory regulations.三、甲方的权利和义务III. Rights and Obligations of Party A1、甲方有权根据本协议及乙方制定的一切有关该物业的规章制度的规定,使用该物业协议区域及按规定使用公共区域及公共设备。
1. Party A shall have the right to use the area set out in this property agreement and use the public area and public facility as specified according to this agreement and all the provisions of regulations and rules worked out by Party B on this property.2、甲方有权监督乙方各项管理规章的实施。
2. Party A shall have the right to supervise implementation of various management regulations by Party B.3、甲方有权向乙方投诉管理服务方面问题。
3. Party A shall have the right to file a complaint to Party B about the problems in the aspect of management service.4、甲方有义务服从乙方的管理,同时甲方须保证其雇员、访客及其受甲方许可进入大厦内的人员在使用、管理、维护该物业过程中遵守本协议及大厦的相关规定。
甲方的雇员、访客及其受甲方许可进入大厦内的人员在使用、管理、维护该物业过程中的失责行为、违约行为、侵害行为,均视作甲方自身的行为,并由甲方承担相应的责任和费用。
4. Party A shall have the obligation to obey Party B’s management, meanwhile Party A must guarantee its employees, visitors and personnel allowed by Party A to enter the building to comply with the provisions of this agreement and relevant regulations of the building in the process of use, management and maintenance of this property. Default, breach and infringement actions of Party A’s employees, visitors and personnel allowed by Party A to enter the building in the process of use, management and maintenance of this property shall be considered as Party A’s own actions and Party A shall bear corresponding liability and cost.5、甲方置于该物业内财产的相关保险事宜由甲方自行解决或委托乙方协助办理,费用由甲方承担。
