2. 若因乙方责任导致商品质量不符合合同规定，甲方有权要求退货或索赔。
3. 如发生索赔，双方应友好协商解决。
具体的索赔条件和程序应在双方协商后确定。
四、保密条款双方应对本合同内容以及执行过程中的商业信息予以保密，未经对方同意，不得向第三方泄露。
五、违约责任1. 如一方违反本合同的任何条款，违约方应承担相应的违约责任。
2. 违约金的数额和支付方式由双方协商确定。
六、适用法律与争议解决1. 本合同适用中华人民共和国法律。
2. 双方在履行本合同过程中发生的争议，应首先通过友好协商解决；协商不成的，任何一方均有权向合同签订地人民法院提起诉讼。
七、其他条款1. 本合同一式两份，甲乙双方各执一份。
2. 本合同自双方代表签字盖章之日起生效。
3. 未尽事宜，双方可另行签订补充协议，补充协议与本合同具有同等法律效力。
