4.3 双方应共同制定销售目标，并严格执行，如未能达到销售目标的，双方可协商调整销售计划或者追究责任。
第五条：知识产权保护
5.1 经销商须严格遵守国家的知识产权法律法规，不得侵犯供货商的知识产权。
5.2 如发现侵权行为，供货商有权终止本协议，并追究经销商的法律责任。

1.定义
Definitions
当本协议中使用的下列术语应具有各自的含义表示，这种意义是适用于这两种定义方面的单数和复数形式：

o which owns, now or hereafter, directly or indirectly 33% or more of any class of the voting stock of Part A or is, now or hereafter, directly or indirectly, in
effective control of Part A; or
o33% or more of any class of the voting stock of which Part A, or a party described in paragraph (i), owns, now or hereafter, directly or indirectly, or of
which Part A, or a party described in paragraph (i), is, now or hereafter, directly
or indirectly, in control.

•“Customer” means any person who purchases or leases Products from Part B.

•“Goods” means those items described in Exhibit A. Goods may be deleted from or added to Exhibit A and their specifications and design may be changed by Company at its sole discretion at any time by mailing written notice of such changes to Distributor.
