三、双方的权利和义务Rights and Obligations of Both Parties
1. 甲方的权利和义务Rights and Obligations of Party A
1.1 甲方应按照本合同约定的规定出售商品，并按照约定的价格收取货款。

Party A shall sell the goods in accordance with the provisions of this contract and collect the payment according to the agreed price.
1.2 甲方应负责商品的包装、装运和交付，并需保证商品的质量。

Party A shall be responsible for the packaging, shipment, delivery of the goods, and shall guarantee the quality of the goods.
1.3 如乙方要求提供进口证明、商检证明、验货证明等相关证明文件，甲方应积极配合。

If Party B requests Party A to provide relevant certification documents such as import certificate, commodity inspection certificate, and inspection certificate, Party A shall actively cooperate.
1.4 如乙方发现商品存在质量问题，应在收到商品10日
内以书面形式通知甲方，并提供有关证明文件。

If Party B finds any quality problems of the goods, it shall notify Party A in writing within 10 days after receiving the goods, and provide relevant proof documents.
1.5 如乙方未按照本合同的约定支付货款或违反其他约定，甲方有权结束本合同并要求乙方承担违约责任。

If Party B fails to pay the payment as agreed in this contract
or violates other agreements, Party A has the right to terminate this contract and require Party B to bear the liability for breach of contract.
2. 乙方的权利和义务Rights and Obligations of Party B
2.1 乙方应按照本合同约定的价格全额支付货款。

Party B shall pay the full amount of the payment according to the agreed price in this contract.
2.2 乙方应对收到的商品进行检验，在10日内发现商品
存在质量问题的，应及时向甲方提出书面通知。

Party B shall inspect the received goods, and if there are any quality problems found within 10 days, it shall timely notify Party
A in writing.
2.3 乙方应及时支付货款，并按照约定的方式接收货物。

Party B shall timely pay the payment, and receive the goods
in the agreed manner.
2.4 如乙方未按照本合同的约定支付货款或违反其他约定，甲方有权结束本合同并要求乙方承担违约责任。

If Party B fails to pay the payment as agreed in this contract
or violates other agreements, Party A has the right to terminate this contract and require Party B to bear the liability for breach of contract.
四、履行方式和期限Performance Method and Term
履行方式和期限见附件。

The performance methods and terms are specified in the Appendix.
五、违约责任Liability for Breach of Contract
5.1 如果任何一方不履行本合同规定的任何义务，应承担
违约责任。

If any party fails to perform any obligation as stipulated in
this contract, it shall bear the liability for breach of contract.
5.2 任何一方因未能履行其约定的义务而导致的损失，由
违约方承担。

If any party fails to perform its obligations as agreed causing losses, the defaulting party shall bear the responsibility.
五、法律效力和可执行性Legal Effectiveness and Enforceability
6.1 本合同即使某一条款被认定无效或不可执行，仍不影
响其他条款的效力。

Even if any provision of this contract is deemed invalid or unenforceable, it shall not affect the validity of other provisions.
6.2 本合同的任何争议应当友好协商解决。

如果协商不成，双方同意将争议提交至中国国际经济贸易仲裁委员会仲裁。

Any disputes arising from this contract shall be resolved through friendly negotiation. If the negotiation fails, both parties agree to submit the dispute to the China International Economic and Trade Arbitration Commission for arbitration.
6.3 本合同的生效、履行、变更和终止适用中华人民共和
国的相关法律法规。

The effectiveness, performance, modification and termination of this contract shall be subject to relevant laws and regulations of the People's Republic of China.
七、合同的生效Effectiveness of the Contract
本合同经甲、乙双方签字盖章后生效，合同一式贰份，甲乙双方各执一份，具有同等法律效力。

This contract shall become effective upon being signed and sealed by Party A and Party B. Two copies of this contract shall be
made, with each party retaining one copy, both having the same legal effect.
