This Equipment Contract (“Contract”) is entered into as of [Date], by and between [Party A], a company organized and existing under the laws of [State/Country], with its principal place of business at [Address] (“Supplier”), and [Party B], a company organized and existing under the laws of [State/Country], with its principal place of business at [Address] (“Customer”).
WHEREAS, Customer desires to purchase certain equipment from Supplier, and Supplier desires to sell such equipment to Customer, subject to the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the premises and the mutual promises and covenants contained herein, the parties hereto agree as follows:
1. Equipment Description and Delivery
1.1 Equipment Description: Supplier agrees to provide Customer with the following equipment (the “Equipment”):

1.2 Delivery: Supplier shall deliver the Equipment to Customer at the following location: [Delivery Address]. The delivery shall be made on or before [Delivery Date].
2. Payment and Price
2.1 Price: The total price for the Equipment shall be [Total Price]. Customer shall pay Supplier the total price in accordance with the payment terms set forth herein.

3. Acceptance and Inspection
3.1 Acceptance: Customer shall have [Number of Days] days from the date of delivery to inspect the Equipment and notify Supplier of any defects or non-conformities. Cu stomer’s failure to notify Supplier within such period shall constitute acceptance of the Equipment.
3.2 Inspection: If Customer identifies any defects or non-conformities in the Equipment, Supplier shall have [Number of Days] days to remedy such defects or non-conformities at no additional cost to Customer.
4. Warranty
4.1 Warranty: Supplier warrants that the Equipment shall be free from defects in materials and workmanship for a period of [Warranty Period] days from the date of delivery. If any defects or non-conformities arise during the Warranty Period, Supplier shall repair or replace the Equipment at no additional cost to Customer.
4.2 Exclusions: This warranty does not cover defects or damages caused by misuse, neglect, improper installation, or alteration of the Equipment by parties other than Supplier.
5. Liability
5.1 Limitation of Liability: Supplier’s liability under this Contract shall be limited to the total price paid by Customer for the Equipment. In no event shall Supplier be liable for any consequential, incidental, or punitive damages arising out of or relating to this Contract.
6. Governing Law
6.1 This Contract shall be governed by and construed in accordance with the laws of [State/Country].
