一、汇票的概念 • 《英国票据法》对汇票的定义:汇票是由一人开致另一人 的书面的无条件命令,由发出命令的人签名,要求接受命 令的人在要求付款时立即,或在固定时间,或在可以确定 的将来时间,把一定金额的货币支付给一个特定的人,或 他的指定人,或来人。 • A bill of exchange is an unconditional order in writing, addressed by one person to another, signed by the person giving it, reguring the person to whom to whom it is addressed to pay on demand or at a fixed or determinable future time a sum certain in money to or to the order of a specified person, or to bearer.

1. “汇票”字样 2. 无条件支付命令(Unconditional Order to Pay) • 命令:英语原文是Order。必须用“祈使句”, 以动词开头。 • 我国《票据法》规定为“无条件支付的委托”, 其实质也是一种命令,而不是一种请求。 • 支付必须是无条件。 • 书面的:凡手写的、打字的、印刷的、电脑打出 的都是书面的。

一、Definition of credit instrument票据的概念 • A credit instrument is a written or printed paper by means of which funds are transferred from one person to another. Credit instruments most commonly used in international payments and settlements are bills of exchange, promissory notes and checks. They are also known, negotiable instruments. • Credit instruments may also take such forms as traveler’s cheque, certificates of deposit, treasury bills, treasury bonds, etc.

大小写 如果大小写不一致,《英国票据法》和《日内瓦统一法》都规定 以大写为准,但实际做法多是退票;我国《票据法》第八条规定: “票据金额以中文大写和数码同时记载,二者必须一致,二者不 一致的,票据无效。”此外,汇票金额不得涂改,也不得加盖校 对章。

用文字大写和数字小写分别表示。如果文字与数字 不符,如何处理?

4.付款人名称(Drawee)和付款地点 (Place of Payment) • 付款人也称为受票人,是指票据上载明的 承担付款责任的人,也就是根据持票人的 命令支付票据金额,以消灭票据关系的人。
• 付款地点是指持票人提示票据请求付款的 地点。
5.收款人名称(Payee) • 汇票是债权凭证,收款人是汇票上记名的债权人。“抬头”。 (1)限制性wk.baidu.com头 • 对限制性抬头的汇票,票据的债务人只对记明的收款人负责。因此,限制 性抬头的票据不可流通转让。 • 仅付A公司 (Pay to A Co. only); • 付给B公司,不能转让(Pay to B Co.,Not Transferable); • 付给C公司(Pay to C Co.),但在票据其他地方有“不可转让”(Not transferable)的字样。 (2)指示性抬头 • 指可以由收款人或其委托人、指定人提示取款的汇票。 • 收款人可以通过背书将汇票转让给他人,由受让人以持票人身份取款。 • 付给A的指定人(Pay to the Order of A) • 付给B或其指定人(Pay to B or Order) • 付给C(Pay to C) (3)来人抬头 • 又称持票人抬头,无须背书,只要通过简单交付就可实现转让。 • 付给来人(Pay Bearer) • 付给A或来人(Pay to A or Bearer) • 在实务中,票据的收款人也可以是出票人自己,称为“己收汇票”

1. Negotiability流通性 • A negotiable bill may be payable to the order of a specified person. • A negotiable bill may be payable to bearer. • A bill on which the only or last endorsement is an endorsement in blank may be negotiable. • A bill payable to a specified person does not contain words prohibiting transfer or indicating an intention that it should not be transferable , it may also be negotiable.
