化妆品寄售协议（中英文）
COSMETICS CONSIGNMENT AGREEMENT
双方主体信息（略）
中国A公司（下称：甲方）与美国MAX公司（下称：乙方）就寄售化妆品适宜，经过友好协商达成如下协议：
China A Corp.(hereinafter called Party A) held talks with U S MAX Corp (hereinafter called Party B) about the consignment of MAX cosmetics. Through friendly negotiation both parties confirm the principal points as stipulated hereunder:
1 、寄售品种 Item for consignment
本协议设计四个产品（下称：产品），即：护肤品、化妆品、香水和盥洗品。

具体规格、单价和数量见乙方给甲方的表单。

甲方对表单确认后，双方签署正式合同并生效。

It mainly covers four product categorieds （hereinafter called this products） i.e. Treatment, Fragrance, Bosmetics, and Toiletries. The detailed specification,unit price and quantity of the above goods shllbe provided in a list to Party A by Party B. After confirmantion by Party A, aconcrete contract signed by both parties will then be effective.
2、寄售条件 terms of consignment
a. 期限 Period of time
双方同意寄售期限从2011年1月1日至同年12月30日。

Both parties agree that sales of this products will commence on or about January 1, 2011 and continue through December 30, same year.
甲方同意在该一年期间独家销售MAX 产品，不在北京市场销售其他品牌的化妆品，包括香水、美容品、护肤品、洗发水和指甲油。

Party A agrees to sell exclusively Max cosmetics during this one year time in Beijing and agrees that no other cosmetics lines including perfumes, beauty cosmetics,
cosmetics for protectinig skin, hair lotions and nail enamals will be sold in Beijing market.
为了便于甲方开始销售，乙方将在2010年12月30日前发运首批寄售货品。

In order to facilitate Party A’s wortk of starting the consignment goods to Party A before Dec. 30, 2010.
2011年3月双方共同确认其余期限可以接受的市场量。

On or about March, 2011, both parties shall meet to mutually determine on acceptable sales level for the remainder of the consignment period.
b. 目的港 Port of Destination
交货地点为天津新港（海运）和北京（空运），由乙方提供CIF新港和北京的价格，经甲方同意后作为双方结算是价格。

Xingang，Tianjin (by sea) and Beijing (by air). Party B agrees to sell CIF named Chinese Port.
全保险，仓对仓。

在存仓寄售期间，由甲方代表乙方负责投保
Insurance certificate will be ALL RISEKS with a warehouse to wrrehouse clause. While the goods are in the waehouse and during the course of selling Party A shall take the responsibility of insurance on behalf of Party B.
c. 乙方给甲方一份上述产品在香港和日本销售的详细价格表作为参考。

乙方不得干预甲方的销售价格、方式和地点，但可以提出积极建议。

甲方有责任定期向乙方提交销售情况报告（包括具体价格），销售中的问题、改进销售的建议。

乙方须向甲方提供各种有利于销售的安排（包括免费样品、试销品、化妆品促销数据、存储的技术交流与条件）。

Party B will submit to Party A the actual retail prices of aforesaid articles in Hongkong and Japanese markets for Party A’s reference. Party B has no right to interfere with A’s selling price, spot and method, bu ti has the rihgt to make positive proposals. Party A is responsible to submit Party B regular reports on selling situation (covering retail price)，problems arising in the course of selling and making proposals to improve sales. Party B should provide Party A with various arrangements wihich are conductive to sales（including samples free of charge,
articles for trial sales, data for promoting cosmetic sales, technial exchange and conditions for storage tec. ）
d.相关广告费用由乙方承担，广告内容按甲方要求。

All expenses for advertisement of these items should be paid by Party B. The contents of advertisement are subject to the approval of Party A.
e. 在寄售期间，如果发生属于乙方责任的品质变化、破损或其他情况，凭甲方证明，
按合同价格计算，由乙方给予补偿，方式为换货或从给乙方的汇款总额中扣除涉及的
金额。

在销售过程中允许有1% 的破损涉及金额由甲方从应付金额中扣除。

In the case of problems occurring due to quality, damage or any other matter of Party B’s responsibility, Party B should compensate such a loss to Party A by the replacement of goods or the deduction of he sum in question from Party A’s remittance to Party B against Party A’s certificate. One percent of the sum from Party A’s remittance to Party B should be deducted by Part y B as a damage allowance during the course of selling.
3、付款 Terms of Payment
a. 寄售期结束后一个月内，甲方应按照合同价格将已经售出的货品的款项全部支付
乙方。

在任何时候，如果实际累计销售金额超过15万美元，甲方应在该日期后的一个月内将货款汇付乙方。

在寄售期间，如果甲方要求增加供货量，乙方应予以全力支持。

对未销出货物，乙方应予以调整、调换或收回。

Within one month after expiration of the consignment period, Party A shall remit Party B the total sum in US Dollars based on the contracted unit price for those items wihich have been sold. If at any time the total value of goods sold exceeds the amount of Usdollars 150,000, Party A shall remit the total sum in US Dollars to Party B within one month’s periond of time. For those articles wihich can not be sold Party B should make readjustment, replacement or withdrawal of the goods in question.
对未销售出去的品种，甲方向乙方提交清单，以便乙方回收或者以其他方式处理。

For those items which cannot be sold, party A shoukd send a list of these items to Party B in order to make an appropriate settlement by sending these items back or any other method.
在寄售期间如果发生分歧，双方应友好协商解决。

如果协商无果，则通过仲裁解决。

仲裁由双方均可接受的第三方进行。

All disputes arising in the course of the consignment period shall be settled amicably through friendly negotiation. In th ecase that no settlement can be reached through negotiation, both parties agree the case should be submijtetd for arbitration to a third country which can be accepted by both prties.
在2010年12月初双方会商决定下个年度经营的可能性。

At the beginning of December, 2010 both parties shall meet and discuss the future business possibility in next year.
