5.3通常情况下,每月第[ ]日为甲方的工资支付日,但该日如逢法定节假日或休息日,甲方可提前或延迟至相近的工作日支付工资。
如果因非甲方原因使甲方不能在工资支付日向乙方及时支付工资,甲方可在当月将工资支付日合理推迟。
5.4甲乙双方必须依照中国法律法规参加社会保险和缴纳各类相应费用。
5.5甲方将根据中国法律规定从乙方的报酬中代扣代缴乙方的个人所得税和应由乙方个人承担的社会保险和住房公积金费用。
5.6乙方享有中国法律规定的法定节假日、休息日,婚假、丧假、计划生育假等有薪假期。
5.7乙方依法享有国家法律规定的带薪年休假。
同时,乙方也可以根据甲方政策享有带薪年休假,但乙方应优先使用法定年休假。
第六条制订或修改规章制度6.1甲方将根据中国法律法规的规定,制订或修改适用于乙方的包括员工手册在内的规章制度。
乙方应予以严格遵守。
如果乙方违反或拒绝接受甲方的规章制度,将有可能受到相应的纪律处分,直至被解除劳动合同。
6.2甲方集团公司或海外总部所制定并要求甲方员工遵守的商业行为准则以及其它适用于甲方的全球人力资源政策,其不违反中国法律法规和行政规定的内容,为甲方规章制度的组成部分,乙方应严格遵守。
第七条培训服务期和保守商业秘密7.1甲方出资录用乙方或对乙方进行专业培训或向乙方提供特殊待遇的,乙方应向甲方承担服务期义务。
除非双方另行签订专项协议,服务期的期限不少于6个月。
但如果甲方在本合同到期后不要求乙方继续履行服务期义务,甲方可以提前一个月通知的方式解除乙方应承担的相应责任,此时本合同即告终止。
若乙方违反服务期义务,提前解除劳动合同,或因违反本合同第8.3条的有关规定被甲方立即解除劳动合同的,乙方应承担违约责任,除非双方另有约定,乙方应赔偿甲方的实际损失。
7.2乙方在本合同期间或离职以后应负有保守甲方商业秘密的义务,商业秘密包括但不限于甲方的技术秘密和经营秘密。
乙方在办理离职手续时,应将载有商业秘密的文件、复制品、光盘、磁盘或其他载体归还甲方。
乙方如泄露商业秘密而造成甲方经济损失的,乙方需承担赔偿责任。
甲乙双方就保密事项另订有保密协议或甲方要求乙方履行脱密期义务或竞业限制义务的,根据协议的具体条款执行。
7.3本合同期限内,乙方因履行其职务或者主要利用甲方的物质技术条件、商业秘密以及经营上的便利等所取得的专利权(包括专利申请权)、商标权、著作权、技术思想、技术方案、研究成果等知识产权及与此相关的成果及乙方在离开甲方后一年内开发的与原负责工作有关的发明和创造等(以下简称“职务成果”)均属于甲方所有,除甲方因乙方前述发明创造而给予其适当形式的奖励外,乙方对该等发明创造在任何时候都不应主张或提出任何权利请求。
甲方有权充分利用该等职务成果,包括但不限于用于生产、经营或者向第三方转让或许可使用。
乙方应当按照甲方要求,采取一切必要措施,以协助甲方取得和行使该等职务成果而产生的知识产权。
第八条合同的解除和终止合同的解除8.1甲乙双方协商一致,可以变更或解除本合同。
8.2在试用期内,乙方须提前三天通知甲方解除本合同。
试用期后,乙方提前三十日以书面形式通知甲方,可以解除本合同,但双方在本合同或其他协议中另有约定的除外。
8.3乙方有下列情形之一的,甲方可随时解除本合同并无需向乙方支付经济补偿金:(1)在试用期内被证明不符合录用条件的;(2)严重违反劳动纪律、本合同或甲方规章制度的;(3)严重失职,营私舞弊对甲方利益造成严重损害的;(4)未经甲方同意,与其他用人单位建立劳动关系,或为其他单位工作的;(5)以欺诈、胁迫的手段或者利用甲方的困难,使甲方在违背真实意思的情况下订立或变更本合同的;(6)被依法追究刑事责任的;(7)法律、法规所规定的其他情形。
8.4甲方有下列情形之一的,乙方可随时解除本合同:(1)未按照本合同约定及时足额支付劳动报酬的;(2)未按照本合同约定提供劳动保护或者必要工作条件的;(3)未依法为乙方缴纳社会保险费的;(4)规章制度的内容违反法律、法规的规定,损害乙方权益的;(5)以暴力、威胁或非法限制人身自由的手段,强迫乙方劳动的;(6)以欺诈、胁迫的手段或者乘乙方之危,使乙方在违背真实意思的情况下订立或变更本合同;(7)因约定免除甲方法定责任、排除乙方权利致使本合同全部无效的;(8)法律、法规规定的其它情形。
8.5除法律另有规定外,有下列情形之一的,甲方可解除本合同,但需提前三十日以书面形式通知乙方或按乙方上月工资标准支付一个月的工资代替提前通知:(1)乙方患病或非因工负伤,医疗期满后,不能从事原工作,也不能从事另行安排的工作;(2)乙方不能胜任工作,经过培训或调整工作岗位后,仍不能胜任工作的;(3)本合同订立时所依据的客观情况发生重大变化,致使本合同无法履行,经双方协商不能就变更本合同达成协议的8.6有下列情形之一,甲方可依法定程序进行裁员:(1)依照企业破产法规定进行重整的;(2)生产经营发生严重困难的;(3)企业转产、重大技术革新或经营方式调整,经变更劳动合同后,仍需裁员的;(4)其他因劳动合同订立时所依据的客观经济情况发生重大变化,致使劳动合同无法履行的。
合同的终止8.7有下列情形之一的,本合同可以终止:(1)本合同期满,双方或一方不再续签劳动合同的;(2)甲方破产、解散、被吊销营业执照、责令关闭、撤销或经营期满的;(3)乙方达到法定退休年龄或开始依法享受基本养老保险待遇的;(4)乙方死亡,或者被人民法院宣告死亡或者失踪的;(5)法律、法规规定的其它情形。
8.8有下列情形之一的,甲方应按照适用的中国法律法规的规定给予乙方经济补偿:(1)甲方依照8.1条的规定向乙方提出并与乙方协商一致解除本合同的;(2)甲方依据8.5条的规定解除本合同的;(3)法律、行政法规规定的其它情形。
8.9本合同终止或解除后,乙方应在甲方规定的时间内交还属于甲方的全部财产、文件和信函,办结交接手续。
第九条劳动争议9.1甲乙双方发生劳动争议时,应努力通过协商或调解方式解决。
但双方或任何一方也可在规定时效内向有管辖权的劳动争议仲裁委员会申请仲裁。
仲裁裁决后,不服从仲裁裁决的一方,可在收到仲裁裁决书之日起十五天内,依法向有管辖权的人民法院提起诉讼。
第十条其它10.1乙方确认其在本合同中填写的地址为有效的通讯地址,任何依该地址寄送的文件,自发出之日起即视为送达。
乙方通讯地址变更时应及时以书面形式通知甲方,由此引起的延误及相关的法律责任均应由乙方承担。
10.2乙方承诺并保证其没有违反与原雇主所订立的协议中所约定的义务,其接受甲方的雇佣将不会违反其与原雇主已经签署的保密协议及其他有关协议的约定,也不会使甲方向任何第三方承担任何由于雇佣乙方而产生的法律责任。
10.3乙方在工作期间应当将全部的时间、精力及技能用于履行其在本合同项下的职务,对甲方忠诚、勤勉,并竭力为甲方服务。
10.4乙方承诺其在录用过程中向甲方提供的与本合同直接相关的基本情况与信息真实有效。
此类信息如有变化乙方应及时通知甲方,乙方如未及时通知或提供虚假信息的,将自行承担由此产生的法律责任。
10.5如甲方在聘用意向书中所提供的聘用条件与本合同不一致,应以本合同为准,本合同未规定的,应以聘用意向书的有关内容作为本合同的补充。
10.6本合同一式二份,甲乙双方各执一份,均具有同等法律效力。
10.7本合同的任何条款与国家法律和法规不一致时,以国家法律和法规为准。

Party B shall obey the relevant arrangement made by Party A.2.3During the entire term of this Contract, Party B shall not, directly or indirectly, engagein any business activities identical with, similar to or competing with the business of Party A without the prior written approval of Party A, either on his/her own behalf or in collaboration with any third party, nor shall Party B hold any office in or work for any other economic organizations.3.W ORKING H OURS3.1Party A adopts an 8 hours per day, 40 hours per week, standard working hour system onits employees. The time for open and close of business will be specified by Party A in the employee handbook or other policies as promulgated from time to time. Party B agrees that, if Party A obtains the approval on adoption of “flexible working hour system” or “comprehensive calculation working hour system” on the position held by Party B based on its operational needs, such working hour systems shall apply on PartyB.3.2Party A may arrange Party B to work overtime (to the extent permitted by law) due tothe operational needs. If Party B works overtime at his/her own discretion, he/she shall complete the relevant reporting and approval procedures as required by Party A. PartyA shall pay overtime or provide time-off in lieu of the overtime pay according to theapplicable working hour system and law.4.L ABOR P ROTECTION A ND W ORKING C ONDITIONS4.1Party A shall provide Party B with safe and healthy working conditions andenvironment in compliance with PRC laws and ensure that the working environment is safe and free of occupational hazard. If the working environment of Party B contains occupational hazard or danger, Party A shall adopt protective measures according to law and provide special training or education for Party B. Party B must comply with the arrangement of Party A.4.2Party A shall provide Party B with working conditions and labor protection articles asappropriate for Party B’s position pursuant to PRC laws and the policies of Party A.Party A will specify such information when Party B is on board or is transferred to a new position.4.3Party A shall arrange medical check-ups for Party B based on the actual conditions ofParty B’s position, as required by laws or when necessary.5.R EMUNERATION A ND B ENEFITS5.1Party B’s before-tax monthly salary shall be RMB [ ] at the time of execution of thisContract. Unless otherwise agreed between the Parties or required by the local government, the salary shall have included all monetary benefits such as financial assistance, subsidies, allowances, etc. stipulated in law or required by the government.5.2Party A shall have the right to adjust, to the extent reasonable, the salary of Party Bfrom time to time based on the average rate in the market or industry, the operational conditions of the company, the standard rate applicable for Party B’s position and the result of assessment on Party B’s performance, and shall decide whether to pay a bonus to Party B in accordance with its policies on bonus as formulated and amended from time to time.5.3Normally the [ ] day of each month shall be the pay day. If the pay day falls on astatutory holiday or non-working day, Party A shall pay the salary on the immediate preceding or following working day. If Party A fails to make timely payment of alary on the pay day for a reason not attributable to it, it may defer, to the extent reasonable, the payment to a later date.5.4Each of the Parties shall make their contributions to the social insurances and pay therelevant premiums in accordance with PRC laws and regulations.5.5Party A shall withhold the amount of individual income tax and social insurances andhousing accumulation fund which shall be borne by Party B from the remuneration payable to Party B in accordance with PRC laws and regulations and pay the same on behalf of Party B.5.6Party B shall be entitled to enjoy statutory public holidays and day-offs as well as paidleaves for wedding, funeral, family planning etc. in accordance with PRC laws and regulations.5.7Party B shall be entitled to enjoy paid annual leave according to PRC laws andregulations. In addition, Party B is entitled to enjoy paid leaves in accordance with the policies of Party A. However, Party B shall take statutory annual leave in priority when taking any annual leave.6.E STABLISHMENT A ND A LTERNATION OF P OLICIES AND P ROCEDURES6.1Party A will establish and alter policies and procedures (including without limitationemployee handbook) applicable to Party B in accordance with PRC laws and regulations and Party B shall abide by such policies and procedures strictly. If Party B violates or refuses to accept the policies and procedures of Party A, he/she may be subject to disciplinary actions including termination.6.2The code of business conducts established by the parent company or overseasheadquarter of Party A and required to be applied to employees of Party A and other global human resource policies applicable to Party A shall constitute an integral part of the policies and procedures of Party A, to the extent the same are not in violation of PRC laws and regulations, and shall be strictly abided by Party B.7.T ERM O F S ERVICE A ND C ONFIDENTIALITY7.4If Party A incurs cost for recruitment of Party B or provides professional training orspecial benefits for Party B, Party B shall fulfil the obligations to serve Party A for a minimum period of time. Unless otherwise agreed to in a separate agreement between the Parties, the aforesaid minimum period of time shall be six (6) months, providedhowever if Party A does not require Party B to continue fulfilling such obligations upon expiration of this Contract, it may release Party B from such obligations with a one month prior written notice and in this case this Contract shall terminate on the expiration date. If Party B fails to fulfil such obligations by early cancelling this Contract, or this Contract is cancelled by Party A with immediate effect due to Party B’s breach of Article 8.3 hereof, Party B shall be liable for breach of this Contract and compensate Party A for the actual losses suffered by Party A.7.5Party B shall keep trade secrets in strict confidence during the term of this Contract andafter his/her termination. The aforesaid “trade secrets” shall include, but not limited to, technical secrets and business secrets of Party A. Party B shall return to Party A all documents, CD’s, disks and other materials that embody trade secrets in the process of hand-over upon his/her termination. Party B shall be liable to compensate for any economic losses suffered by Party A due to inappropriate disclosure by Party B of any trade secret. If the Parties enter into a separate confidentiality agreement and Party A obliges Party B to perform his/her confidential obligation or non-compete obligation, Party B shall also comply with the stipulations of such agreements.7.6All intellectual property rights such as patent rights (and the rights to apply for patent),rights in trade marks, copyrights, technical conception, technical plan, and outcomes of research and other achievements in connection therewith made by Party B in performing his/her duties, or by utilizing mainly the material and technical conditions, trade secrets or operational advantages of Party A, as well as the work related inventions and creations made by Party B within one (1) year after the termination of employment with Party A (collectively, “Work-related Achievements”) shall be the properties of PartyA. Party B shall not claim or request for rights over the Work-related Achievements atany time, but Party A may grant appropriate rewards to Party B for the aforementioned inventions and creations. Party A shall be entitled to make full utilization of the Work-related Achievements, including, but not limited to, utilization of the same in production or operation, or transfer or license of the same to any third party. Party B shall adopt all necessary measures as may be required by Party A to assist Party A in obtaining and exercising the intellectual property rights arising from the Work-related Achievements.8.C ANCELLATION A ND T ERMINATION O F T HE C ONTRACTCANCELLATION OF THE CONTRACT8.1This Contract may be altered or cancelled upon mutual agreement reached by bothParties.8.2Party B may cancel this Contract by serving a three-day prior written notice upon PartyA during the probation period, or serving a thirty-day prior written notice upon Party Aafter the probation period, unless otherwise agreed by the Parties.8.3Party A may cancel this Contract at any time with immediate effect without entitlingParty B to any severance pay, where:(1)Party B has been proven to be unable to meet the recruitment requirementsduring the probation period;(2)Party B has materially breached the work disciplines, this Contract or policiesand procedures of Party A;(3)Party B commits serious dereliction of duty or practices graft, causingsubstantial damage to Party A’s interests;(4)Party B additionally establishes an employment relationship with anotheremployer or works for another entity, without approval of Party A;(5)this Contract is executed or altered without reflecting Party A’s true intentionas a result of Party B using such means as deception or coercion, or otherwisetaking advantage of Party A’s difficulties;(6)Party B has been convicted with criminal liabilities in accordance with the law;or(7)other circumstances stipulated in laws or regulations.8.4Party B may cancel this Contract with immediate effect, where:(1)Party A fails to pay the remuneration in full and in a timely fashion accordingto the provisions of this Contract;(2)Party A fails to provide working protection or necessary working conditionsaccording to the provisions of this Contract;(3)Party A fails to make social insurance contributions for Party B;(4)the policies and procedures of Party A violate the laws and regulations andimpair the rights and interests of Party B;(5)Party A uses violence, threats or unlawful restriction of personal freedom toforce Party B to work;(6)this Contract is executed or altered without reflecting Party B’s true intentionas a result of Party A using such means as deception or coercion, or otherwisetaking advantage of Party B’s difficulties;(7)Party A disclaims its mandatory liabilities or denies any of the rights of Party Band as a result this Contract is considered as null and void in its entirety; or(8)other circumstances stipulated in laws or regulations.8.5Unless otherwise provided for in this Contract, Party A may cancel this Contract bygiving a thirty-day prior written notice to Party B or by giving a one month salary in lieu of such notice, where:(1)Party B suffers illness or non-work related injury, and is incapable of taking onhis/her original work or other work arranged by Party A, after the medicaltreatment period to which he/she is entitled;(2)Party B is incompetent for his/her job and remains incompetent after receivingtraining or adjustment of his/her position; or;(3)there is a major change in the objective circumstances relied upon at the timeof conclusion of this Contract, which makes this Contract unperformable, and,after consultation, the Parties are unable to reach an agreement on altering thisContract;8.6Under any of the following circumstances, Party A may carry out lay-off by goingthrough the procedures stipulated in law:(1)Party A is subject to restructuring pursuant to the Enterprise Bankruptcy Law;(2)Party A has material difficulties in its production and/or business operations;(3)lay-off is nevertheless necessary after this Contracts has been altered as a resultof Party A switching to a different business, or a material technologyinnovation or an adjustment in its way of operation;(4)another major change in the objective economic circumstances relied upon atthe time of conclusion of this Contracts, rendering this Contract unperformable. TERMINATION OF THE CONTRACT8.7Under any of the following circumstances, the Contract may be terminated:(1)the term of this Contract expires, both Parties or either Party does not agree torenew this Contract;(2)Party A is declared bankrupt or is dissolved, or its business license is revoked,or it is ordered to close down, or its term of operation expires;(3)Party B reaches the age of retirement or starts to enjoy his/her basic pensioninsurance benefits in accordance with the law;(4)Party B dies, or is declared dead or missing by a People’s Court; o r(5)other circumstances stipulated in laws or regulations.8.8Under any of the following circumstances, Party A shall provide a severance pay toParty B pursuant to applicable PRC laws and regulations:(1)Party A initiates the cancellation of this Contracts according to Article 8.1hereof and this Contract is cancelled upon an agreement reached by bothParties;(2)Party A cancels this Contract according to Article 8.5 hereof; or(3)other circumstances stipulated in laws or regulations.8.9Upon cancellation or termination of this Contract, Party B shall return all properties,documents and correspondences of Party A within the time limit specified by Party A and complete hand-over formalities.9.S ETTLEMENT OF L ABOR D ISPUTES9.1Any labor dispute arising out of this Contract shall be resolved by both Parties throughconsultations or mediation. However, either Party may, within the statutory time limit, submit an application for labor arbitration to the competent labor dispute arbitration commission. If either Party disagrees to the arbitration award, such Party may institutea lawsuit at the competent People’s Court within 15 days of receiving the arbitrationaward.10.M ISCELLANEOUS10.1Party B acknowledges that the address written in this Contract shall be an effectiveaddress for purposes of correspondences, and any document sent to such address shall be deemed as effectively delivered as at the sending date. Any change to the address of Party B shall be notified to Party A in writing in a timely manner and any delay in notice and the legal consequences arising therefrom shall be solely borne by Party B. 10.2Party B acknowledges and undertakes he/she does not and will not violate anyobligations under the agreement entered into with his/her prior employer. Party B’s entry into and performance of employment with Party A will not violate the provisions stipulated in the confidentiality agreement or other related agreements that he/she entered into with his/her prior employer and Party A will not be liable to any third party due to its employment with Party B.10.3Party B shall, during his/her term of employment, devote all his/her time, efforts andexpertise in performing his/her duties and responsibilities under this Contract and serve Party A in a loyal, diligent and assiduous manner.10.4Party B undertakes that all information and data relating to this Contract provided byParty B to Party A in the process of recruitment are true and effective. If there is any change to such information and data, Party B shall inform Party A of such change in a timely manner. If Party B fails to so inform Party A or provides false information or data, all legal liabilities arising therefrom shall be solely borne by Party B.10.5In case of any discrepancy between the offer letter and this Contract in terms of theemployment conditions provided by Party A, the provisions of this Contract shall prevail. Where this Contract is silent on relevant issues, the provisions related thereto in the offer letter shall be a supplementary to this Contract.10.6This Contract shall be executed in two (2) original copies.
