第二条甲方承诺不与其他代理商合作，或以其他方式销售直接与本协议有关的产品。
在协议有效期内，甲方不得与任何其他代理商签订有关销售直接与本协议有关的产品的协议。
第三条乙方应遵守中国相关法律法规和本协议的约定，认真履行本协议，积极推广、销售甲方的产品。
第四条乙方具有如下权利：（一）独家代理销售甲方的产品；（二）接收甲方提供的产品资料和销售指导；（三）从甲方获得相应的佣金或提成。
第五条乙方应履行如下义务：（一）在协议有效期内，积极推广、销售甲方的产品；（二）按甲方的规定定期支付产品的进货款项；（三）保证其所使用的宣传资料，如广告、样本、宣传册、POP等的资料及内容经过甲方同意；（四）向甲方提供市场信息和反馈意见；（五）遵守协议约定和甲方的合理要求。

协议期满后，协议可以续签，双方均无异议才能签订续签协议。

所有对该品种的产品升级改良的要求，只要经济合理，甲方应予以考虑，依据乙方要求对产品进行改进和开发。
Party B shall have the obligation to forward once every three months to Party A detailed reports on current market conditions and of consumer’s comments, and if there is any special change in the market, Party B shall also report timely to Party A its full particulars in writing. All economically reasonable requests for upgrades and changes to the products in the line will be considered by Party A and Party A will make improvements according to the feedback or requirements from Party B.7、价格和货款支付方式：Price and payment terms:(1)价格：甲方同意给予乙方相关系列产品最优惠的人民币价格。
Prices: Party A agrees to provide Party B the most favorable price for the produced products.(2) 货款支付方式：双方都同意的付款方式。
Terms of payment: by the terms agreed and accepted by each both parties.8、生产和交货周期：根据实际生产情况, 最长不得超过30天。
Production and delivery date: according to actual producing situation but it shall within 30 days maximum。
