根据《中华人民共和国合同法》、《上海市房屋租赁条例》(以下简称：《条例》)的规定，甲、乙双方在平等、自愿、公平和诚实信用的基础上，经协商一致，就乙方承租甲方可依法出租的房屋事宜，订立本合同。

Having reached unanimity through consultations, Party A and Party B, on the basis of voluntary, equality and mutual benefit, entered into this Lease Contract in respect of Party A letting the premises which it lawfully owns to Party B, and Party B leasing the premises from Party A in accordance with the relevant laws and regulations of and .

1.租赁物业GRANT OF TENANCY

1.1 甲方同意出租坐落在本市：_____________________的物业（以下称“该物

业”）。乙方也同意租用该物业，双方将遵守此房屋租赁合同(以下称“本合同”)所规定的条款及内容。

1.3 甲方作为该房屋的房地产权利人-业主与乙方建立租赁关系。签订本合同前甲

Party A, acting as Lessor (owner of the Property), has established a leasing relationship with Party B and informing Party B of no (no) mortgage related to the Property at the

signing of this Contract. The Premises is for residential purpose only.

2.租赁期限TERM

2.1甲乙双方一致同意租赁期限为年。从年月日至年月日

Both Party A and Party B agree the lease term shall last for a period of year, from __ _-to _ __. Please refer to clause 9.3 for details.

2.2 乙方对该物业有优先续租权，但须于本合同自然终止日前一个月书面通知甲

方。续租期的月租金可根据届时市场价格进行合理调整。

Party B has the priority right to renew this Lease subject to serving a 1 months written notice to Party A prior to the natural expiry date. The monthly rent for the renewed lease term may be reasonably determined according to the prevailing market rate.

2.3甲方有责任保证乙方为唯一的房屋使用者。乙方在没有得到甲方书面许可的

情况下，无权以任何理由将物业转租给任何第三者。该物业的房屋性质为住宅用房，乙方不可用作其它用途。

Party A shall be responsible for ensuring Party B's privilege for using the Property

exclusively. Party B shall not be allowed to sub-let the Property to any third parties for any reason without obtaining written permission from Party A. The Property is for residential use only. Party B shall not use the Property for any other purposes.

3.保证金SECURITY DEPOSIT

3.1乙方应支付给甲方RMB￥元（）作为房租、家具家电和一切

设备的保证金以保证在整个租赁期限完全遵守条款中的义务。在整个租赁期限内，甲方将无息保留保证金。当乙方不履行本合同条款时，甲方有权根据第9.2条，没收保证金。该保证金不可视为预付的租金。

Party B shall pay Party A two months rent RMB￥as security deposit for rental, furniture and appliances, and all equipments inside for the full performance of its obligations during the whole lease term. The deposit shall be retained by Party A

throughout the term of this Lease without interest, with power to Party A to forfeit the

deposit according to clause 9.2 hereof, in the event of any non-performance or

non-observance of this Contract by Party B. It is expressly acknowledged that the deposit shall not be used as advance rental payment.

3.2在合同终止时，在乙方提出书面通知后及乙方将该物业以良好状态（合理磨

损、因潜在或结构上的缺陷所造成的损坏、因甲方没有完全履行其对该物业的保养和维修责任所造成的损坏除外）交付给甲方后并在乙方结清所有费用后十个工作日内，甲方应将保证金无息归还乙方。若有任何由乙方造成的损坏（自然损坏、因潜在或结构上的缺陷所造成的损坏、因甲方没有完全履行其对该物业的保养和维修责任所造成的损坏除外），甲方将从保证金中扣除合理赔偿后，其余部分将由甲方归还给乙方。如甲方逾期归还保证金，甲方须支付乙方每日0.3%保证金的滞纳金。
