Using Defining Words“系指”定义词的运用由于国际商务合同当事人涉及到不同的国家或地区,语言和法律不同,各自对相同词语的解释和使用也不完全一样。
为了使双方对一些词统一认识,防止解释不一,产生分歧,推卸责任,有必要对合同中频繁出现、且含义复杂的关键词作出定义。
在此,我们将表示定义的词称为“系指定义词”。
用于表达“指”、“系指”、“含义为”的方法有多种,合同中经常使用的有mean, shall be, is, are, shall mean等。

There are mainly two types of agents: general agents and sole or exclusive agents. A general agent may be a firm or a person who acts under instructions from his principal to sell or buy on the best terms obtainable. He charges a commission for his services under certain agreement or contract. A sole agent may be a firm or a person who acts for his foreign principal with exclusive agent rights to sell in a certain area on a commission basis certain commodities supplied by the principal under some agreement. The sole agent will not sell other goods that compete with the principal’s, and for a general agency there is no such undertaking.

In pursuance of the letter of Intention dated 23rd January 2011 and made between Party A and Party B(hereinafter collectively called the “Parties”)in connection with their proposed cooperation in promoting and developing the foodstuffs industry in Guangdong Province and other areas in China, the Parties enter into this Contract under the principle of equality and mutual benefit and through amicable negotiations to incorporate and equity joint venture to be known as Dalian CORPORATION LIMITED(hereinafter called the “Company”)

合资经营企业(Joint Venture)国际经济合作的一 种重要形式,由两个或更多国家的投资者共同 投资创办企业,并共同经营、共担风险、共负 盈亏和各按股(产)权分享收益的一种直接投 资方式。合资各方要通过签订合资经营企业合 同(Joint Venture Contract)来确定相互间的 权利和义务。
• Clause 5. Profit Distribution and Loss Sharing.
5.1 The Parties shall distribute profits and share losses in proportion to their respective percentage of investment. The Parties shall only be liable for the indebtedness of the Company to the extent of their contributions to its registered capital. 5.2 After the payment of income tax of the Company in accordance with Income Tax Law of the People’s Republic of China Concerning Joint Ventures with Chinese and Foreign Investment and other relevant laws and regulations promulgated by the People’s Republic of China, the annual profits of the Company shall be distributed in accordance with the following principles.
