此协议是双方在平等互利基础上建立的，共同遵守下列条款.

This Agreement is made among the parties concerned on the basis of equality and mutual benefits to develop business on terms and conditions mutually agreed upon as follows;

委任。甲方同意不直接或间接以“BBB”、“BBAB”品牌、或与其他任何非乙方的第三方单位建立契约关系来销售（出口）甲方的所有以“BBB”系列、“BBAB”系列及以后开发的新型产品系列***和其***产品到乙方

代理区域。乙方承诺在上述区域内不销售非甲方生产的上述同类型产品，乙方

承诺不在上述区域内代理出口非甲方生产的上述同类型产品。

Party A hereby appoints Party B as its exclusive agent in ****, and

B accepts the appointment of Part A unanimously. Party A agrees not

to enter into a

contractual relationship with any third party entity in order to sell all series and the new models which will be developed directly or indirectly under the brand of “BBB”、“BBAB” to *****; Party B agrees not to sell similar series **** of other Chinese manufacturers in *******.

在协议有效期内，若发现任何一方违背协议规定，其余两方均有权终止合同。

受损方均有索赔的权利。

During the validity of this Agreement, if each of the two parties is found to have infringed the stipulations of the Agreement, the other party has the right to terminate this

Agreement. The party influenced will reserve right to claim for compensation.

中****两国政府项目带自用设备施工进入不包含在限制范围内。

Only for self-using，China Government or company purchasing for the overseas project between ****and China is not included in the limitation.

3、代理产品范围和商品数量：
