授权经销商协议

Authorized Dealer Agreement

甲方：Party A:

乙方：Party B:

甲、乙双方经友好协商，本着平等、自愿、诚实、互惠互利的原则，就合作事宜达成如下协议：

Through friendly negotiations, based on the principle of equality, voluntary, honest and mutual benefit, Party A and Party B made and entered into the following agreement on:

甲方授权乙方作为甲方产品中国地区的唯一授权经销商。

Party A authorizes Party B as the only authorized dealers of Part A’s

product in China.

Validity

本协议自双方签字盖章之日起生效，有效期至年月日止。

This Agreement shall become effective as of the date of signature and seal by both parties. Valid until .

当本协议期满，如双方同意续约，应在本协议有效期满前_______个工作日内签署书面续约协议。

Upon the expiration of this contract, if both parties agree to renewing, shall sign a written renew contract within working days prior to the expiry of this agreement.

3.甲方责任和义务

Party A responsibilities and obligations

基于本协议授予的独家代理权，甲方不得直接或间接地通过乙方以外的渠道向代理区域顾客销售或出口甲方产品第一条所列商品或服务。

In consideration of the exclusive rights granted herein, Party A shall not, directly or indirectly, sell or export the commodity or service stipulated in Article 1 to customers in territory through channels other than Party B.

在本协议有效期内，甲方应将其收到的来自代理区域其他商家的有关代理产品或服务的询价或订单转交给乙方。

Party A shall refer to Party B any enquiries of orders for the commodity or service in question received by Party A from other firms in territory during the validity of this agreement.

甲方应对乙方人员进行必要的培训，以保证乙方人员的工作达到甲方的要求。

Party A shall provide the necessary training to Party B, in order to ensure that the work of Party B reach the requirements of Party A.

4.乙方责任和义务

Party B responsibilities and obligations

乙方可以用“甲方产品唯一授权经销商”的名义进行一切合法的商业活动。

Party B can undertake all the legitimate business activities in the name of "Part A product’s only authorized dealers".

乙方不得招揽或接受以到代理区域以外的地区销售为目的的订单。对于跨地区销售，一经发现，将给予警告；对于连续两次违反者，甲方有权取消其代理资格和本协议给予的一切权益。

Party B shall not solicit or accept orders for the purpose of selling them outside territory. Once cross-area-sales be founding, Party A will give

Party B a warning. For two successive violators,Party A shall have the right to cancel Party B’s agent qualification and all the rights to this

agreement.

5.退货

Return

如产品存在质量问题，乙方须在收到货物后60日内向甲方提交退货申请，甲方应同意退货；

乙方退回的产品及其包装必须达到不影响再次销售的要求，否则，甲方不予退款；

甲方在收到退货并确认符合上述要求后退款。

For the product quality reason, Party B shall submit a return application to Party A, and Party A shall agree.

The products by Party B returned, and its packaging must meet the

requirements of the sales again, otherwise, Party A will not be refund.

Party A refunds after receiving the return products and confirming they meet the requirements.
