AST Refrigerati on and Solar Tech no logy (Beiji ng) Co., Ltd

为了规范甲乙双方行为，保护双方的合法利益，根据中华人民共和国有关法律、法规规定，甲、乙双方本着自愿、平等、公平、诚实信用的原则，签订本协议。

In order to standardize the behavior and protect the legitimate interests for both parties, based on voluntary, equality, fairness, honesty and credit principles, Part A and Part B sig n this agreeme nt accordi ng to the releva nt laws and regulati ons of P.R.C..

第一条合作宗旨

Article 1 Co-operation Philosophy

甲、乙双方本着互利互惠、共同经营、共同发展的原则，共同投资建设和经营“真冰溜冰场”项目。

Base on the prin ciples of mutual ben efit and reciprocity, co-operati on and co-developme nt, Party A and Party B co-i nvest, con struct and run the projectThe Shen gya ng Tiexi Lon gzhime ng Real Ice Rink'.

第二条合作项目概况

Article 2 Summary to the Co-operation Project

1、项目名称：真冰溜冰场项目(以下简称“项目”或“本项目”)。

Project Name: The Real Ice Rink Project (here in after referred to asProject” or This Project”).

2、甲乙双方愿意就本项目采用共同投资、建设、运营的合作经营模式。

Party A and Party B are willing to take the cooperative operation model on This Project which they co-i nv est, con struct and run the bus in ess.

3、经过甲乙双方共同审核后的项目总投资额为人民币_____ 万元(大写人民币万

The total in vest sum of the Project is RMB (RMB ) after checked by both parties,

including the main part of the ice rink which is 1,000 m with the investment of RMB

4、冰场设计标准：省内高档次的商业中心娱乐型真冰冰场。

The Design Standard of Ice Rink: the real ice rink achieving international and top level in the Provin ce.

第三条合作期限

Article 3 Co-operation Term

合作期限：自本项目冰场开业之日起合作期限25年，期满后甲乙双方可以续签。

Co-operation Term: It lasts 25 years from the opening date of the ice rink in This Project, and the both parties can renew it after expiration.

第四条出资方式和出资方权益

Article 4 Ways of Investment and Rights & Interest of Investors

1、甲乙双方按照冰场主体部分的投资总额分别出资50%，共同投资万元人民币，建设一个达到省内高档次的商业中心娱乐型真冰溜冰场。

Party A and Party B separately invest 50% of the total investment sum of the main part of the ice rink, that is, co-i nv est RMB to con struct a real ice rink which achieves at the intern ati on al level and top level in Sha ndong Provin ce.

2、出资形式：甲方出资额为万元，以现金方式出资；乙方出资额为万元，以设备出资。

Ways of In vestme nt: Party A in vests RMBin cash, while Party B in vests RMB in ways of the equipme nts and the con struct ion of the ice rink system.

3、冰场配套的照明灯光和服务区设备及装修共计万元需要根据龙之梦铁西商业购物中心的风格进行单独设计，该项配套投资由甲方投入。

In view of the matched light ings and the equipme nts in service area as well as the decoration fee RMB in total which need to design solely according to the style of The Shen gya ng Tiexi Lon gzhime ng shopp ing mall, this matchi ng inv estme nt is in vested by Party A.

4、冰车的使用寿命为50年，属于甲方的长期固定资产，因此该项配套投资万元也由甲方投入。该冰车保修期为2年，保修期外，该冰车在合作期间的维修费用计入双方组建的“联合管理办公室”的营业运营成本。

The working life of the Ice Treatment Machine is 50 years and it belongs to Party A ' s Ion g-term fixed asset, so this matchi ng inv estme nt of RMBis also inv ested by Party
