AGREEMENT

This Agreement (“Agreement”) is entered into by and between [Party A], with its registered address at [address], and [Party B], with its registered address at [address], (collectively referred to as the “Parties”).

WHEREAS, the Parties desire to enter into an agreement to [purpose of the agreement]; and

WHEREAS, the Parties agree that the terms and conditions set forth herein are binding upon them;

NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the Parties agree as follows:

1. Identity of the Parties

[Party A] is identified as [description of Party A]; and

[Party B] is identified as [description of Party B].

2. Rights and Obligations of the Parties

2.1 [Party A] shall [description of rights and obligations of Party A];

3. Performance

3.1 The Parties shall perform their respective obligations under this Agreement in accordance with the terms and conditions set forth herein;

4. Term

This Agreement shall become effective as of the date of its execution by all Parties and shall remain in effect until [date or event].

5. Non-compliance

If either Party fails to comply with any of the provisions of this Agreement, the non-breaching Party may provide written notice to the breaching Party requiring it to cure the breach within a period of time not to exceed [number of days], failing which the non-breaching Party shall have the right to terminate this Agreement.

6. Applicable Law

This Agreement shall be subject to and governed by the laws of the People’s Republic of China.

7. Legal Effect

7.1 This Agreement constitutes the entire understanding between the Parties and supersedes all prior negotiations, understandings, and representations;

7.2 This Agreement shall be binding upon and inure to the benefit of the Parties hereto and their respective successors and assigns;

7.3 This Agreement shall have legal effect and shall be enforceable in accordance with the laws of the jurisdiction; and

7.4 Any change or modification to this Agreement shall be in writing and signed by all Parties.
