卖方认为,合同是按照CIF条件成交的,根据《INCOTERMS 2010》的解释,CIF是在装运港交货,买卖双方承担的风险是以装运港船上为界划分,也就是说卖方只承担货物装上船之前的风险,而在运输途中发生的货物损坏,灭失以及延误的风险均由买方承担。
但买方则认为,双方在订立合同时已明确规定了期限到达,这是买方接受货物的前提条件。
现在货物抵达目的港的时间超过了规定的最后期限,买方自然有权要求解除合同。
你认为卖方主张有理,还是买方主张有理?答:我认为是买方的主张有理。

但是,由于在合同中有一条对于卖方极其不理的条款:“保证在4 月底之前到达目的港,过期买方不接受货物”,买方也同意签署了合同,那么就应当根据合同中的条款履行,买方可以拒绝接受逾期货物。

所以,采用这一变形,装船费由买方承担,卖方不负担装船的有关费用。
②FOB Under Tackle(FOB 吊钩下交货):这一变形是指卖方负担费用将货物交到买方指定船只的吊钩所及之处,而吊装入舱及其他费用,概由买方负担。
③FOB Stowed (FOB 理舱费在内):这一变形是指卖方负责将货物装入船舱并承担包括理舱费在内的装船费用。
理舱费是指货物入舱后进行安置和整理的费用。
④FOB Trimmed (FOB 平舱费在内):这一变形是指卖方负责将货物装入船舱并承担包括平舱费在内的装船费用。
平舱费是指对装入船舱的散装货物进行平整所需的费用。
