第二条本准则所称尽职调查是指律师为确认拟公开发行证券的公司（以下简称“发行人”）是否符合《证券法》等法律、行政法规及中国证监会规定的公开发行证券的法定条件，以及为确认律师在发行人公开发行证券过程中所出具法律文件的真实性、准确性及完整性，对发行人的法律事项及信息进行全面调查、核查和验证，并对发行人法律事项充分披露的过程。
第三条本准则主要针对首次公开发行股票（以下简称“本次发行”）的工业企业的基本特征制定，律师应当在参照本准则基础上，根据发行人的行业、业务、融资类型不同，在不影响尽职调查质量前提下调整、补充、完善尽职调查工作的相关内容。
第四条本准则是对律师尽职调查工作的一般要求，不论本准则是否有明确规定，凡涉及发行条件或对投资者作出投资决策有重大影响的法律事项，律师均应当勤勉尽责地进行尽职调查。
第五条律师尽职调查时，应当考虑其自身职业素质、专业能力和独立性，确保参与尽职调查的相关人员具备良好的职业道德、专业能力，并恪守独立、客观、公正的原则。

1.2 本规范规定了律师进行资信调查的纪律要求，资信调榈哪谌荨⑼揪叮 市诺鞑楸ǜ娴哪谌荨⒊鼍叱绦颉⑿薷某绦颉⒎蠢∫饧 肮ぷ鞯赘宓取?o:p>2 适用范围2.1 本规范适用于本所全体律师。

3.2 律师资信调查：是指当事人为预防风险，保障其投资、贸易经营的安全，委托律师代理其对他人的资产状况和商业信誉，通过一定的手段进行的考察和了解的业务活动。
律师进行资信调查，主要是依据律师的法律专长和特殊身份为当事人解决社会生活和经济交往中的难题，以利于经济关系的建立，避免不必要的诉讼。

资信调查的内容主要包括以下方面：（1）被调查对象的基本情况。
包括其民事主体资格、法律地位和行为能力等。
如果是经济组织，应当调查其是否具备法人资格，企业性质是有限责任公司、股份有限公司、无限责任公司、股份合作公司等，是否具有权利能力和行为能力；如果是自然人，则应当查明：1）出生日期；2）身份证件、签发日期；3）户籍所在地；4）居住地；5）家庭基本情况；6）毕业处所；7）工作处所；8）有无犯罪记录；9）个人信誉情况；10）有关职能部门评价。
（2）被调查对象的资本状况。
包括其注册资本总额、实有资本总额及其对外债权债务、经济效益情况、生产能力和技术设备等内容。
1）注册资本总额：是企业在工商行政管理部门登记的资本总额，一般并不完全显示企业的实际资产状况。
2）实有资产总额：是指企业实际拥有的资产总额。
对无限公司而言，还包括股东所拥有的全部财产；对有限责任公司、股份有限公司、股份合作公司等来说，实有资产是公司的现有资产，其数额一般高于注册资本。
3）对外债权债务：包括被调查对象的财务实际状况、对外债权情况、对外债务情况、对外投资情况、诉讼情况等。
（3）被调查对象的经营情况。
包括其经营项目、经营方式、经营现状、办公现状、内部机构、机器设备情况等。
对固定资产，应调查资产所在地、评估值，并可辅以图片资料。
对经营现状的调查，还可包括被调查对象的开工状况、经济效益状况以及产品市场状况，特别要注意被调查对象是否有开工不足、经济效益下降、产品不适销对路等情况。
（4）被调查对象的商业信誉情况。
包括其生产的产品质量、履行合同的能力、以往的履约率、服务质量情况、产品声誉情况、销售服务情况、实际信用状况、合作伙伴评价、业内人士评价、主管部门评价、重大不良记录等。
商业信誉有时甚至比资本情况、经营情况、企业组织形式等更为重要，是商业交往中首要考虑的因素。
（5）被调查对象的财产担保情况。
包括被调查对象是否对其不动产和固定资产设定了抵押担保，是否为其他企业设立了保证担保等。
