LEASE CONTRACTParty A (Lessor): Li Yongzhi, ID No.:Party B (Lessee): Rolf Gubler, Passport No.:In accordance with the provisions of Contract Law of People’s Republic of China and other related laws and regulations, Party A and Party B, have voluntarily and on the basis of equality, reached an agreement through friendly consultation to conclude the following contract:Article 1: Premise1.1 The Premise is situated at No.60, North Guorui Road, Chongwen District, Beijing, with gross construction area of 71.63 square meters, which is divided into two independent spaces, East Side and West Side. Among them, the West Side is divided into Inside and Outside, with estimated 10 square meters each, sharing the same entrance and exit. Party A agrees to lease to Party B the Outside of West Side. The Inside of West Side is shared by both Party A and Party B.1.2 In accordance with Agreement of Removal and Resettlement for Non-residential Houses in Project of Rebuild and Primary Land Development for the West of Qinian Street, Beijing Zhonglian Community Service LLC has obtained the housing ownership, though hasn’t dealt with registration of property right. Party A has signed Lease Agreement with Beijing Zhonglian Community Service LLC, obtaining the usufruct of the house.1.3 Party A is responsible for having legitimate usufruct and leasehold of the house. In the event that a third party is engaged, Party A is obliged to take up the matter and take responsibility. And Party A should be liable for any loss of Party B arising therefrom. Party B has right to terminate this contract under Article 9 hereof if losing legitimate usufruct and leasehold of the houseArticle 2: Lease Purpose2.1 Usage of Leasing: Business (Office and Retail).2.2 Party A shall ensure the house can be used for business purpose and provide full assistance to Party B for obtaining related licenses required for business operation. In the event that Party B can not obtain business licenses and operate business because of Party A, Party B shall have right to terminate the contract under Article 9 of this contract.2.3 Party B shall use the leased house for business operation and apply for business licenses, subject to the statutory conditions for foreign business and to fulfill the statutory procedures. In the event that Party B can not obtaining business licenses and operate business because of itself, Party B shall bear the resulting loss and Party A shall not have responsibility for it.2.4 As Party A and Party B share the same access, both parties agrees that Party B holds the only key to the gate. Party A shall only work in or access to the room during Party B’s working hours (from 10:00am to 5:00pm). If Party A do have business needs during its working hours, Party B shall open the gate on time.Article 3: Lease Term3.1 The lease term will be from 2012-3-1 (year-month-date) (commencement date) to 2015-3-1 (year-month-date) (expiration date), in total 3 years. On the commencement date/expiration date, the delivery shall be deemed as completely accepted after Party A and Party B settle associated cost, clean-up related items, handover the house key and both confirm and sign. (See Annex I for Housing Delivery List).3.2 Upon expiry of the contract, Party B shall return the premises and its subsidiary goods, equipment and facilities according to its original condition except for normal wear and tear, and remove all the items belong to Party B. If any item remains in the house, it should be regarded as Party B give up its ownership and Party A has right to dispose it at will.3.3 Under consent of Party A, Party B may add equipment to the house.Upon expiry of the contract, Party B shall remove the additional equipment and ensure that it does not affect the good condition of housing and its normal use. If fixed equipment cannot be removed or its disassembly would damage house structure, Party A and Party B shall deal with the corresponding equipment with discount under negotiation.3.4 If any party decides not to renew the contract, it should notify the other party with a written notification within 90 days before the expiry of the contract. If any party decides to renew the contract, it should also negotiate with the other party within 90 days before the expiry of the contract and renew the lease contract. If Party A continues to lease the premise, Party B has priority to obtain the leasehold under the same conditions.Article 4: Rent and Deposit4.1 The rent is RMB4000 (four thousand only) per month. The payment should be paid by cash. In case Party B pays the rental in the form of remittance, the date of remitting will be the day of payment and the remittance fee shall be borne by the remitter.4.2 Payment of rental shall be one installment every six months. The first installment shall be paid before 2012-3-1 (year-month-date). Each successive installment shall be paid one month in advance. Party A shall issue formal invoices to Party B within 15 days after receiving rent.4.3 During the 3-year lease term stipulated in this contract, rental prices shall not be changed. If Party B renews after the expiration of the contract, the rental prices shall be settled through negotiation by both Party A and Party B according to adjusted price level.4.4 Party B will pay to Party A RMB4000 (four thousand only) as a deposit before 2012-3-1 (year-month-date). After expiry or termination of the contract, deducting the costs, rent and liquidated damages which should be borne by Party B from the deposit, Party A shall refund the remainder of deposit to Party B. If the deposit is not enough for deduction, Party B should pay the insufficiency within 10 days after receiving notice of payment from Party A.4.5 Prior to signing of this contract, Party B has paid deposit RMB10000 (ten thousand only) to Party A. After signing of this contract, this deposit RMB10000 shall correspondingly be set off against the RMB4000 of deposit and RMB6000 of the rent for first installment. The deposit and the rent for first installment shall be paid off after Party B pays another RMB18000 (eighteen thousand only) to Party A.Article 5: Other Charges5.1 Under this contract, Party A shall issue rental invoices to Party B after each time Party B pays the rent. The related taxes arising by issuing rental invoices in accordance to law shall be actually borne by Party B.5.2 During the lease term, if Party B needs to install telephone, cable TV, broadband network and other supporting facilities, the corresponding fees shall be borne by Party B.5.3 During the lease term, the actual use of utilities, property costs and heating costs should be shared by proportion of lease area. Party B shall pay its part to Party A. The fixed amount is RMB800 per year, pre-paid annually.5.4 The fees do not set out in this contract (if any), shall be borne by either party or both parties in accordance with law. If either party has paid in advance for the other party, the other party shall return the relevant amount according to the bills.Article 6: Housing maintenance and repair6.1 Party A shall ensure that the construction, structure and the equipment and facility of the premises conform to the safety conditions concerning construction, fire prevention security, health and other conditions, and the premises has not any danger to the personal safety of any occupants or their visitors. Party B shall ensure that the relevant laws and regulations of national or Beijing government as well as the property management provisions shall, to the extent that they govern Party B’s occupancy and use of the premises, be observed during use of the premises.6.2 During the lease term, both parties shall ensure that the premises and itscontents, equipment and facilities are in usable and safe condition.6.2.1 Regarding normal wear and tear of the premises and its contents, equipment and facilities, Party B shall promptly notify Party A for repair and maintenance. Party A shall commence repair and maintenance within 2 days after receipt of Party B’s notice. If Party A failed to do so, Party B can repair and maintain for Party A and, to the extent lawful and reasonable, the expenses shall be borne by Party A. Party A should reduce the rent or extend the lease term because of maintenance affecting the use of the premises.6.2.2 Party B shall provide legitimate use to the housing in accordance with this contract and shall not change nature of use or housing construction or store dangerous goods in the premises. If the premises and its contents, equipment and facilities are damaged d ue to Party B’s improper keeping or unreasonable usage, Party B shall be responsible for repair and maintenance and shall be liable for compensation.6.2.3 For the matters belong to the scope of maintenance responsibility of Party A, Party A shall bear the liability in the event that Party A fails to perform the maintenance obligations and leads to personal and property damage of Party B or interferes with the use of the premises by Party B.Article 7: Subletting7.1 Without Party A’s written consent, Part y B shall not sublet part or all of the premises under this contract. In the case that Party B sublets the premises after obtaining Party A’s written consent, the right of subletting lessee shall not exceed the right Party B has under this contract, and Party B shall bear joint liability with Party A on subletting lessee’s behavior.7.2 If Party A decides to lease the Inside of West Side, Party B has priority to obtain the leasehold under the same conditions. Rental prices should be settled through negotiation by Party A and Party B in accordance with market price of the time. If Party A leases the Inside of West Side to a third party at a price higher than market price, it shall not affect Party B’s various rights stipulated in this contract.Article 8: Termination of Contract8.1 The parties may terminate this contract by reaching a written agreement through negotiation.8.2 This contract will be terminated due to the occurrence of any force majeure events resulting in both parties not performing it.8.3 Upon occurrence of any of the following event, Party B is entitled to unilaterally terminate this contract.8.3.1 Delaying in the delivery of the premises at the signing of the contract for more than 15 days.8.3.2 The premises not meeting the agreed conditions stipulated in the contract or affecting Party B’s safety and healthy.8.3.3 Not assuming the obligation of maintenance of the premises, leading to Party B not being able to properly use the premises.8.3.4 Not having legitimate leasehold or Party B not obtaining business licenses because of Party A.8.4 If one of the following circumstances exists, Party A has the right to unilaterally terminate this contract and take back the premises:8.4.1 Delays paying the due rent, or deposit for more than 15 days.8.4.2 If Party B changes, without Party A’s permission, the main structure of the premises, or damages the premises in a manner that precludes use of the building by the other tenants in the building in which the premises are located.8.4.3 In the event of Party B’s improper or unlawful use of the premises, leading to damaging sub-items, equipment and facilities and after refusing to compensate Party A for them.8.4.4 In the event Party B violates any applicable laws and regulations, or uses the premises to conduct any illegal business activities.Article 9: Penalty for Breach9.1 Party A should deliver the house on schedule. If Party A extends the delivery of the house, Party A should pay to Party B 1% of the monthly rent as liquidated damages for every extension day. Party B should pay rent onschedule. If Party B extends the payment date, Party B should pay to Party A 1% of the monthly rent as liquidated damages for every extension day.9.2 In the case that Party B unilaterally terminates this contract on the occurrence of Article 8.3, or Party A unilaterally terminates this contract on the occurrence of Article 8.4, the party in breach should pay liquidated damages to the other party. The amount of liquidated damages should be fixed under Article 9.4.9.3 During the lease term, if Party A takes back the premises in advance or Party B surrenders the premises in advance, the party in breach should notify the other party 1 month prior to its termination date, and pay liquidated damages to the other party. Party A shall refund the appropriate deposit to party B upon termination. The amount of liquidated damages shall be fixed under Article 9.4.9.4 If the party in breach needs to pay liquidated damages to the other party under Article 9.2 or 9.3, the amount of liquidated damages should be calculated as: liquidated damages=RMB4000(per month)*the undue contract time(month)*20%. The minimum amount is RMB8000, malcontent of RMB8000 calculated as RMB8000.9.5 If the liquidated damages are not sufficient to make up the loss for non-breaching party after liquidated damages has been paid under this article, the party in breach should also pay compensation to the other party for the insufficient portion.Article 10: Dispute ResolutionIn the event that any dispute arises under this contract, the parties agree that it shall be settled through consultation by the both parties; if consultation fails, any party may bring legal proceedings at the People's Court in accordance with law.This contract shall be effective upon the signing of both parties. (二)如租赁用途为居住的,甲方应自与乙方订立本合同之日起7日内,到房屋所在地的社区来京人员和出租房屋服务站办理房屋出租登记手续。

If the rental purposes is for residence, from the date when this Contract has been set up, within 7 days, Party A should go to the Community Service Station for Foreigner and House Lease (hereinafter refers to as the “station”) to have the house lease contract registered. If the inhabitant is more than one person, Party B must inform the situation of inhabitants to Party A. On the other hand, Party A must establish a register for inhabitants, and send it to the Station complying with regulation. If this contract has been amended or terminated, party A should go to the Station to change or logout the registration within 5 days. In the period of validity, provided the inhabitants have changed, from the date of change, within 2 days, Party B must inform the Service Station and change the registration.Party A should supply the related information about himself and/or the house if there is foreigner from other provinces within the inhabitant, to assist and supervise Party B to handle the Temporary Residential Permit at Local Police Station. And Party B should go to Local police station to handle the Lodging Registration within 24 hours if there is any person from other countries, from the time when this contract has been set up.If the rental purpose is not residence, from the date when this contract has been set up, within 30 days, Party A should go to the department of Local House Administration to handle the Lease Contract Registration filing procedure.第三条租赁期限Article 3:Lease Term(一)房屋租赁期自年月日至年月日,共计年个月。

(b) Party A has the right to retract the house upon the expiration of the leasehold or the dissolution of the contract, and, Party B should return the leased house and accessary facilities in original state to Party A. Both parties must check and accept the house and the accessory facilities, meanwhile, settle accounts of the cost which should be bore by their own.If the Lessee intends to renew the leasehold, should notify (√written/□oral) the Lessor within one month before termination.
