Equipment Rental Agreement
Agreement made on [Date] between [Company Name], with
its principal office at [Address], hereinafter referred to as “Company,” and [Client Name], with its principal
office at [Address], hereinafter referred to as “Client.”
1. Equipment Rental. Company agrees to rent to Client and Client agrees to rent from Company the equipment (the “Equipment”) described on Exhibit A, attached hereto and incorporated herein by reference.
2. Rental Period. The rental period for the Equipment shall begin on [Date] and shall terminate on [Date] (the “Rental Period”).
3. Rental Fees. Client agrees to pay the rental fees
for the Equipment set forth on Exhibit A, attached hereto and incorporated herein by reference, which fees shall be payable in advance and non-refundable.
4. Delivery and Acceptance. Company shall deliver the Equipment to Client at the location specified by Client on Exhibit A. Client shall inspect the Equipment upon delivery and acceptance shall be deemed to have occurred upon Client’s receipt of the Equipment.
5. Use of Equipment. Client shall use the Equipment in accordance with the manufacturer’s instructions and shall not use the Equipment for any purpose other than that for which it was designed.
6. Care of Equipment. Client shall maintain the Equipment in good condition and shall be responsible for any damage to the Equipment during the Rental Period.
7. Liability. Client shall be liable for any loss or damage to the Equipment during the Rental Period, and shall indemnify and hold Company harmless from any and all claims arising from Client’s use of the Equipment.
8. Termination. This Agreement may be terminated by either party upon 30 days’ written notice to the other party.
9. Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of [State], and any legal action arising out of this Agreement shall be brought in the courts of [County], [State].
10. Entire Agreement. This Agreement supersedes all prior discussions and agreements between the parties and constitutes the entire agreement between the parties with respect to the subject matter hereof.
