CONTRACT FOR THE SALES AND PURCHASE OF

INDONESIAN STEAM COAL

印尼动力煤买卖合同

AS THE PRINCIPAL BUYER

AS THE PRINCIPAL SELLER:

This contractual agreement is made on the 28th day of November 2014 between GD Guangshang Material Industry Co.,Ltd. (hereinafter called the Buyer) and LEEWARD RESOURCES PTE.LTD (hereinafter called the Seller) which expression means and includes their successors and assigns.

此买卖合同由广东广商物产有限责任公司 (以下称买方) 与新加坡利华资源有限公司 (以下称卖方)于2014年11月28日签定。

WHEREAS: 导言

1. The Seller warrants that he has the capacity, capability and full authority to sell and export coal from

Indonesia.

卖方保证其具备销售及出口印尼动力煤的资格、资质及能力。

2. The Buyer warrants that he has the capacity, capability and full authority to purchase and import coal from

Indonesia.

买方保证具备采购及进口印尼动力煤的资格、资质及能力。

3. The Seller has agreed to sell to the Buyer and the Buyer has agreed to purchase from the Seller Indonesian

coal on the terms set out in this agreement and with mutual understanding that each party will perform its obligations in accordance with the principles of trust and good faith.

卖方和买方均已同意按照本合同的条款出售和购买煤炭，并且双方一致同意将基于信任和善意的原则履行其义务。

NOW IT IS AGREED as follows:

在此达成协议如下：

CLAUSE 1 COMMODITY 商品

1.1 Commodity Steam Coal, Net Calorific Value 4200-4000kcal/kg (ARB).

商品名称动力煤, 收到基低位发热量4200-4000kcal/kg (ARB)。

1.2 Country of Origin Indonesia.

原产地印度尼西亚。

1.3 Loading port Any main port of Kalimantan, Indonesia at Seller’s option.

装货港口任何由卖方指定印尼加里曼丹主要港口。

1.4 Discharge port Xiamen Port, FuJian Province, China.

卸货港口中国, 厦门港。

CLAUSE 2 QUANTITY & LAYCAN DATE 数量与装船期

2.1 First / Trial Shipment 55,000MT (+/-10% allowed)

首船试单 5.5万吨（允许正负10%短溢装）。

2.2 Monthly Shipment 55,000MT x 1 shipments/Monthly(+/-10%).

每月数量 55,000公吨 x 1船/每月，正负10%短溢装。

2.3 Total Quantity 660,000 MT (+/-10%) in one year contract.

总数量 660,000公吨 (正负10%) 一年合约。

2.4 Laycan/Shipment Date: The first 55,000 MT (+/-10% allowed) trial shipment shall be delivered no later

than 26 december 2014, following shipment as per monthly shipment schedule

and subject to receipt of L/C 30 days before each shipment.

预计装船期：第一船5.5万吨（允许正负10%短溢装）需在2014年12月26日前装运。

以后船期会按每月1船计划执行，惟每船会在收到买方有效信用证后30天

内装运。

2.5 Both Parties shall agree via Written Notice at least 14 days before the Confirmation of Laycan Date and

Vessel Fixture Note for every shipment.

双方应在每月装船期至少14天前, 以书面通知确定装船期与租船确认书。
