Purchase Contract in English

This Purchase Contract (the "Contract") is entered into by and between [Seller], a company registered in [Country/Region], with its registered office at [Address], and [Buyer], a company registered in [Country/Region], with its registered office at [Address].

1. Parties’ Basic Information

The Seller agrees to sell and the Buyer agrees to purchase the goods described in Schedule A (the "Goods") under the terms and conditions set forth in this Contract.

2. Identity of the Parties

The Seller has the right, power, and authority to sell the Goods to the Buyer, and the Buyer has the right, power, and authority to purchase the Goods from the Seller.

3. Rights and Obligations

3.1 The Seller agrees to provide the Goods in accordance with the specifications, quality standards, and delivery schedule set forth in Schedule A.

3.2 The Buyer agrees to pay the Seller the amount set forth in Schedule A in accordance with the payment terms set forth therein.

3.3 The Seller shall deliver the Goods to the Buyer in accordance with the delivery schedule set forth in Schedule A.

3.4 The Buyer shall inspect the Goods upon receipt and notify the Seller within [number of days] days of any defects or non-conformities.

4. Performance

4.1 This Contract shall commence on the date of execution by both parties and shall continue until all obligations hereunder have been performed.

4.2 Any delay or failure by either party to perform any obligation hereunder shall not be deemed a breach of this Contract to the extent caused by an event beyond the reasonable control of that party, including but not limited to acts of God, war, terrorism, or government action.

5. Term and Termination

This Contract may be terminated by either party upon [number of days] days written notice to the other party in the event of any breach of this Contract by the other party that remains uncured after [number of days] days following written notice of such breach.

6. Governing Law

This Contract shall be governed by and construed in accordance with the laws of the People’s Republic of China.

7. Miscellaneous

7.1 This Contract constitutes the entire agreement between the parties and supersedes all prior and contemporaneous agreements and understandings, whether written or oral, relating to the subject matter of this Contract.

7.2 The parties may not assign this Contract without the prior written consent of the other party.

7.3 This Contract may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
