The above cargo was shipped on the above ship by and consigned for delivery at the port of but the Bill of Lading has not
hereby request you to discharge the said cargo or
production of the original Bill of Lading.
We undertake that this letter is only for discharge purpose, and the delivery of cargo is absolutely subject to original Bill of Lading surrendered.
In consideration of your complying with our above request, we hereby agree as follows:
1.To indemnify you, your servants and agents and to hold all of you harmless
in respect of any liability, loss, damage or expense of whatsoever nature
which you may sustain by reason of discharge the cargo in accordance with our request.
2.In the event of any proceedings being commenced against you or any of your
servants or agents in connection with the discharge of the cargo as aforesaid, to provide you or them on demand with sufficient funds to defend the same.
3.If, in connection with the discharge of the cargo as aforesaid, the ship,
or any other ship or property in the same or associated ownership, management or control, should be arrested or detained or should the arrest or detention thereof be threatened, or should there be any interference in the use or trading of the vessel (whether by virtue of a caveat being entered on the ship's registry or otherwise howsoever), to provide on demand such bail or other security as may be required to prevent such arrest or detention or to secure the release of such ship or property or to remove such interference and to indemnify you in respect of any liability, loss, damage or expense caused by such arrest or detention or threatened arrest or detention or such interference, whether or not such arrest or detention or threatened arrest or detention or such interference may be justified.
4.If the place at which we have asked you to make discharge is a bulk liquid
or gas terminal or facility, or another ship, lighter or barge, then discharge to such terminal, facility, ship, lighter or barge shall be deemed to be discharge to the party to whom we have requested you to make such discharge.
5.As soon as all original Bills of Lading for the above cargo shall have come
into our possession, to deliver the same to you, or otherwise to cause all original Bills of Lading to be delivered to you, whereupon our liability hereunder shall cease.
6.The liability of each and every person under this indemnity shall be joint
and several and shall not be conditional upon your proceeding first against any person, whether or not such person is party to or liable under this indemnity.
7.This indemnity shall be governed by and construed in accordance with English
law and each and every person liable under this indemnity shall at your request submit to arbitration in Hong Kong.

我们保证本保函仅以放货为目的，且该交付行为完全符合前述提单的要求。

考虑到你方同意我方上述请求，我们现保证如下：
1.我方保证赔偿你方、你方的受雇人和代理人因按照我方请求放货而可能遭受
的任何性质的责任、灭失、损害、或费用，并使你方、你方的受雇人和代理人免除任何责任、灭失、损害、或费用。

2.如因前述放货产生任何有关的针对你方或你方的受雇人、代理人的索赔诉
讼，我方将根据需要向你方或他们提供充足的资金进行抗辩。

3.如果上述船舶，或任何其他共同或联合所有、管理、控制的船舶或其他财产，
因上述放货而被扣押或扣留，或受到扣押或扣留的威胁，或出现任何影响船舶使用或运营的情况（不论是否是通过船舶登记机关发出警告的方式），我方将根据需要提供保释金或其他担保，以防止上述扣押或扣留，或保释上述船舶或财产，或消除上述干扰，并赔偿你方因上述扣押、扣留或此种威胁，或上述干扰所造成的全部责任、损失、灭失或费用，不论上述扣押、扣留或此种威胁以及此种干扰是否是正当的。

4.如果我们要求你方放货的地点是散装液体或气体货物的码头或设施，或是其
他船舶、驳船，则向上述码头、设施、船舶、驳船交付将被视为已经向我们要求你方交付的人放货。

5.如果找到上述货物的正本提单，我们将立即送达你方，或以其他方式向你方
交付全部提单正本，此时我方在本保函下的义务解除。

6.本保函下的每个人的责任都是连带的，并且不以你方向任何人提起诉讼为前
提，不论此人是否是本担保的一方或者是承担责任的人。

7.本保函受英格兰法调整并依此作出解释，且全部责任人应将保函项下争议提
交香港仲裁。
