REMARKS:（备注）

1. The buyer shall have the covering letter of credit reach the Seller 30 days before shipment,

failing which the Seller reserves the right to resc ind without further no tice, or to regard as still valid whole or any part of this con tract not fulfilled by the Buyer, or to lodge a claim for losses thus susta in ed, if any.（买方应在岀运前 30天给卖方开具信用证，否则，卖方有权取消本合约全部或部分内

容，而不另行通知，并保留因此而发生的一切损失的索赔权。）

2. In case of any discrepa ncy in Quality, claim should be filed by the Buyer with in 130 days after

the arrival of the goods at the port of destination; while for quantity discrepancy, claim should be filed

by the Buyer with in 150 days after the arrival of the goods at the port of dest in ati on. （如发生任何质量不符，买方应在货物抵达目的港130天内提岀；对于数量不符，买方应在货物抵达目的港150天内提岀。）

3. For tran sacti ons con cluded on C. I. F. basis, it is un derstood that the in sura nee amou

nt will be for 110% of the in voice value aga inst the risks in the Sales Con firmati on. If additi onal in sur- ance amou nt or coverage required, the Buyer must have the consent of the Seller before shipme nt, and the additional premium is to be borne by the Buyer. （基于 CIF 的贸易条款，保险金额将定

为发票总价值的110%以此来应对销售合同中的风险，如果要加保，买方必须在岀运前取得

卖方的同意，额外的投保费用由买方支付。）

4. The Seller shall not hold liable for non-delivery or delay in delivery of the entire lot or a portion of

the goods hereunder by reason of natural disasters, war or other causes of Force Majeure . However, the Seller shall notify the Buyer as soon as possible and furnish 提供 the Buyer within 15 days by registered airmail with a certificate issued by the China Council for the Promotion of In ter natio nal Trade attest ing such even t（s）.（卖方不负有在自然灾害，战争或任何不可抗力导致

5. All disputes aris ing out of the performa nee of, or relati ng to this con tract, shall be settled

through negotiation. In case no settlement can be reached through negotiation, the case shall the n be submitted to the Chi na In ter nati onal Econo mic and Trade Arbitrati on Commissio n for arbitration in accordance with its arbitral rules. The arbitration shall take place in Shanghai. The arbitral award is final and bi ndi ng upon both parties. （凡因本合同引起的或与本合同有关的争

议，双方应先协商解决，如若双方无法协商解决，则应提交中国国际经济贸易仲裁委员会，
