Failing which, the seller shall have the right to rescind this contract upon the notice at buyer, or to lodge a claim for the direct losses sustained, if any.6品质与数量、重量的异议与索赔：双方同意以中华人民共和国国家出入境检验检疫局出具的品质和数量(重量) 检验证书作为信用证项下议付单据的一部分。

买方有权对货物的品质、数量（重量）进行复验。

如发现品质或数量（重量）与合同规定不符，买方有权向卖方索赔，并提交经卖方同意的公证机构出具的检验报告。

索赔期限为货到目的港后30天内。

属于保险公司、船公司或其他有关运输机构责任范围的，卖方概不负责。

Discrepancy and Claim：It is mutually agreed that the Certificate of Quality and Quantity （Weight）issued by Sated Administration for Entry-Exit Inspection and Quarantine of People’s Republic of China shall be part of the documents to be presented for negotiation under the relevant L/C. The buyers shall have the right to reinspect the quality a nd quantity (weight) of the cargo.Should the quality and quantity (weight) be found not in conformity with the contract ,the buyer are entitled to lodge with the seller a claim which should be supported by survey reports issued by a recognized surveyor approved by the seller.The claim ,if any, shall be loged within 30 days after arrival of the cargo at the port of destination .It is understood that the seller shall not be liable for any discrepancy of the goods causes for which the Insurance Company ,Shipping Company ,others Transportation Organziation/PostOffice are liable.7人力不可抗拒因素：任何一方由于自然灾害、战争或其他不可抗力事件导致的不能履约或延迟履约，该方不负责任。

但是，受不可抗力事件影响的一方须尽快将发生的事件通知另一方，并在不可抗力事件发生15天内将有关机构出具的不可抗力事件的证明寄交对方。

Force Majeure：Either party shall not be held responsible for failure or delay to perform all or any part of this agreement due natural disasters, war or any other events of force majeure. However, the party affected by the event of Force Majeure shall inform the other party of its occurrence in writing as soon as possible and thereafter send a certificate of the event issued by the relevant authorities to the other party within 15 days after its occurrence.8仲裁：在履行协议过程中，如产生争议，双方应友好协商解决。

若通过友好协商未能达成协议，则提交中国国际贸易促进委员会对外贸易仲裁委员会，根据该会仲裁程序暂行规定进行仲裁。

该委员会决定是终局的，对双方均有约束力。

仲裁费用，除另有规定外，由败诉一方负担。

ArbitrationAll disputes arising from the execution of this agreement shall be settled through friendly consultations. In case no settlement can be reached, the case in dispute shall then be submitted to the Foreign Trad Arbitration Commission of the China Council for the Promotion of International Trade for Arbitration in accordance with its Provisional Rules of Procedure. The decesion made by this commission shall be regarded as final and binding upon both parties. Arbitration fees shall be borne by the losing party, unless otherwise awarded.9备注：买方收到该合同后应立即回签一份，如有异议应于收到该合同后5个工作日内提出，否则即被认为已同意接受本合同所规定的各项条款。

The buyer is requested to sign and return one copy of this contract immediately after receipt of the same . Objection, if any, should be raised by the buyer within 5 working days. Otherwise, it is understood that the buyer has accepted the terms and conditionds of this contract.10.本公司为中英文两种文本，两种文本具有同等效力。
