供应商雇佣标准和行为守则

SUPPLIER EMPLOYMENT STANDARDS & CODE OF CONDUCT This Agreement demonstrates commitment to socially responsible business practices by Callaway Golf's Suppliers. Once signed by an Executive Officer, Supplier indicates assurance that all products made for Callaway Golf are produced under lawful, humane and ethical conditions. Participating companies voluntarily agree that an independent monitor as complying with these standards will certify their production facilities and those of their contractors.

卡拉威高尔夫公司的所有供应商均承诺信守以下符合社会责任的商业惯例。本行为准则必须由各供应商的最高执行官签署，各供应商承诺确保所有为卡拉威高尔夫公司生产的产品都是在合法的、人道的、合乎道德的环境下生产的。各供应商并且同意可以对他们的生产场所和下游供应商进行独立的稽核以确认本行为准则得到遵守。

All those involved in the production and manufacture of products or business materials for Callaway Golf shall under all circumstances:

所有涉及卡拉威高尔夫公司的产品或物料的生产和制造行为必须符合以下要求：

I. Comply with all workplace laws and regulations in all locations where they conduct business.

供应商在所有的区域（生产车间、办公室、宿舍、餐厅等）都要遵守国家相关的法律、法规和规章制度。

II. Not use involuntary or forced labor -- indentured, bonded or otherwise.

供应商不得雇用任何非自愿或强迫性劳工，无论其是契约劳工、监狱劳工或是其他劳工。Not hire any employee under the age of 14, or under the age interfering with compulsory schooling, or under the minimum age established by law, whichever is greater.

供应商不得雇用童工，“童工”一词系指年龄未满14岁者，或者是未满完成义务制教育年龄者，或者是未满法律规定的最低就业年龄者，年龄限制以最大者为准。

Provide an environment free of harassment, abuse or corporal punishment in any form.

供应商不得以任何形式对员工进行体罚、虐待。

Pay at least the minimum total compensation required by local law, including all mandated wages, allowances and benefits.

供应商向员工支付不低于当地法定最低工资的薪酬，包括合约工资、津贴和福利。

Not exceed the legal limitations with regard to hours worked each day and hours worked each week in the countries in which items are produced. Suppliers will provide at least one day off in every seven-day period, except as required to meet urgent business needs.

供应商遵守当地法律规定的每天工时和每周工时的限制。除非有特殊的业务状况，供应商必须保证员工在每七天周期中至少休息一天。

Employ, pay, promote, and terminate workers on the basis of their ability to do the job, rather than on the basis of personal characteristics or beliefs.

供应商是基于员工的能力是否胜任某项工作，而非其个人性格或信仰来雇用员工、支付工资、提拔员工和终止合约。

Provide a safe and healthy work environment. Where residential housing is provided for workers, Suppliers will provide safe and healthy housing.

供应商为员工提供一个安全和健康的工作场所。如果供应商为员工提供宿舍，那么供应商亦需确保宿舍是符合同样的安全和健康标准。

Recognize and respect the right of employees to exercise their lawful rights of free association, including joining or not joining any association.

供应商尊重员工自由结社的法定权利，包括参加或不参加任何组织。

Comply with environmental rules, regulations and standards applicable to their operations, and will observe environmentally conscious practices in all locations where they operate.

供应商在所有生产场所都遵守相关的环保规定、规则和标准。

Comply with applicable customs law and, in particular, will establish and maintain programs to comply with customs laws regarding illegal transshipment of products.

供应商遵守相关的海关法律，尤其是要建立相应的制度去防止产品被非法转运。Cooperate with local, national and foreign customs and drug enforcement agencies to guard against illegal shipments of drugs.

供应商和当地的、国家的和外国的海关及药品管理当局合作以防止非法的毒品运输。Callaway Golf and their respective duly authorized representatives will have the right during reasonable business hours upon advance written notice to the Supplier to inspect and audit the Supplier's compliance with these standards as cited above.

卡拉威高尔夫公司以及他们的授权代表有权在未经书面通知供应商的情况下，在合理的工作时间里对供应商进行稽核，以确认上述行为准则得到遵守。
