First Cooperative Project

Fourth： Profits and loss

四、利润以及盈亏分担

The way to the profit distribuction is to share the risks and the profits.

合作经营的利润分配方式为：风险和利润共同分担

1, The net profit of at least reach to 15%, party A should account for 40% of the cooperative net profit; Party b should accounted for 60% ,Also Party B should provice the profit distribution statement to party A ,which is according

to the monthly financial statement that comfirmed and signed by A ,

Fifth ：The organization structure

第五条、项目经营的组织架构

1、Party A will be as only the investor ，will not join in the operation of ，and Party B will manage and maintain the daily operation of ，And all the cooperation funds shall be delimited into the company’ funds. the rules of financial system can be operated after the negotiation by both parties.

甲方作为合股方，不参与的日常操作，而乙则负责日常事务的操作，

所有合作资金须全部划入公司资金。有关财务制度，经管双方协商后实施执行。 Sixth :the termination of contract

第六条：合作终止以及终止后的事项

The cooperation relationship can be stopped,for the following reasons:

The seventh Responsibility for the breach of contract

第七条：违约责任

If there is one of the parties who violate the agreement , the violative party

shall bear the corresponding responsibility,and to compensate the loss for the observant party .

协议人违反本协议条款，违约方应承担相应的合同责任，并赔偿守约方损失。The eighth Additional remarks

第八条：补充说明

Both parties can discuss if there is anything should be added and modified. Also the revised contract is still effective .

本合同如有未尽事宜应由合作人集体讨论补充或修改，补充修改的内容与本合

同具有同等效力。

Two copies of this agreement, both sides armed with a copy of both sides,

the contract will be valid since the agreement was signed.
