兹经买卖双方成交下列商品,订立条款如下：

The Undersigned Sellers and Buyers have agreed to close the close the following transaction according to the terms and conditions stipulated below：

5装运期限: 收到可以转船及分批装运之信用证后30天装出TIME OF SHIPMENT: Within 30 days after receipt of L/C allowing

transshipment and partial shipments

6.装运口岸：上海

PORT OF LOADING: SHANGHAI

7.目的口岸：科威特

PORT OF DESTINATION: KUWAIT

8.付款条款： 100%不可撤销即期信用证应由买方开出并在前到达卖方，

该信用证在装运日期后二十天内在中国依附有效。如信用

证运达，卖方对迟延装运不承担任何责任，卖方并有权撤

销本合同和/或提出损坏赔偿。

TERMS OF PAYMENTS: By 100% Irrevocable Sight Letter of Credit to be opened

by the Buyer in time to reach the Seller not later

then ,2008 and to be available for negotiation in China

until the 20th day after the date of shipment. In case

of late arrival of the L/C, the Seller shall not be

liable for any delay in shipment and shall have the

right to rescind the contract and /or claim for

damages.

9.保险：由卖方按照中国保险条款按CIF发票的110%投保一切险。

INSURANCE: To be effected by the Seller for 110% of the CIF

invoice value covering all risks only as per China

Insurance Causes.

由买方自行投保。

To be effected by the Buyer.

10.装运条款：应按照《2000年国际贸易术语解释通则》的规定办理。凡

按CFR或CIF条件达成的交易，如船公司在运费外加收的

各种附加费包括港口拥挤费等概由买方承担

TERMS OF SHIPMENT: To be governed by “INCOTERMS 2000”. For transactions

concluded on CFR or CIF terms, all surcharges

including port congestion surcharges, etc. Levied by

the shipping company, in addition to freight, shall

be for the Buyer’s account.

11.索赔：买方对本确认书项下装运货物的任何索赔必须于货物到达

目的港后30天内提出并提供经卖方同意的检验机构出具

的检验报告供卖方审核。在任何情况下卖方对间接损失不

承担索赔责任，属于保险公司、船公司、运输机构和/或邮

局责任范围内的索赔卖方不予受理。

CLAIM: Any claim by the Buyer concerning the goods shipped

hereunder shall be filed within 30 days after the

arrival of the goods at the port of destination and

supported by a survey report issued by a surveyor

approved by the Seller for the Seller’s examination.

In no event shall the Seller be liable for indirect

or consequential damagers. Claims in report of

matters within the scope of responsibility of the

insurance company , shipping company , transportation

organization and/or post office will not be

entertained by the Sellers.

12.不可抗力：如由于自然灾害、战争或其他不可抗力的原因致使卖方对

本确认书项下的货物不能装运或迟延装运，卖方对此不负

任何责任。但卖方应立即通知买方并于15天内一航空挂号

函件寄给买方由中国国际贸易促进委员会出其的证明发生

此类事件的证明书。

FORCE MAJEURE: The Seller shall not be held liable for non-delivery

or delay in delivery of the entire lot or a portion

of the goods hereunder by reason of natural disasters,

war or other causes of Force Majored. However, the

Seller shall notify the Buyer as soon as possible and

furnish the Buyer within 15 days by registered airmail

with a certificate issued by the China Council for the

Promotion of International Trade attesting such

event(s).

13.仲裁：凡因执行本合同所发生的或与本合同有关的一切争议应通

过友好协商解决，如果协商无法解决，争议应提交中国国

际经济贸易仲裁委员会根据其仲裁规则进行仲裁。仲裁地

点在上海。仲裁裁决是终局的。对双方都有约束力。

ARBITRATION: All disputes arising out of the performance of, or

relating to this contract, shall be settled amicably

through negotiations. In case no settlement can be

reached through negotiations, the case shall then be

submitted to the China International Economic and

Tread Arbitration Commission for arbitration in

accordance with its arbitral rules. The arbitration

shall take place in Shanghai. The arbitral award is

final and binding upon both parties.

14.附注：买方应立即将本确认书签署后还正本一份给卖方存查，如

本确认书到达买方后10天内买方尚未签回，应视为买方已

接受本确认书所规定的全部条款。
