This Employment Agreement is made between:

The Employer and Employee reach an agreement through friendly consultation, sign the contract in the principles of legality, equality and willingness, and pledge to fulfill all obligations stipulated hereinafter.

2.2 According to the employer’s business requirements, the employee agrees to provide the part-time services listed in the attached Project Agreement and ensure that it meets the acceptance criteria (see the attached Project Agreement for the acceptance criteria).

3. Working hours

3.1 Based on the project situation, the two parties negotiated to formulate Project Planning Working Hours, Suggested Minimum Weekly Working Hours and Delivery Date. For Project Planning Working Hours, Suggested Minimum Weekly Working Hours and Delivery Date are detailed in the attached Project Agreement.

3.2 Employee arranges the work schedule by himself/herself and should ensure that the work results that meet the acceptance criteria are delivered before or on the project Delivery Date.

3.3 If E mployee’s actual working hours exceeds Project Planning Working Hours, the Employer will still pay the remuneration for each project according to Project Planning Working Hours * Pre-tax hourly salary.

4.Salary and Compensation

4.1

4.2The total compensation of employees for completing each project: Project Planning Working

Hours * Pre-tax hourly salary.

4.3 Pay time:

If Employee’s actual delivery date is earlier than the agreed Delivery Date, the balance payment shall be paid within 10 days after the employee’s actual delivery date.

4.4 If the work results delivered by the employee fails to meet the acceptance criteria stated in the Project Agreement, the employer reserves the right to deduct part of the balance payment.

4.4.1 Deduction ratio of the balance payment:

4.6 Employees are obliged to pay taxes truthfully in accordance with the taxation policies of their own country. The late fees and any other penalties caused by the employee's failure to declare the project income truthfully will be borne by the Employee.

5.Assignment

5.1 The Employee acknowledges that any work including without limitation inventions, designs, ideas, concepts, drawings, working notes, artistic works that the Employee may individually or jointly conceive or develop during the term of Employment are “works made for hire” and to the fullest extent permitted by law, Employee shall assign, and does hereby assign, to the Employer all of Employee's right, title and interest in and to all Intellectual Property improved, developed, discovered or written in such works.

5.2 Employee shall, upon request of the Employer, execute, acknowledge, deliver and file any and all documents necessary or useful to vest in the Employer all of Employee's right, title and interest in and to all such matters.

6.Obligation of Employee

6.1During employment, employee shall not accept work that has conflicts of interest with

employer, and shall not conduct activities that have conflicts of interest with employer.
