中国企业在国际仲裁中面临的困境与如何扭转的探讨

1)First Line defence (own people):

(i)“prevention is better than cure”; “commercial world is equivalent

to war zone”.

(ii)Competence and knowledge of leaders and key staffs of PRC enterprises.

(iii)Knowledge in “Law of Contract”, “Law of Evidence”and “Procedural Law”.

(iv)Ability to make sound and logical judgments.

(v)Keep proper documentary evidence for good management and potential litigation.

第一道防线 (自己人):

(i)“预防胜于治疗”;“商场如战场”

(ii)中国企业领导与主管的能力与知识

(iii)合同法、证据法、程序法的知识

(iv)作出合理与逻辑性判断的能力

(v)为了更好地公司管理与将来可能出现的诉讼保留文件证据

2)Second Line defence (lawyer):

(i)Good legal advisor and/or lawyer in potential troubles.

(ii)What is a good lawyer? (expertise in international commerce and international arbitration, experience, motive, fees).

(iii)Problem of instructing too many lawyers; importance to spend money wisely.

(iv)Problem of instructing lawyer too late.

(v)My experiences of being appointed by inexperienced law firms; my decision not to accept appointment from some very poorly handled law

firms.

第二道防线 (律师):

(i)能够意识到可能存在的问题与知道找好的法律顾问或律师作出及时的咨询。

(ii)什么样才是好的律师?(国际贸易与国际仲裁的专家、经验、动机、费用).

(iii)委托过多律师的问题;钱花在刀刃上的重要性。

(iv)太迟委任律师的问题。

(v)我被经验不足的律师行委任为仲裁员的经历;我曾经不接受一些不懂的律师行的委任。

3)Third Line defence (arbitrator):

(i)Venue for future dispute – priority goes to favourable venue

(BAC/CIETAC, or as a second choice, the HKIAC).

(ii)Appoint arbitrator who understands the culture and is knowledgeable (hence carry persuasive power in the tribunal).

(iii)English law is equitable but most disputes mainly concerns fact finding which is culturally sensitive or bias.

(iv)To constitute a tribunal that will force opponent to consider settlement.

(v)Be prepared to spend money in ancilliary actions such as a Freezing Injunction, investigation, search, etc.

第三道防线 (仲裁员):

(i)未来争议的审判地–优先去有利的地点(北仲/贸仲,或作为第二选择的香

港国际仲裁中心)

(ii)委任有知识与懂得本土文化的仲裁员,这样才能在仲裁庭中有说服力

(iii)英国法是公正合理的,但是大部分的争议是涉及文化敏感与受到偏见影响的事实认定

(iv)成立一个能让对方考虑与希望和解的仲裁庭

(v)愿意花钱在诉讼的辅助行动上,例如冻结令、调查取证、研究等,让自己能够站在高地

4)Overall Strategy

Be sensible and forward-looking, the truth is never what one sees:

(i)Do not be carried away by the success of failure of one or two

interlocutory issues/decisions; it is important to win the war, but just

a battle.

(ii)There is no cast-iron case, one should always keep an open-mind to settlement.

(iii)Never dream of settlement until and unless you are in equal position or a better position with your opponent.

(iv)Do respect views of the expert (good lawyers) and the decisions of the
