甲方：圣劳伦佐有限责任公司（Sanlorenzo S.p.A.），注册地址为Via Armezzone n. 3, Ameglia, La Spezia意大利，税控码为00142240464，公司法人代表为其主席马西莫·佩罗帝先生（Massimo Perotti），为方便其履行公司职务，马西莫·佩罗帝先生的办公处及公司住所即是公司注册办公室所在地（以下简称造船方）

Sanlorenzo China Holding Company Limited a company incorporated and legally existing under the laws of Hong Kong, residing in Rm. 701, 7/F Tung Wah Mansion, 199-203 Hennessy Road, Wanchai, Hongkong, company registration code 61399894-000-05-13-5, legally represented by the Director, Mr. Traugott Kaminski (hereinafter referred to as the Purchaser) that purchases for itself or for another company or person, which reserves the right to appoint within the term of delivery.

乙方：圣劳伦佐中国控股有限公司，一家依据香港法律组建并合法续存的公司，住所地位于香港湾仔轩尼诗道199-203号东华大厦七楼，701房间，公司注册码为：61399894-000-05-13-5，公司法人代表为其董事特劳戈特·卡明斯基(Traugott Kaminski)先生（以下简称购船方）。公司为其本身或另一家公司或个人进行采购，并在交付条款内保留委派权利。

NOW IT IS HEREBY AGREED

Art. 1 - Subject of Contract

The Shipbuilder undertakes to build and complete a glass-fibre reinforced plastic pleasure vessel (hereinafter referred to as the “Vessel”), of the type known as Sanlorenzo 106, conveying ownership and possession and delivering said Vessel to the Purchaser who, in turn, undertakes to buy, take delivery and make payment in accordance with the terms laid down in this contract. Said Vessel shall have the following main features:

- maximum length overall 32,70 metres

- maximum width 7,10 metres

- powered by 2 diesel marine engines type MTU 16V2000M93, rating 1.790 kW (2.434 Hp) each, with ZF gear boxes.

双方特此同意以下条款

造船方承诺建造、完成一艘型号Sanlorenzo 106，由玻璃纤维增强塑料制造的游艇（以下简称游艇），并向购船方交付、转移上述游艇的所有权；购船方承诺购买、接受游艇，并按此合同中的条款规定支付费用。上述游艇应有以下主要特征：
