在英语中,合同⼀般称为Contract,协议⼀般称为Agreement. 何谓“contract”? 1999年中国《合同法》第⼆条对contract定义为: A contact in this Law refers to an agreement establishing, modifying and terminating the civil rights and obligations between subjects of equal footing, that is, between natural persons, legal persons or other organizations“。

3.正文(Body) 一般包括定义条款、基本条款和一般条款: (1)定义条款(Definition Clause):对合同中重复出现的关键名词术语进行 明确定义,给出明确解释。 (2)基本条款(Basic Conditions):①当事人的名称或者姓名和住所(Name and Address;。②标的(Object);指合同的客体,即当事人权利义务共同指向的对象; ③数量与质量(Quantity and Quality);④价款或酬金(Price or Payment);⑤履行的期限、 地点和方式(Duration, Place and Method);⑥违约责任(Liability for Breach of Contract),指合 同当事人因违反合同义务所应承担的法律责任;⑦解决争议的办法(Settlement of Disputes)。此外,当事人认为必须在合同中明确的其他内容,也是合同的基 本条款。
